Title XIII., Revised Stautes of Arizona, 1901, and acts amendatory thereof, ;. -hereby adopt tire following Articles of Incorporation: ARTICLE I. ARTICLE III. The capital stock of the corporation shall be One Million ($1,000,000) Dollars. divided into 1.000,000 shares of the par value of One ($1.00) Dollar each, which shall be paid for at such times and In such manner as the board of directors may designate. All or any portion of the capital stock may be Issued in pay ment for real or personal property, services, or any other right or thing of value, for the uses and purposes of the corporation, and Wen so is sued shall become and be full-paid, the same as though paid for in cash at par; and the directors shall be sole Judges of the value of any property, right or thing acquired in exchange for capital stock. No shares of capital stock shall be issued until fully paid for and thereafter shall be non-assessable. ARTICLE IV. The commencement of the corporation shall be the day these articles are filed In accordance with law, and the termination thereof shall Ik twenty-five years thereafter, with privilege of renewal as provided by statute. . ARTICLE V. The affairs of the corporation shall b conducted by a board of nine directors and such officers as the said directors may elect or appoint. The number of di rectors shall be designated by the stockholders and shall be elected from among the stockholders at their annual meeting to !e held on the First Monday in October of each year . beginning the First Monday in Octo- lier, 1909. Until the first annual meeting of stockholders and until have been elected and have qualified, the following named persons shall lie the directors: E. M. Young. Presi dent; J. H. Parrott, Viee-Presiilout; J. G. Whitaker, Secretary and Treas urer. Said board of directors shall have power to fill vacancies on the said board. Said directors so ap pointed to hold office until the next annual meeting of the stockholders. ARTICLE VI The directors shall have power to adopt, amend and re scind By-Laws, to fill vacancies oc curring in the board from any cause, and to appoint from their own num her an executive committee and vest said committee with all the powers granted the directors by these Articles. ARTICLE VII The highest amount of indebtedness or liability to which the corporation is at any time to subject itself is FIFTY THOUSAND DOLLARS (J50,0(l0). ARTICLE VIII. The private prop erty of the stockholders of the cor poration shall be forever exempt from its debts or obligations.
