Beauchamp, City Health Of ficer of the City of Phoenix do hereby give public notice that during the con tinuance of the epidemic of influenza in the city, no. proprietor or manager of a business establishment, hotel or club in the City of Phoenix shall per mit the congregation of people within nis place ot business in such a way that there will be assembled in any room at any time more than one per son for each 1200 cubic feet of air space therein. Regulations previously issued shall apply to eating places. The pro prietor and or manager ot the business establishment shall be held responsible for the enforcement of this order. The above order is promulgated in accordance with provisions of ordi nance No. 236 of the City of Phoenix, and that under the provisions of said ordinance any person violating the above order is guilty of a misdemeanor and is punishable by a fine of not more than Three Hundred ($200.00) Dollars or by imprisonment not lo exceed nine ty (90) days or by both said fine and imprisonment. K; Beauchamp, City Health Of ficer of the City of Phoenix do hereby give public notice that 'uring the con tinuance of the epidemic of influenza in the city a report in writing on forms provided therefore shall be filed daily by every physician practicing within the city. Such reports shall be filed in person or by mail at the office of the City Manager beginning November 20th, 1918. The reports shall state the n.me and address of each patient in the City of Phoenix who has come un der the care ot said physician duriing the previous twenty-four hours, i. e. new cases. If no such new cases have come un der the care of the physician during the previous twenty-four hours, said physician shal file report stating that fact in the same way as above pro vided for. The attending physician shall plac ard the residence of each patient suf fering with influenza with quarantine notice in form as furnished by tho City Health Department and shall maintain such notice in a prominent location so long as the Quarantine is necessary. Such card shall be removed only by or der of the City Health Department. This order shall remain in full force and effect until countermanded by the City Health Department. The above order is made in accord ance with the provisions of Ordinance No. 236 of the City of Phoenix, and violations may be punishable under the provisions of said ordinance. 1L K. BEAUCHAMP. KNOW ALL MEN BY THESfi, PRESENTS, That we, the undersigned, have this day associated ourselves to gether for the purpose of forming a corporation under and pursuant to the laws of the State of Arizona, and for that purpose do hereby adopt ARTI CLES OF INCORPORATION AS FOL LOWS: ARTICLE I. The name of this cor poration shall be THE COMMUNITY OIL & DEVELOPMENT COMPANY. ARTICLE II. The principal place ot business -f this corporation within the State of Arizona, shall be at Phoenix, in Maricopa County, Arizona, and the principal place of transacting business outside of Arizona, shall be at Minne apolis, Minnesota, and such othei places as the Board of Directors may determine, where meetings of Directors may be held and all business trans- ARTICLE IIL The general nature of the business proposed to be trans acted is to make contracts; to pur chase, lease, ODtion, locate, or other wise acquire, own, exchange, sell, or otherwise dispose of, pledge, mortgage, hypothecate, and deal in mines, mining claims, minerals, mineral lands, coal lands, oil lands, timber lands, real and personal estate, water, water rights ana to work, explore, operate and develop the same, and to extract any and al! minerals .oils and gas therefrom, and deal in the products and by-products thereof; to purchase, lease or other wise acquire, erect own, operate or sen smelting and ore products works, oil refineries, saw mills and power plants; to do a general real estate, manufac turing and mercantile business; to own, handle and control letters, natents and inventions and shares of its own capi tal stock and that of other corpora tions, and to cancel and reissue shares of its own capital stock: to issue bonds, notes, debentures and other evidences of indebtedness, and to secure the pay ment of the same by mortgage, deed of trust or otherwise; to act as agent, trustee, broker or in any other fiduciary capacity; to borrow and loan money; and in general to do and perform such acta and things and transact such. Legal Advertising business, not inconsistent with law, in any part of the world as the Board ot Directors may deem to the advantage of the corporation. AHT1CLE IV. The authorized amount of capital stock of this cor poration shall be lorty-five thousand ($45,000) dollars, divided into nine hun dred (900) shares of the par value ot iniy iu) dollars each. ARTICLE V. At such times as the Board of Directors may by resolution direct, said capital stock shall be paid into this corporation, either in cash or by the sale and transfer to it of real or personal property, contracts, services, or. any other valuable right or thing for the uses and purposes of said corporation in payment for which, shares of the capital stock so issued shall thereupon and thereby become and be fully paid up and non-assessable forever, end in the absence ot actual fraud in the transaction the Judgment of the directors as to the value of the property purchased shall be conclusive. ARTICLE VI. The time of the com mencement of this corporation shall be the date of the filing of a certified copy of these Articles of Incorporation in the office of the Corporation Commis sion of Arizona, and the termination thereof shall be twenty-five years thereafter, with the privilege of re newal as provided bv law. ARTICLE VII. The affairs of this corporation shall be conducted by a Board of Directors, and such officers as the directors may elect or appoint, and the following names shall consti tute the Board of Directors until their successors are elected and have quali fied: John H. Morley, R. S. Brown, F. K. Nordgren. Homer Jeffexs, George Roilke, F, J. Clifcorn and J. C. German. Thereafter the Board of Directors shall be elected from among the stockholders at the annual stockholders' meeting, to be held on the third Saturday of Jan uary of each year. ARTICLE IX. The highest amount of indebtedness or liability, direct or contingent, to which this corporation shall be subject at any one time shall be ten thousand ($10,000) dollars. ARTICLE X. The private property of the stockholders and officers of this corporation shall bo exempt from all corporate debts of any kind whatso ever. ARTICLE XI. The principal place 01 business of this corporation within the State of Arizona, shall be at Phoenix, in Maricopa County, Arizona, and the principal place of transacting business outside of Arizona, shall be at Minne apolis, Minnesota, and such other places as the Board of Directors may determine, where meetings of directors may be held and all business trans acted. The general nature of the business proposed to be transacted is to make contracts; to purchase, lease, option, locate, or otherwise ac quire, own, exchange, sell, otherwise dispose of pledge mortgage hypothe cate and deal in mines mining claims, minerals, mineral lands, coal lands, oil lands, timber lands, real and personal estate, water, water rights, and to wont explore, operate and develops the same and to extract any and all minerals, oils and gas therefrom, and deal in the products and by-products thereof; to purchase, lease or otherwise acquire, erect, own, operate or sell smelting and ore reduction works, oil refineries, saw mills and oower plants; to do a general real estate, manufacturing and mer cantile business; to own, handle and control letters patent and inventions and shares of its own capital stock and that of other corporations, and to cancel and reissue shares of its own capital stock; to issue bonds, notes, debentures and other evidences of in debtedness and to secure the payment of the same by mortgage, deed of trust, or otherwise; to act as agent, trustee, broker or in any other fiduciary ca pacity; to borrow and loan money; and in general to do and perform such acts and things and transact such business, not inconsistent with law, in any part of the world as the Board of Directors may deem to tbe advantage of the cor poration. ARTICLE IV. The authorized amount of capital stock of this cor poration shall be forty-five thousand ($45,000) dollars, divided into nine hun dred (900) shares of the par value of fitty ($d0) dollars each. ARTICLE V. At such times as the Board of Directors may by resolution direct, said capital stock shall be paid into this corporation, either in cash or by the sale and transfer to it of real or personal pronerty, contracts, serv ices, or any other valuable right o thing for the uses and purposes of said corporation, in payment for which, shares of the capital stock of said cor poration may be issued, and the capital stock so issued shall thereupon and thereby become and be fully paid up and non-assessable forever, and in the absence of actual fraud in the trans action the judgment of the directors as to the value of the property pur chased shall be conclusive. ARTICLE VI. The time of the com meneement of this corporation shall be the date of the filing of a certified copy ot these Articles of Incorporation in tho office of the Corporation. Shippin: shares monopolized the bulk of specu lative attention in today's stock mar ket, their activity and strength far out stripping all other issues in which Ir regular or reactionary tendencies most often prevailed. Announcement that the Washington government had made a tentative offer for the huge tonnage of the Mercantil.3 Marine company, thereby halting the negotiations with British interests, re sulted in highly spectacular move ments. Marine preferred made an extreme advance of almost 16 points, forfeitlni one-third of its advantage in the heavy realizing of the last hour. The six per cent bonds showed a gross gain of six points, with substantial gains in asso ciated issued. United States Steel and Independent Industrials also leading, and seconao eouipments reacted one to three points. Studebaker and oils reversed their up ward course of the previous session, Mexican Petroleum declining almost six points. Rails developed an erratic trend at the outset, yielding 1 to 2 points latet, but some of the gas issues and other utilities remained steady to firm until carried under by the broader selling, which marked the final dealings. Total sales amounted to 730,000 shares. Trading in bonds was contracted and the tone irregular, foreign and domestic issues fractionally lower. Liberty fourth 4Vs established a new minimum at 97, three per cent under tho subscrip tion price. Total sales, par value, ag gregated $9,750,000.
