The outlook i for the cantaloupe growers of this dis ; triet is generally good! Shipping will commence about June 25. Heavy ship ! ping will start about July 5. Reports from the Imperial Valley indicate that i they will be through with the bulk of their shipping about June 22. This will i relieve the markets for the Salt River i valley melons. Reports from Turlock state that air the early melons there were ruined by a big. sand-storm, so that these will not interfere with the last end of the shipping from here. Some of the growers are bothered with Aphis, but this is not general and in the fields where the Aphis are work ing, they are spraying, so it is not thought that they will spread. Wil liams, and R. W. Hollis. whose names are hereto subscribed, have associated and do hereby associate ourselves to- ether for the purpose of becoming in corporated under the general incor poration laws of the state of Arizona, and to that end do hereby make, adopt, execute and acknowledge these articles of incorporation, to-wit: ARTICLE I. The name of this corporation is Elias & Pool Oil and Gas Company. Its principal place for transacting business shall be Phoenix, Maricopa county, Ari zona, but it may have branch offices to do business and its board of direc tors may meet for transacting business a such other places within or without the State of Afizona as may be found necessary or convenient for the con duct of business and as the board of directors mr. designate from time to time. ARTICLE III Tfce general nature of the business proposed to be transacted and carried on by this corporation is as follows: To acquire, develop, hold, improve, and dispose of lands containing or believed to contain gas, petroleum and other mineral deposits; and in fur therance of said business and not in limitation thereof to purchase, ex change, lease, locate, patent or other wise acquire, own, hold, possess, ex change, mortgage, pledge, sell or other wise dispose of real and personal property of every kind and charac ter, and particularly lands containing cr believed to contain petroleum and ether oil springs and deposits. To carry on the business ot search ing- for, prospecting, preparing, pro ducing refining, piping, storing, trans porting, supplying, buying, selling, manufacturing and distributing, petro leum and other oils and -their products and by-products; To construct, build, operate and maintain oil wells, refineries, build ings, machinery, plants, stores and warehouses ; To handle, store, transport and pre pare for market and buy and sell, oils .iid oil products and by-products, and tj erect, maintain and operate re fineries, pipe lines, storage tanks, mills, works, laboratories, workshops, and dwelling houses for workmen and others; To manufacture, buy. sell, import, export and generally deal in machinery, pumps, drills, fuses, caps candles, implements and conveniences suitable fir use in connection with the oil or minirg business. To lend, borrow and contribute money; o acquire, hold, manage and dis pose of any stock, shares, debentures, bonds and interests in or issued by any corporation, joint stock company or limited prrtnership association en gaged in or aiding the producing, transportation, storage, refining and selling, of .rude petroleum or its pro ducts, or in any business incidental thereto; To purchase or otherwise acquire. sell or dispose of its own capital stock; To own, handle and control letters patent and inventions; To hold, pledge, vote and control stocks of this and other corporations; To take, own, hold, deal in. mortgage cr otherwise encumber, lease, sell, ex change, transfer, or in any manner whatsoever dispose of real or personal property or any interests therein, whertspever situate, in the name of this corporation or in the name of its agents or trustees; To do all things essential or inci dental to the various lines of business herein specified, and in such places within or without the State of Ari zona as may suit the convenience of this corporation. To do any or all of the things here in set forth to the same extent natural persons might or could do in any part of tne world as principals. agents, contractors, trustees or other wise. ARTICLE IV. The total authorized capital stock of this corporation shall be One Hun dred Thousand ($100,000.00) Dollars, divided into one hundred thousand (100,000) shares of the par value of One ($1.00) Dollar each. The capital stock of this corporation may be issued for cash, services or property,- upon such conditions and terms as may be determined by the board of directors, which shall have full power and discretion to fix the value of the property or services in exchange for which stock may be is sued and whose valuation shall be conclusive. The board of directors may sell stock foi cash at such price or prices as they may from time to time determin All stocks shall be issued fully paid and non-assessable. ARTICLE V. Th time of the commencement of ;his corporation shall be the date of the ruins? of these articles of incorporation in the office of the Corporation Com mission of Arizona and the recordation of a certified copy thereof in the office .-l the County Recorder of Maricopa Court, Arizona, and it shall termin ate twenty-five years thereafter, un less i". be renewed in manner provided by law. ARTICLE VI. - The affairs of this corporation shall be conducted by a board of not less than three (3) nor more than five (5) directors. Such board of directors shall be elected at the annual meeting ff tho stockholders, which shall beheld upon the second Monday in January, 19-C. and annually thereafter, and shall serve until their successors are elected and qualified. Until the first annual meeting and until their successors are elected and qualified the following named personr. shall compose the ooard of directors: Frank M. Pool, A. B. Williams, XL W. Hollis. The board of directors . shall have power at any meeting at which a quorum shall be present to elect two (2) additional directors from among he stockholders of the company and 'he board of directors shall have the power to fill all vacancies occurring in their number. The board of di rectors shall have full power to es tablish by-laws and alter and amend the same, and make all rules and iegu'ations expedient for the manage ment of the affairs of the corporation. The directors shall be stockholders of this corporation, and any person ceasing to be stockholder shall cease to be a director. ARTICLE VII The officers of this corporation shall le rresident, vice president, secretary and treasurer, who shall be elected y the board of directors immediately after each annual meeting of the stockholders, and who shall hold office for one year or until their successors are elected and qualified. Until the first annual meeting of the board of directors, the directors named herein" shall elect the officers of the corporation and the board of directors shall have power and authority to fill any vacancies among the officers of this corporation. The offices of secre tary and treasurer may be held by one and the same person, if so ordered by the board of directors. ARTICLE VIII The highest amount of indebtedness or liability, direct or contingent, to which this corporation shall at any time subject itself is Sixty-six Thous and ($66,000.00) Dollars.
