Ho said he first became acquainted with Ives eight year ago, both being employed as clerks In an advertising ageut'a oSce. After that wit ness went Into the fire Insurance business and on February 1, l&ft, after being Ives partner, chanced his relations and became confidential clerk, lawyer rarxor as nee. the witness what he had seen or beard about that time concerning lvos' Inception of the scheme. The witness said: "I went into the back office and looked after a sup plement of a financial paper containing a map of the C., H. & D. road. I heard Ives' remark to Stsyner that it would be a very good thing to gain control of the road." In June, 18K7, he wss called west In re sponse to s telegram from Ivea. When b reached Cincinnati Ives received him cord- tally aod the noxtday the election took place and Woodruff was surprised by being appointed ootelacted secretary and treas nrerofthe road. On the same day, June 17. Ivee sent him over to the C, H. ft D, offices to obtain the book of the road. He got them and the aame evening left for New York. Just before reaching Jersey City Ives ordered him to come over and take breakfast at S tamer's house in Brooklyn. "After breakfast Ives produced the stock eertifiostesof th company and told me to fill them out as he directed first 2,000 sbaresln the aame of Thomas Moore. Ives said : 'Make them out in 400 or 800 shares each.' Utayner said that was too much and they were finally made out In lota of 100 shares each. Altogether 4,000 shares were signed. Those shares were made out ea June 31, but Ivea said to date them the lBth; that it wo j Id be better to do that, as they would not look as frea.n - After some queries by the District Attor ney, the fact was brought out of the burn ing of the stock ledger In the cellar of Ives' house. Ives had said "This book must be destroyed. If tt falls into their hands it would show the fact of the overissue of the stock." Woodruff then proceeded to ex plain the contents of th stock ledger In de tail and how the false and genuine stock was recorded. !.'':'' ' Woodruff testified that Ives had told him that a the company Itself controlled a ma jority of the stock the officers of the coov pany had every thing ia their own hands, nnd that no trouble could come to them through the overissue of the stock. Subse quently Ivee had handed to witness 3,300 "new" share for the purpose of cancelling old stock; 8,000 shares of this lot. of new stock were not recorded, because there was not sufficient old stock for cancellation. Ivea had erased the signnture of Mr. Elm merman from acme of the certificates In order to deceive Mr. Burns, who was the ragistrarof the American Exchange Na tional Bank, where the stock wss registered according to custom. Ives hsd said to wit ness: "We must not let Burns get onto thisor we'll gel up s tree." About August H Burn called at Ives' office and asked to see tbs old certificates fur wtiich new one had been issued and registered. Witness and Ives managed to temporarily reassure Mr. Burns, and that night Ivea and Wood' ruff sat up late and prepared what they afterward snowed Burns as the old cortin cstes. As fast ss the bogus certificate were finished they were hurried over to Burn, who was ' waiting for them. This scheme quieted the suspicion of the bank officials, which had been aroused.
