Sullivan, have this day associated ourselves together fur the purpose of organising a corporation under the laws of the Territory of Arizona, and pursuant thereto do hereby make, sign, execute, acknowledge, file and record the following Articles of Incor poration : Article I. The names of the Incorporators are Allen T. ISird, Ignatius Rurgoon and P. R. Hullivan, snd the name of the Incorporation shall be and is the NATION A LCONSOLl DATED MINING COMPANY, and its duration shall be Twenty-five. The affairs of this Corporation shall be conducted by a Hoard of Three Direc tors, and the following named shall consti tute the Hoard of Directors until their succes sors are elected : viz: Alien T. Rird, Ignatius Rurgoon, P. R. Sullivan. Thereafter the Hoard shall lie i letted from among the Stockhold ers on the first Monday niter the first Tuesday in each j ear. '1 he otlicers of said Corporation until their suf.vsrr are elected shall be Igna tius Hurgoon, President; P. It. Sullivan, Secre tary; Allen T. Rird, Treasurer. Such other otli cers as may be determined by the Hoard of Di rector! shall be elected by the Hoard of Direc tors, and shall hold their olSicers unt il the next annual meeting, or until their successors are elected and jiiiilified. Said otlicers shall re ceive such compensation as the Ryard of Direc tors may determine. The Hoard of Directors shall hn've power to fill all vacancies among their number, or among the officers of the Cor poration, us may occur by death, resignation or otherwise. The meetings of the Hoard of Directors shall be held at such times and such plaees -.as th majority of said Hoard shall determine, and all such meetings, at which a majority of the Hoard may be present, shall be regular meet ings.. The annual meeting of the Stockholders shall be, held on the first Monday after the first Tuesday in each year. The Hoard of Directors shall have full power to sell or exchange the shares of the capital stock of this Corporal ion for mineral lauds, mines, mining claims or other real property, or for mills, smelters, hydraulic plants cr any other kind of machinery, or for any other kind of nersonal property, as for any and all kinds of labor or services needed in carrying on the business of the Corporation on such terms as to the Hoard of Directors may seem best, or to sell the same for cash, or to exchange the same for shares of the capital stock of other corpora tions. The Hoard of Directors shall have power to make, establish, amend, repeal or alter all liy Laws, Rules and Rcguhituuisdeeined expedient for the management of the affairs of the Cor poration, and to appoint and employ all neces sary agents, servants and laborers and fix the compensation of the same. if any directi r shall cease to be a Stockhold er, he shall, thereby and thereupon cease to be Director, and the remaining directors shall elect u Director from the Stockholders of said Corporation t till f-aid vacancy until the next annua meeting of the Stuckho'ders. The1 Stockholders may he 're sent by proxy at any and all - meeting! of the Stockholders, and vote upon all questions as though present in person,, .provided always that such proxy shall be in writing and held and voted tiy a Stockholder of the Corporation. Aktk'I.e VII. The Dllict rs and stockholders of this Ci rporatioii and their private property shall always be exempt from any and all liabi lity fur debts of this Corporation. Airnci.K VIII. The moHEsr amount ok in I'KBTKi.i.NKss, direct or contingent, to which this Corporation may at any time be subject shall iii.it exceed two-thirds (2-8) of the capital stock. Autki.k IX, These Articles may be amend ed at any regular meeting of the 'Stockholders by the atlinmUive vote of three-fifths (;!-;) of ail the st. ck present at such meeting, provided Ciat such three-fifths present snail be at least one-half (1-2) of nil the stock issued, and provided that any other than the annual meet ing, that notice of the intended amendment has been given the Stockholders with the notice of the meeting at which such amend ment is t be submitted for action. Article X. Until vacated by subsequent appointment, death, resignation, or removal from Arizona, Allen T. Kird, Jr., who is and lias been a bona tide resident of Arizona, for at least three years ht jt past, is hereby appointed agent of this Corporation, upon whom all notices and processes, including service of sum mons, shall lie served.
