we, whose hands are hereunto affixed, do"
hereby associate ourselves together for the
purpose of forming a corpjraium under toe
Jaws of the Territory of Arizona, and to that
end make the following statements:

locate or otherwise acquire, own, exchange,
sell or otherwise dispose of, pledge, mortgage,
hypot hecate and deal in real estate and any
and all kinds of personal property, mines,
mining claims, oil lauds, coal lands, mineral
land, oil, gas, coal, shale, asphaltuin, petro
leum, asbestos, salt, water and water rights
.and machinery, and to work, mine, explore,
operate and develop the same; and in general
to do all things neccssarv to the proper con-!
duct of the business of this Corporation in tne
Territory and elsewhere, not inconsistent

Territory of Arizona, or the Republic of Mexico

Thibjj: The authorized amount of capital
tocl of this Corporation shall be Twenty-five
Thousand Dollars (fift.OoO) divided into Tweuty

Ten Dollars (110) each. At such times as
the Hoard of Directors may by resolution
direct, said capital stock shall be paid into1
this Corporation, either in cash or by the sale
and transfer to it, of real or personal property J

ARTICLES OF INCORPORATION
OF THE
TIIE BAR1STE COPPER COMPANY.
Know all Men by These Presents, That
we, the undersigned, Harry Austin Clapp,
Arthur W. Davis. Edward R. Austin, each of
whom is a resident and citizen of the
United States of America, being desirous
of forming a corporation under the laws of the
Territory of Arizona, have this day voluntarily
associated ourselves together into a body cor
porate, and do hereby make, sign and acknowl
edge, each for himself, and do adopt these
Articles of Incorporation, and do hereby cer
tify :
First. The name of this corporation and bv
which it shall be authorized to act is "THE
JJAK1S1JE COPPER COMPANY."
second. The name of the incorporators are
Harry Austin Clapp, Arthur W, Davis and
Edward R. Austin,
The principal otlice, or place of transaction of
business of this corporation shall be at the
town of Nogales, Santa Cruz County, Territory
of Arizona, but branch office may be kept and
maintained at such other place or piaceseither
in tne United States of America or ia foreign
countries, as tne Jioar.i or lorectors may, iuon
time to time determine, atany of which offi
ces meetings of the stockholders and directors
may be held and all business transacted.
Third. The amount of the capital stock of
this corporation shall be Two Million Dollars
($2,000,010) divided into Two Million shares
(2,oo0,uo0) of the par value of One Dollar (fl.OO)
each.
At such times and under such conditions as
the l ard of Directors may direct, such capi
tal stock shall be paid into the Corporation,
either in cash or by the sale and tian.-o'er to it
of real or personal property, for the uses ami
purposes of said corporation, ir payment of
which shares of the capital stock shall be is
sued, and such stock when issued sliail Ik,-fully
paid and non-assessable.
The capital stock may be increased or de
creased by the affirmative vote of the majority
of the stock, then issued ; but in the case of the
increase of the capital stock, each shareholder
shall have the privilege of subscribing fursuch
number of shares of tiie proposed increase as
he may be entitled to according to the number
of shares held by him before the stock i in
creased. Fourth. The time of the commencement of
this corporation shall be the day of the Jilmg
of its Articles of Incorporation in the office of
the Cotnuy Recorder of Santa Cruz County, ami
a certified copy in the office of the Auditor for
the Territory of Arizona, and the termination
thereof shall be twenty five years thereafter.
Fi fth . The busi ness affa i rs of t h is corporation
(shall be conducted by a Board of Directors,
consisting of not less than three nor more than
seven members, each of whom shall be a
stockholder and w henever a director ceases to
be a stockholder he shall at the same time
cease to be a director.
They shall be elected annually by the stock
holders at their regular annual meeting which
shall be on the first Wednesday in March
of each year, after the year l'.:iti, in
any of the cilices of the corporation,
and they ;,hall hold their offices until
their successors are duly elected and qualified.
Any vacancy in the Board of Directors may
be tilled by the remaining members of the
board by appointment from among the stock
holders, and such appointment shall be for the
unexpired term for which the appointment is
made.
The first Board of Directors shall consist of
the following persons, to-wit: Harry Austin
Clapp, Arthur N. Davis, Edward It. Austin
and lour other persons to be named by these
three. A maji-rity of the Beard of Directors
shall constitute a quorum for the transaction
of all badness.
Sixth. The highest amount of indebtedness
or liability, either direct or contingent, to
which this corporation is at. any time to sub
ject itself, shall not exceed the sum of Seven
"Hundred and Fifty thousand (K "".'-".1) dollars

of this corporation shall be exempt from the
payment of its corporate debts.
Seventh. The ucncral nature of the business
proposed to be Irati.-ncted by this corporation
is to locate, buy, bond, acquire, hold, own,

mortgages and deeds of trust to secure the

act and thing which it is law ful for natural
persons to do, all of which businesses or occu
pations may be carried on at such places either
in the United States of America or foreign
countries us the Board of Directors may deem
best for the interests of the corporation.
EiOHTH. Within a reasonable time after, the
election of any Board of Directors they shall
meet at any of the offices of the corporation
and elect the otlicers of the corporation, who
shall be a President. Vice-President, Secretary
and Treasurer, and such other otlicers and
agents as the board may deem necessary for
the best interests of the corporation.
The President, Vice-President, Secretary and
Treasurer shall be members of the Board of
Directors and the offices of Secretary and
Treasurer may be tilled by the same director.
All the officers shall hold their offices during
the life of the Board of Directors by whom they
are elected, and until their successors are
elected and qualified, unless sooner removed
by a vote of two thirds of the direc tors.
"Nine. These articles of incorporation may
lie amended or altered at any regular meeting
of the stockholders or at any special meeting
called for that purpose, by an affirmative vote
of the stock then issued, and the Board of
Directors or any three stockholders may call
a meeting of the stockholders for this or for
any other purpose not inconsistent with law,
but, notice of such proposed amendment shall
be given each stockholder either personally or
