Austin ( lpp em'h of whom is a citizen of the
I'niti-il Stales of Americu, leing desirous of
forming a corporation under the laws of the
Territory of Arizona, have this day voluntarily
iiMsiii'iaU'd ourselves together into a body cor
porate, and do hereby make, sign and
acknowledge, each for himself, and do adopt
these articles of incorporation, and do hereby
certify:
First. The name of this corporation and by
which it shall be authorized to act is "LAS
TABLAS COPPER COMPANY".
Second. The names of the incorporator! are
Samuel B. Grubbs, Paul II. Seymour and
Harry Austin Clapp and the principal otJice or
place of transacting business of this corpora
tion shall be in the town of Nogalcs, sianta
Cruz County, Territory of Arizona, but branch
oftices may be kept and maintained at such
other place or piaces either in the I'nited
Hates t- America or foreign countries, as the
Hoard of Hirectors may from time to time
determine, at any of which offices meetings of
the stockholders and directors may be held
and all businesj transacted.
Third. The amount ot the capital stock of
this corporation shall lie One Million Dollars
(l,H0u,000.0ii) divided into One Million shares
(1,000,000) of the par value of One Dollar ($l.ou)
each.
At such times and under such condition as
the Board of Directors may direct, such capital
stock shall be paid into the corporation cither
in cash or by sale and transfer to it of real or

piping, handling, storing, dealing in, buying
and selling, gold, silver, copper, coul, iron, oil,

asphaltum, bitumen, bitmnenous rock and

and for such purxes to buy. contract for,
lease or otherwise aeouire, hold, own, manage.
operate, mortgage or sell or otherwise convey

the purposes of said corporations: to manufac
ture electricity, obtain rights ;f way. erect
poles, string wires, and buy or ell electricity,
to carr on and control a general merchandise,

conduct of said business; to buy, procure,!
hold, own, sell, construct, ejuip, mortgage,
maintain, and operate railroads, steam ships, I
ferries, tramways, stagelines. automobiles and
any and all other kind-; cf transportation, in
cluding equipments thereof and therefor, for
mining or transporting, or for other lawful
use or business; to own. handle or control
letters patent and inventions, to purchase or
otherwise acquire, hold, own. pledge, hypothe
cate, sell or dispose of the capital stuck of
other corporations, and also bonds, debentures,
bills, promissory notes, mortgages and pledges
of other partnerships, corporations and per
sons; to borrow money and execute bonds,
notes, mortgages a;;d deeds of trust to secure
the same; I i register stock of other corpora
tions and to act as tian-fcr agent for the same,
and to do and perform each and every act and
thing which it is lawful for natural persons to
do. all of which businesses or occupations may
be carried on at such places either in the.
I'nited states of America or foreign countries
as the Board of Directors may deem best for
the interests of the corporations.
En.HTii. Within a reasonable time after the
elccti'.ai of any Board of Directors thev shall
meet at any of tin; ollices of the corporation
and elect the officers of the corporation, which
shall lie a President, Vice President, Secretary
and Treasurer, and such other officers or audit's
j as the Board may deem necessary for the best
j interests of tiie corporation.
j The President. Secretary and Treasurer shall
oe memriers ot the Hoard of Director. and the
offices of secretary and Treasurer may be filled
by tiie same director.
All the o.hcvrs shall hold their offices during
the life of the Board of Directors by whom
they are elected and until their Mieeessors are
elected and qualified, unless sooner removed
for cause by a vote of two thirds of the
directors.
Ninth. These articles of incorporation may
be amended or altered at any regular meeting
of the stockholders, or any special meeting
called for that purpose, by an affirmative vote
of a majority of the stock then issued, and the
Board of Directors or any three stockholders
may call 11 meeting of the stockholders for this
or any other purpose not inconsistent with
lav, but notice of such meeting the object of
the same shall be given each stockholder

Mexico and Arizona to form a constitution for
the proposed State of Arizona, among the sev

of the provisions of said act of Congress, it has
been by the iiovernor of Arizona, and is now
by this Proclamation, ordered: That at the
general election to be held in the said Terri
tory of Arizona on the iith day of November,
I'.Hlft, the said Delegates apportioned to the said
convention as aforesaid, shall be voted for by
tho electors qualified to vote at said general
election, in the said several counties.
And it is further ordered : That there shall
also be submitted to the qualified electors ut
said general election, 11 question which shall
lie stated on the sumo ballots on which the
1 names of candidates for Dc'cgates to the con-

Electors desiring to vote, in the afhirmative
of that question shall place a cross mark In the
square to the left of the word "Yes;" and those
desiring to vote in the negative shall place a
cross mark in the square to the left of the word
No" in the form above prescribed.
Such election shall be conducted in all re
spects as prescribed by the laws of the said
Territory nf Arizona governing general elec
tions. The returns of said election fur Delegates to
the proposed constitutional convention shall
lie made, and the certificates of person elected
thereto issued, as near as may be in the same
manner as is prescribed by the laws of the
Territory of Arizona regulating the elections
therein of members of the Legislative Assem
bly of said Territory, and as is further pre
scribed by said act of Congress.
And the result of the said election upon the
question above directed to be submitted to the
electors at said election shall lie ascertained,
returned, and duly certified, as nearly as it is
practicable to lie done, in the manner pre
scribed by the laws of this Territory for the
ascertainment, return and certification of the
results of the election for Delegate to ongress,
and as ltirther prescribed by said act of ton
gress.
And tho several precinct, county, and Terri
torial officers in the Territory who are charged
by law with any duties relating to general
elections are, so far as those duties are ap
plicable to the election hereby ordered, and
not inconsistent with said act of Congress,
"likewise charged with the performance thereof
in respect to this election; and in addition
thereto; such other duties in respect thereto as
are prescribed by the provisions of said act of
Congress.

whom shall be a stockholder and whenever a
director ceases to be a stockholder he shall at
the same time cease to be a director.
