A considerable "cave"' occurred on Thursday at the foot of Main street between two of the mattress sections; occasioning some apprehensions In the minds of many persons as to the dura bility aud efficiency of the government work now going on. It i believed that there is no reason for any such fear. The eave was probably the re sult of causes that have been operating for a long time, before the construc tion of the protective works. Iu other words, the bank has been ready to slide at that point for a good while, and as the elfect of the work is not retroactive, they did not prevent it It is likely that other isolated "pock ets" will slide out at various points, where the bank has long been un dermined, as has been the case at pre vious low water stages. Such casuali ties will not be of any importance so long as tho works remain in place, aud the mam line is held. Be it further enacted, That the corporation herein named may at auy time orgnni.c under this charter; may open book3 for and re ceive subscriptions to tint capital stock of said corporation; aud all who sub scribe thereto shall have all the powers and privileges ot said original incor porators herein named, and when ouo- lnul ot the capital stock hereinbefore mentioned shall have been subscribed, and ouc-hitlf of such subscriptions shall have been paid up, said corpora tion shall bo ready for business, and Hilly endowed with all the powers con ferred by this charter, and at the nicet- iug when such orgauizatiou is elici ted or at somo subsequent meeting the stockholders shall elect from their owu body three directors in whom the governing powers of such corporation shall be lodged; and such directors shall elect one of their own number president, and another secretary and treasurer of such corporation, aud such tuer oilicers as they may deem neces sary; but said corporation may change the number of directors herein men tioned by increasing the number should it bo deemed best to do so. Section 7. Bo it further enacted. That no member or stockholder of said corporation shall be liable for the debts of said corporation beyond the unpaid amount of his subscription, Section 8. Bo It further enacted, That In conducting the all'alrs of said corporation, and in alt voting for di rectors, or for auy purpose w hatever, each slmro of stock shall bo eutitled to ono vote: and no meeting of stock holders shall be valid as a quorum for tho transaction of business unless a majority of the stock subscribed shall bo represented bv the owner in person or by proxy; and notice in a manner to be prescribed by the by-laws shall be given to all stockholders to attend said meetings. Be it further enacted, That the stock of said corporation shall be assignable only on the books of the corporation, and no trnusfer of stock shall be made bv anv stockholder who shall be indebted to said corporation; and tho certificates of stock shall con tain upon them notice oj" this pro vision. Hunt, James Uobertshaw anil Jacob Scott, their as sociates, successors and assigns, are hereby incorporated under the name of the tireenviile Brick aud Improve ment Company; and- by that name mav sue aud be sued, plead aud tie impleaded, contract and be contracted with, end may have a common seal and alter the same at pleasure; and said corporation shall have perpetual succession. '2. The domicil of said corporation shall be in tho city ot Greenville, Washington county, Mississippi. 3. The objects and purposes of said corporation are to manufacture and sell brick, artificial stone, tile, terra cotta, and any other substance which Is made hi wholo or In part from wood, clay, snnd, gravel, or soil. Also to build houses, to enter Into contract for the construction of, and'to!coustruct,any and all kinds of brick and. stone and wood work, or anv other kind of work wherein auy of the before mentioned articles or substances are used. 4. It shall have power to lend and borrow money, and to take aud make mortgages and deeds of trust. To purchase and hold stock lu any corporation now or hereafter created. To run aud oporato a line of steamboats aud barges In the Missis sippi river, or any river or stream within tho State of Mississippi. And said corporation is hereby authorized to issue bouds, and to hypothecate or sell the same; provided the amount thereof shall not exceed the capital stock of said company. And to exer cise any othor aud further powers not herein expressly named, widen may assist or bo necessary to fully and conveniently carry out tho purpose of this corporation as expressed in section three of this charter. 6. The capital stock of said corpo- ratiou shall be fitly thousand dollars, divided into shares of one hundred dollars each.
