THE CHARTER OF INCORPORA
TION Of Chicago-Mississippi Land and
Article 1. Know all men by these
presents, that Frederic li. McMullen

and R. B. Campbell desire to be incor
porated, and tliat they,and such other
persons as may be their associates
herein, are hereby created and consti
tuted a corporation, for the purpose of
pecuniary profit, under and by virtue
of Chapter twenty-five of the Code of
Mississippi, of the year 1892, and laws
Article 2. The name by which said
corporation is to be known is Chicai?o
Misslssippl Land & Lumber Companv.
Article 3 The purposes for which
said corporation Is created are to pur
chase, own, lease, hold and occupy
lands aLd the timber standing thereon;
to own and operate saw mills for the
manufacture of logs Into lumber; to
buy and sell lumber, logs, timber,
posts, poles and blocks; to buy and sell
devices and patents useful in the man
ufacture of lumber; to own, lease and
operate boats, trams and conveyors for
the handling and marketing of lumber;
to own and operate a general store and
to carry on a general merchandising
business; to sell and lease or to culti
vate lands from which standing timber
has been cut, and to market the pro
ducts thereof; to buy, own, sell and
lease any real estate or personal prop
erty or interest therein that the cor
poration may deem necessary to use
in its business; to buy, own or sell any
or all kinds of personal property; to
to issue bonds, debentures, notes, or
other evidences of Indebtedness and to
secure the same by mortgage or deed
of trust or collateral pledge.
Article 4. The powers to be exer
cised are the powers necessary,
proper and convenient to the carrying
out of the nurposes, objects and busi
ness specified in Article 3 of this char
ter, and such powers as are conferred
by Chapter twenty-five of the Code of
Mississippi, of the year 1892, and laws
Article 5. The period forwhich said
corporation is to exist shall be fifty

cipal place of business of said corpora
tion shall be at the City of Greenville,
Washington County, Mississippi, until
the said corporation shall have erected
its mills and thereafter its main office
and principal place of business shall
be at its principal mill in said county;
but said corporation may have branch
offices in any other State or States as
the directors may by resolution deter
mine. Its business affairs and pruden
tial concerns shall bo governed, con-
trolled and managed by a Board of
Directors of nve persons, wno snail
