Grady and their associates and successors are hereby eonstituted a body politic and corpor ate by the name and style of the Green ville BankiDij Trust & Guaranty Corn puny, and by thut name may sue and be sued, plead and be impleaded in all tie courts of Jaw and equity: may adopt a corporate seal and change the ;nje at pleasure, may contract and be contracted with; and in general rury possess all the rights, powers and priv ileges conferred by the laws of the State of Mississippi on corporations created in the mode and manner pr -fided in chapter 25 of the code of 1892, which are not inconsistent with the . purposes and provision of this charter. The said corporation shall have the right and power to accept and execute all trusts of every name and kind which may, with its consent, be imposed upon it by any person or corporation, wheth er the trust be that of guardian, exec utor, trustee, the committee of an es tate of a non compos mentis, or any other trust, the said corporation being hereby invested with the power to act in such fiduciary capacity as fully as if the corporation was a person in being. ARTICLE IV. The capital stock of this corporation shall be limited to $50,000 to be divided into five hundred shares of $10o each. All certificates of stock must be signed by the president and atte-ted by' the cashier with the seal of the corpora tion attached and must be numbered and recorded. ARTICLE V. The affairs of this corporation shall be managed by a board of five direc tors, who shall be elected annually at such time and place as the by-laws shall provide, and shall hold their otlice for one year, or until their suc cessors are duly elected and qualified. Said directors shall be elected by bal lot, allowing one vote to each share of stock. Stockholders not personally present may vote by proxy made In writing to the persons representing them at such election, and said board of directors shall immediately arter their election elect one of their num ber as president and one as vice-president: they shall also select a cashier and such other officers and assistants as may seem to them necessary, pre scribe their duties, fix their compensa tion, and take from them such security for the faithful performance of their duty as they may deem necessary.
