JCKW YORK rob 26 What might le
called the guesswork stage of the teel
ileal so far as the imb Ic Is concerned
nas terminated this morning when defi
nite announcement vas made In regard
to the terms In which the securities of
the ixlstlnp companies will be exchanged
foi those of the United States Steel Cor
poration
The manacrei s of the amalgamation
ecnenie commendable decided that the
public and the stockholders In the vari
ous companies were entitled to know as
early as possible the basis on which
the old securities would be concerted into
the new and accordingly they mado pub
lic the schedules setting forth the terms
At tlKsame time off clal announcement
of the conclusion of the negotiations and
of the consummation thcrtaf was s tUJ
withheld It was at once recognized on
cxmlnitlon of the schedules that the
common md preferred i tocks of the
American Steel Hoop Company could be
taken as the units In calculation ft the
values nf the other securities to be taken
Into the combination
Steel Hoop stocks are to be exchanged
both common and preferred dollar for
WaLiquid
shares of the consolidated concerns
hence their market alue was assumed
to indii Ue the prices at which Uie new
stocks will sell allowing ol course for
Intervening fluctuations Considerations
tii5fcd thereupon led to heavy selling of
all the steel Industrials under which
some severe decPnes were scored
The Steel Hoop shares were Indeed
comparatiielj firm hut it was at once
recognized that accepting those sticks
its measures of vupie for the others con
leracd in the deal the latter Were sell
ing at excessive market valuations This
circumstance furnished most prolitable
opportunities for arbitrage operations
and indeed the professional traders of
the room gave most of their time during
tin business session to utilizing these
chances for quick and fairly assured
Prodis
It goes without saving that the terms
of the merger -as announced did not meet
with universal satisfaction and In fact
the plotters of exchange In various In
stances were severelj criticised
Apart from the stocks concerned In the
pending amalgamation other striking fea
tures of the industri il quarter w ere the
turiner advances scored in American and
Continental Tobacco on the expectation
the Internal revenue laws and American
Smelting which declined further on sell
ing superfl Jallj based on the pending liti
gation in the company K affairs but which
in fact appears to partake of the nature
of an orcanlze el bear campaign
No other movement of particular conse
quence appeared In the industrial iuaner
of the market The so called specialties
were general heavy Particularly sharp
declines appeared In Colorado Fuci and
Jron and Tennessee Coal and Iron Trac
tion shares were not conspicuous In to
elavs markrt
A welcomed feature of the davs mar
ket was the revival of favorable artivitj
In the rallwav list The most of the In
terest In St Paul npjeeared to be Insert on
the forthcoming action of the management
on the dividend on the stock which will
be decided on March 14
There have been few more Interesting
questions confronting managements than
ihrt wl lch the St Paul directors will have
to decide on the da In epiestlon Thev
have refused a must advantageous offer
from interests amplj able to make good
any guarantees the might offer and in
the parlance of the da It Is now up to
the StTTauI management to sa what the
shall elo for ihe benefit of the sharehold
ers of the company
Other strong features of the railway list
were Burlington and Qulnej Delaware
and Hudson Rock Island Southern Rall
wav and Texas and Pacific The Ixindon
market for American stocks was again
very Urong but the dealings here for for
eign account while on the busing ide
were limited to the purchase of onlj a few
thousand shares of stock

Tlie ft eel deal still was the overshadow
ing Influence in the stock market j ester
daj In the steel group Itself there was
the tendency all day to readjust market
prices In the different securities according
to the schedule put out bj Morgan o
Co In the morning This naturally caused
much Irregularity us apparently some se
curltice have been selling too high and
others too low according to the valuation
of the Morgan experts But aside from
this readjustment of the different securi
ties there was a net downward tendencj
la the group as a whole as If for some
reason the public or the professionals
were not so sure of higher prices for the
new steel stocks us they were a short
time ago It is probable taat this weak
ness was caused by professional selllnir
rather than bj liquidation of long stock
by the public though It is certain that
there was some such liquidation also In
the market generally the steel deal was
somewhat of a damper and although
there was a net gain for the day In the
grangers the Pacifies and many other
railway secuillies and In the Tobaccos It
is probable that the gains would have
been larger after the sharp reaction
of last week If there had been no steel
deal to worry over News generally was
nil good Money loaned at 2 per cent
The numerous railway earnings state
ments published were all excellent In
cluding the Atchison statement for Jan
uary There was a rumor that the St
Paul dividend w be Increased to 6 per
rent and another rumor that the St
Paul Northern Pacific deal has been
taken up again SHU another story was
that a dividend Is to be declared on Erie
tint preftrred stock at the meeting of the
illrectorR which takes place in a few days
cow There was some talk of the pos-
atbllily of money troubles in connection
with i he steel ocal but Mr Jlorgan has
promised that there will be none and ap
pjiemly the money lenders are Inclined
to bcilne him as there was no hesita
tion about lending It esterday at the
owefct rate Some of the motl conserva
uie marftct people are lncllntd to the be
icf thil priets will advance from this time
rather than decline The expectation
if the steel deal has not caused prices
inuhTe to go up An discounting of
1iat has occurred tas been In the sell
ing of blocks lather UhtrcfuiO it Is rea
sonable to suppose tint there will be a
ecovery on cohering If for no other rea
son when the deal Is completed Hut the
businci3 situation generally is excellent
and favors higher rather than Iowr
pi lets
The Jlorgan statement was of course
the news of the da as far as the steel
situation was concerned According to
tins ctntement holders of the present sc
rurltieSfWill he offered the following for
their shocks in the United States securi

quickly that the Moore propcrtl s have
been better treated than an others
with the previous market price of
their securities It wis whlspe ed th it
the Xioore people Ind driven a hard bar
gain with Mr Morgan by retus g to
unite into the deal until they ebt neJ

about Ibis statement is that while Wre

higher than the Federal Steel pr ferred
the Wire common Is almost the eheaLC t
In the entire group This is stirtb teJ tj
MrGates careful work in his own in

the man to care what may happen to Iho
holders of the common slock
The statement Is taken by the street
to mean that the deal Is practically com
pleteHl and that it Is a su cess a f ir as
getting the majority stockholders of lh
etiou companies to come in Mr Mor
gan it Is said would not Issue any such
statement until the controlling ntcrcs s
Ind been socle succcssfullv It is prob

other big arrangements In connection
with It can be completed Until another
am fuller statement Is made there wi 1
thnt ehnnerps f ienmhlA i thi tnitin 11 lie manv matters In doubt One of
dustn woulef be effected in the revision of these is as to whether the stockhol lets
in tin lire sent eomnnnies will lie lo ccel to
sell out One statement made Is that the
charters of the various companies all
contain a provision that the decision of a
majority of the Mock shall be final in re-
I gard to telling out to another concern
1 Tills would mean of course that ns the
controlling interet are alread pledged
to the deal the mtnoillv Interests can Lo
forced lo sell out or trade for Un ted
States securities It Is possibe hovcv r
though not probable that the old securi
ties may remain on tile inarKet
The trading in the Uniteel States securi
ties on the curb was begun jest rday
There was also Borne trading In the
rights of present holders of old securi
ties to exchange them for the new sticks
The United Stales common opened at 38
I and advanced to 40 The preferred was
at Si to S3 The rights were quotel at
1 103 bid and 107 offered All of thebe prlceb
suggest that the present level of most of
the steel securities Is considered u little
too low b tne professionals
I The grangers were the most Interest
ing group among the rallwajs St Paul
I was advanced sharply in almost as
sprightlv a fashion as during the big
I boom ol a month or more ago It went
above 153 or five points tup from the
opening 14S 1 4 and closed at 153 onlj
1 fractionally off from the top Burllng
1 ton advanced to 145 1 2 hut sold off
later anil the others of the group also
sold of from their high prices The ru
mor wps circulated pretty generally that
there will be a dividend rale of per
cent established at the next meeting of
the directors
Also it may be slafeeTthnt there are
manv people that believe the St Paul
el iil Is not ofT jet The told by
neonle who ought to know ia that Mr
I Smith the large holder of St Paul was
Cm the stumbling block to tne success or tne
2ii ideal at first Mr Morgan had perhips
i forgotten him when he told his friends
that the deal was as good as closed Mr
jjja Smith however did not like being for
11 gotten and decided that he did not wish
5 to sell out when he was finally ap
es proaehed Now It Is said that the talk
67a of the substitution of the Burlington for
Mi i the St Paul In the deal has caused Mr
-lit Smith to change his mind Of course
aC there In nothing official in this It Is
7c perhaps quite as likelj that the Burllng
14414 ton is really to go into tht deal In
171 stead of the St Paul Another thing thit

There has been a tip that these securi
ties would have a good advance for
some time In the street but nearly every
body that bought on It had sold out be
fore the ndvance came It Is not known
what the boom was based on
The Southern securities both made new

Mrs Shearers case is n fair example
of the average cure effected by the use
of Favorite Prescription both iu the
completeness and qutckness of the curej
Of course in complicated and chronic
cases the cure may be slower but it is
none the less sure if the medicine is
faithfully used as greeted The records
show that ninety eight women in every
hundred who have given Favorite Pre
scription a fair ami faithful trial have
been perfectly ami permanently cureel
