BUSINESS, COMMERCIAL AND FINANCIAL SECTION 14 $635.000 IN BONDS DECLINED INVALID Railroad Commission Scores "Financial Flimflam Methods ,, Economic Gas Company Is Ordered to Notify Bond Holders of Action Bo:n:.; of the Economic Gas company of JLO6 Angeles to the amount of $635,- OCC were declared invalid yesterday by a decision of the railroad commission. The company was ordered to notify the holders of the bonds of the action of the board. Early in the present year the com mission learned'that the Economic Gas company had issued bonds for which it had not received the approval of the commission. As a result the com pany subsequently applied to the com mission for authority to issue $930,000 of its bonds. In its decision the com mission finds that 5295.000 of these bonds wero issued prior to the effective date of the public utilities act, and that $635,000 of these bonus were put out illegally thereafter. , . . Although the commission finds that $635,000 of these bonds are void, it finds that the Economic Gas company may properly issue $270,000 of bonds to replace an equal amount of void bonds. These $270,000 bonds are al lowed to refund indebtedness . The commission, however, denies to the Economic Gas company authority to issue $365,000 as applied for This in effect, leaves outstanding $365,000 of % °In b the co U rse of its decision the commission states that an effort was made by the Economic Gas company to evade the public utilities act. The com mission finds that L. P. Lowe, president of the Economic Gas company, formed a company called the California Light and Fuel company, and thereafter is sued a large number of its bonds to Mr. Lowe and to the California Light and Fuel company Referring to this transaction the commission says: • "This is not the first time we have found two companies controlled by the same agencies engaging in this finan cial flimflam with an apparent design to profit individuals at the expense of the utility." , . .. ... I Although the commission says it will institute no proceedings against the Economic Gas company for its illegal actions, it continues in part a? follows: "Of course this commission has noth ing to say nor authority over the right of action of the parties who bought these bonds in good faith, but the bonds are absolutely void under the law and these parties will either be compelled to make other arrangements with this company or to pursue what ever action they have for the return of the purchase money. "We merely allow certain bonds to be issued which may be substituted for certain obliga tions paid for by bonds that were at tempted to be issued and refuse to al low other bonds to be issued to pay for obligations heretofore assumed and purported to be satisfied by bonds il legally issued. "It is apparent that this company will be required to raise money from some source. If it can make arrange ments with the purchasers of these void bonds to settle in the amount paid for said bonds it will be required to raise a little over $304,000, assum ing that these purchasers are in fact purchasers in good faith. "As a matter of fact it is clear from the evidence that a considerable por tion of these bonds are held for the purposes of sale to avoid the jurisdic tion of this commission, which ac counts for the large book account." Cbiokering...... *. 0.000 Josf ph D. ,Grant 60.000 l. p. : Lowe 00.000 Total $035,000 * * • ORDERS PROFIT WAIVED The railroad commission rendered a decision yesterday granting authority to the Central California Gas company to use bonds heretofore authorized In the sum of $7,000,000 and its preferred stock heretofore authorized in the sum of $5,300, for certain improvements to its gas plant in the city of Viaalla. In so doing the commission took oc casion, to condemn certain matters in connection with the conduct of the company's affairs. The decision states that C. B. P. For ney, president of the Central California Gas company. has organized the General Operating and Construction company, and that in his capacity as president of the gas company has al lowed himself to profit in his capacity as president of the construction com pany. The commission finds that cer tain work to be done for the Central California Gas company was estimated to i cost ; $105,000 and allowance was made for such an expense by the gas company. Thereafter Mr. Forney let the contract of the gas company to the General Operating and Construction company of which he is president. This construction company did the work for $85,000. The commission finds that there was a profit for the construction company of approximately $15,000 on this work. Of this the commission says: "It is evident' that Mr. Forney lias used his position in both of these com panies to reap for the General Operat ing and Construction company an un due profit nut of this work at the ex pense of the Central California Gas company." -■'.■■ As a condition of its order granting the application, the commission re quires that the profit accuring to the construction company be waived. The commission requires also r that :no further moneys, shall be paid by the gas company to the construction com pany without the commission's order. ** < * SAN JOAaUINJL. * P. BONDS Authority was granted yesterday by the railroad commission to t&e San Joaquin Light and Power corporation to issue $1,776,000 of bonds. The com pany was also given authority >* to pledge these bonds for an issue of two-year six per cent collateral trust notes. It was provided that notes may be issued up to 75 per cent of bonds pledged. The proceeds from the sale of the bonds or notes is to be used by the company in completing , its power houses, substations and transmission lines in connection with its new hydro electric work. •■[:;■'■? * * ♦ OAKLAND AND ANTIOCH FINDS The board of directors of the Oak land. Antioch and Eastern railway have placed In circulation among , their stockholders a ; subscription list to the recently authorized 4 $1,000,000 bond is sue at $85 and interest. " * BEST CROPS IN STATE A commissioner of the bond depart ment of E. F. Hutton & Co.. who has just completed a tour of crop inspec tion throughout California, reports \ that "the 1913 crops will realize practically as a whole the total volume of the 1912. crop, but less evenly distributed, with the northern v California valleys ', being most, favored." .The, report adds that "to the Xapa and Sonoma - valleys 'belong the most perfect crop conditions of any section •of the state. Grapes:. will realize 80 '. per cent ,of the, crop while; grain and deciduous fruit crops are large." WORK RUSHED With the recent successful financing in New York of the Pacific Gas and Electric company , s4,soo,ooo note issue work on all of the development and im provement projects of the ; company in the Sierras is being pushed with all pos sible speed- : Three thousand men dis tributed among the 14 construction camps are on the job and the monthly construction costs now range from $800,000 to $1,000,000. Since the commencement of the de velopment work last fall the company had expended, to July. $4,500,000 in this work alone and before the present de velopments are completed another $4, --500,000 will be paid out. With other improvements in contemplation the en tire project will cost approximately $15,000,000. All the work now in hand j will be completed in November and it is asserted that by January i, 1914, the whole stupendous plant will be in operation and drawing revenue. Up to July 1 the Lake Spaulding dam had been raised 66 feet above bed rock and concrete is being poured in at a rate of 1.500 cubic yards per day. * For the concrete mixture two special trains are hauling tSO to 601 cars daily from the company's gravel i pits near Colfax. Steel for the Drum power house is up, concrete for roof and walls is be ing poured and foundations have ; been lard for two huge generators, now en route from the. east. Two other power developments are in progress, one in Christian valley and the other in Au burn ravine, one mile below Auburn. In subdivision F of section fil of the bank act it is provided that any savings bank may purchase, hold and convey bonds of any railroad company properly organized,and in good condi tion one year after incorporation of such company. At . present savings banks may not purchase such bonds until three years after incorporation. "This law will be a splendid thing for the less developed districts of the state," said a prominent local financier yesterday. "It will encourage the much needed construction of new lines from the principal points of collection ■ and distribution to points in the interior at present more or less inaccessible." The clause, referring to railroad bonds follows: "The bonds of any railroad corpora tion incorporated under the laws of the state of California and operating exclusively therein, providing said cor poration has had for its -;, fiscal year next < preceding such investment net earnings, after payment of all main tenance, charges, operating expenses and taxes, sufficient to pay the interest on all of its outstanding mortgage in debtedness." ' .NEWi YORK". July 14.—Continued* paralysis of speculation to 8 degree un paralleled in recent years was the fea ture of today's market. Prices held fairly steady, although late in the day some of the leading stocks cased off. influenced by the weakness of the copper group. With a, few exceptions, fluctuations did not ex ceed fractional limits. There was no appearance of life in the market at any time during^ the session. The day's to tal of transactions was only 70,300 shares. Weakness of the coppers was asso ciated with the rumor which has often done service In the past, although each time discredited subsequently, to the ef fect that the government was about to institute, proceedings against important copper interests. : Smelting broke two points to within a fraction of the year's low - price, and Amalgamated Copper yielded a point. Canadian Pacific also was exceptionally heavy, and Union Fa cific at times lagged behind. There was no , development over the weekend to stimulate speculation. Tho possibility of a strike of conductors and trainmen on eastern roads tended to restrict trading, although the day's developments were regarded as in creasing, the probabilities of a peaceful settlement. Resumption of gold exports to Eu rope had been looked for. as it was ex pected that, conforming with the three previous movements of the year. $<. -000,000 or $5,000,000 more gold would be sent out of the country. in addi tion to the $1,500,000, engaged for ex port today tentative arrangements wore made for another shipment of the same amount. The year's exports of gold now amount to $64,885,000, of which $41,000,000 went to Europe and the re mainder to South America. : There were few changes of impor tance in the bond market, although a number of well known issues displayed a weakening tendency. Hutton's New York Letter Extreme dullness again prevailed during today's session, Volume of trad- Ing was the smallest for years, with the exception of last Friday. Sales up to 2 p. m. were 65,85?, only 10,000 more than Friday. Opening prices showed fractional losses in Heading. Southern Pacific and Union Pacific, while Cana dian Pacific, though it was loaned at a premium, declined on the first sale. During the first hour prices advanced on news from "Washington to the effect that the president was hopeful of a settlement between railroads and train men. Strike vote was, taken on Sunday and was really nothing more than had been expected, and general opinion seemed to /be, that the disagreement would not result in a strike, but on the other hand it was thought that developments advantageous to railroads in their progress toward ' securing higher rates might result from the con ference ": with the ■ president.
