KNOW ALL MEN BY THESE PRESENTS that we, whoso names are hereunto affixed, flo hereby associate ourselves together for the purpose of forming a corporation under the laws of the Territory of Arizona, and for that purpose do make, sign and acknowledge, ac cording to law, and adopt the following Ar ticles of Incorporation. ARTICLE L The names of the Incorporators are Julius Aublneau, A. Barmann and David Babbitt. ARTICLE 11. The name Qj this corporation shall be "Grand Canyon Electrlo Power Company," and Its principal place of business shall be In the town of Flagstaff. In the Countyof Coconino, Terri tory of Arizona, with branch offices at such place or places as may be hereafter established by the Board of Directors. ARTICLE IIL. The general nature of the business proposed to be transacted and carried on Is: First The generation, transmission and dis tribution of electrical and other power and the use and sale of the same for the following pur poses, to-wlt: for the operation of mines, rail roads, tramways, sawmills, quarries, smelters, mills, factories, mining and other hoists, the smelting, leaching, separating, refining and re ducing of any and all kinds of ores, minerals and mineral products, the construction and op eration of plants for the manufacture of light and heat, by electrical and other power, the distribution and sale of the same to incorpor ated cities, villages and towns, counties, public and private corporations and individuals, the generation, distribution, transmission, use and sale of electrical and other power for any and all other purposes to which the same may be adapted. Second The appropriation and acquirement, by location, purchase or any other lawful means, of water and water rights, reservoirs, dams, canals and any other means for the stor age, use, delivery and distribution of water, the construction and operation of reservoirs, dams, canals, ditches, pipe lines, flumes and any and all other means and appliances for the use, sale, delivery and distribution of water to any public or private corporation or Individual. Third To acquire, by purchase or otherwise, letters patent and Inventions relating to or In cident to the generation of and use of electric and other power, and to work, handle and con trol the same, and to sell the same or the pro ducts made thereby or thereunder. Fourth To locate and to acquire, by pur chase or otherwise, to sell, own, use and con trol, real estate, machinery, appliances and buildings, together with any and all personal property, necessary or Incident to the purposes of the corporation; to form other corporations, and own, buy or sell stocks and bonds, or other securities In them, whether thy bo telephone, telegraph, manufacturing or other business or Industrial corporations; to borrow money, issue bonds; to mortgage, pledge or otherwise dis pose of any or all of its corporate property for the security and payment of any of Its Indebt edness, and to do any and all things, and to ac quire all property, real and personal, which may bo requisite aDd necessary, or desirable In tho opinion of Its Board of Directors, to carry Into effect tbe objects for which said corpora tion was formed. ARTICLE IV. The amount of capital stock shall be the sum of ($1,000,000) one million dollars, divided Into ten thousand (110,000) shares, of the par value of one hundred (1100) dollars each. At such times as the Board of Directors may by resolu tion direct, said capital stock shall be paid into this corporation, either in cash or by the sale and transfer to It of real or personal property, for the uses and purposes of said corporation, in payment for which shares of the capital stock of said corporation may be Issued, and the capital stock so Issued shall thereupon and thereby become and be fully paid and non assessable, and, In the absence of actual fraud In the transaction, the Judgment of the Direc tors as to the value of the property purchased shall be conclusive. Nothing herein contained shall be construed as limiting tbe power of the Board of Directors to set apart such portion of the capital stock of the corporation as treasury stock, to be hereafter sold at such times and at such prices as the Board of Directors may deem proper or desirable, for the use or In tbe Inter ests of the corporation. ARTICLE V. 'The time of tbe commencement of this cor poration shall be the date of the filing of Its articles of Incorporation In the office of the Secretary of the Territory of Arizona, and the termination thereof shall be twenty-five (25) years thereafter. ARTICLE VL The affairs of this corporation shall be con ducted by a board of three directors, and the following-named persons shall constitute the Board of Directors until their successors are elected: Julius Aublneau. A. Barmann, David Babbitt. Thereafter tbe Board of Directors shall be elected from the stockholders, and In such .manner as the by-laws of the corporation may provide. ARTICLE VII. The officers of said corporation shall consist of a President, Vice-President, Secretary and Treasurer, together with such other officers as may hereafter be created by the Board of Directors. ARTICLE Vttt The officers of said corporation, until their successors are elected, shall .be: Julius Aubl neau, President; A. Barmann, Vice-President; David Babbitt, Secretary and Treasurer. ARTICLE IX The highest amount of indebtedness, or lia bility, direct or contingent, to which this cor poration shall at any time subject Itself shall be six hundred and fifty thousand (M60.000) dol lars, which amount does not exceed two-thirds of tbe amount of the capital stock. ARTICLE X. The private property of the "stockholders of this corporation shall be exempt from corporate debts of any kind whatsoever.
