To acquire real estate, erect, equip and run a hotel at and , in the town of luka, Miss., for the accommodation of the public, i and such other purposes as are necessary, proper and incidenta to the effectual carrying out of the main purpose of this co.-peration. Of such total authorized capital stock, 1000 shares of a par value ol $10.00 each, amounting to $10, 000,00 shall be a prefei red stock, and 2000 shares of par value of $40.00 each,amounting to $20,000 shall be a common stock. The holders of the preferred stock .stock shall receive. when andl as declared by the board of directors from the surplus of net profits of the corporation a divi dend of 6 per centum per annum and no more, payable annually on dates to be fixed by the bylaws of sa'd cotpoTation. The dividends! on the preferred stock shall be cumulative, and shall be paid be fore any dividend shall be paid or set apart on the common stock, so that if in any year dividends amounting to six per centum per annum shall not have been paid thereon, the deficiency shall be payable before any dividend shall be paid or set apart for the Com mon Stock. Whenever all cumulative divi dends on the preferred stock for all previous years shall have been declared dud have been payable, j and the accrued dividends for the current year shall have been de clared and the company shall have paid such cumulative dividends for the previous years, and such accrued dividends for the current year, or shall have set apart from its surplus or net profits a sum sufficient for the payment thereof, the board of directors may declare ' dividends on the common stock, payable then or thereafter out of any remaining surplus or net prof its. 8. The County Treasurer now has the money on hand to pay all Con federate pensioners. The money was paid in b> Sheriff Payne who took up the warrant with $4,484.$0 of state taxes which he had collect id. The total amonnt of state taxes collected up to the January settlement was $5,311.61. By the sheriff taking up the warrant the pensioners get their money a week earlier than if the money had been sent to Jackson and distribut ed. The total amount of taxes collected by sheriff i*ayne up to the January settlement was $10,514.87. V Mr W C White, representing the Masonic Proteciive Association, a sick and accident benefit insurance company, is in town this week in the interest of this leliable insur ance. Mr White lives on Route 1, Dennis, Miss. The many friends of Mr J T Vaughan, of Bronte, JTex., were glad to see him on our streets Monday. He has not yet decided whether he is back on a visit or to remain permanently. Mr W F Calvert, of Chicago, was in town last week. He con templates making some substan tial improvements on his residence at the Tyler place, 3 miles south west of town. Mr C is a a clever, social gentlemen whom it is a pleasure to meet. The church conference has adopted the Budget apportion ment plan. In this Budget there are added the amounts to be paid our preacher, presiding elder and all incidentals, and each member is asked to pay some part every Sunday. Mr. Alva McCoy, a young man, having a wife and one child was killed last Friday, 3 miles south ef Burnsville by a falling tree. Messrs W T Adams and G W Boothe wefe cutting a tree when McCoy came up and began count ing some rails he had split near j by. When the tree upon which i Adams and Boothe were cutting ! started tofall, the latter cried out to McCoy to “look out.” McCoy was standing about 30 feet out of < line of the falling tree but the lat- '■ ter struck a large sapling which 1 fell at right angles, striking Me Coy and killing him instantly. This sapling had been cut and ; lodged by Mr. McCoy the day be- 1j fnrft. ! i No blame is attached to Adams | and Boothe but they naturally feel ' very much grieved over the fatal accident.
