Mr. McLain. is a njitive of his own Congressional district, having been born in Amite county. Likewise Mr. Spight is a native of his own Congres sional district, having been born in Tippah county, Mississippi. Congressman Smith, of Illinois, will make it his business at this session of Congress to try to secure the passage or a law providing for a postage rate nf oiio cent on letters. He says that the eventual increase of correspon dence will make up the loss of reve tine which may be expected at first. A GOOD COUGH MEDICINE. It. ltrown, and such others as may he hereafter assooiated with them, their successors and assigns, are hereby made and constituted a body politic and cor porate under and by virtue of Chapter i of the Annotated Code of Mississippi, of we and the act in addition to and amendatory thereof. Suction 'Two. The name and style of the corporation hereby created shall be "THE K.-C. LUMBER COMPANY," and under such name and style this cor poration may exist for a period of fifty years from and after the date of the ap proval of this charter by the tlovcrnor, unless sooner dissolved by a vote of not less than three-fourths of the stock. Suction Thhkk. The domicile of this corporation shall be at or near Lueedale, in tho County of Jackson or In the County of tire'ene, State of Mississippi, at a point to be selected ; hut the stock holders may chance the domicile to any other point in Mississippi, if deemed proper. Section Four. The objects and pur poses of this corporation are, to own and operate saw aud planing mills, to engage in the purchase, manufacture and sale of lumber, to conduct such mercantile business as may he deemed essential in connection with its other business, to acquire by purcnaso or otherwise, and have, hold, enjoy and dispose of such lands and timber rights as may be deemed proper in the conduc tion of its manufacturing enterprises, to aeqtiire or build, own, equip and maintain such tram-ways and private railways as may be found necessary in its logging and'lumber business, to con duct bucIi farms and raise such live stock as may be regarded as advan tageous to the corporation in its lumber and oilier business, to manufacture such implement and utensils, composed in whole or principally of wood, as are used in commerce, aiid to engage in the distilation of wood, saw-dust and rosin in all of its forms, carry on a turpentine business, and manufacture charcoal; and said corporation may do any or all of the aforesaid things and Is vested with all the powers necessary to the successful execution of its said objects and purposes. Suction Five. This corporation may acquire, by purchase or otherwise, and have, hold, enjoy and alienate such real estate and personal property as may be deemed, necessary to its successful oper ation, not to exceed in value the limit fixed by law; and shall have and possess all the rights, powers and privileges conferred on corporations generally by the constitutition and laws of tho State of Mississinoi. Skotion Six. Tho capital stock of this corporation shall he one hundred thousand dollars moo.000.00.) to bo divided into one thousand shares of one hundred dollars luo.00) each; hut it may begin business when fifty thousand dollars ($.0,on0.no) of such amount shall have been subscribed for and paid in. Suction Skvkn. This corporation may establish all necessary by-laws, rules and regulations, not contrary to law, and in tiie manner provided there in, amend or repeal the same at pleasure; and may have and use a corporate seal. Suction Kiojit. The powers of this corporation shall be vested In a board of not less than three directors, to be chosen annually by the stockholders from their number; and its officers shall be a president, vice president, secretary, treasurer and general manager, the four former to lie chosen by the directors from their number, the general manager to oe chosen iiy the directors from their number or from the stockholders, and such other agents, clerks and employes as moy be deemed proper. No person not a stockholder shall servo as director or ofllcor of this corporation, and the disposition of the stock held by any director or oflloer shall vacate his office. The duties of tho officers and the man nor in which the powers hereof can be exercised may be prescribed in the by laws. Suction Nink. Kach stockholder in this corporation shall bo entitled to one vote for each share of stock held bv him. to bo cast by the owner of the stock or by proxy, but all proxies must be in writing. Suction Tkn. No stockholder shall be individually liable for the debts of this corporation contracted during his ownership of stock, beyond the amount of balance that may reinnin due or un paid rorstocK suoscrioed tor ny mm.
