acquiring, owning, leasing, bonding and
disposing of mines, reduction or treat
ment works, and tho business of min
ing, milling, smelting or treating ores
for hire or otherwise; and of acquiring,
soiling and dealing in ores, or tho pro
ducts thereof; tho construction and
maintenance of roads, tramways, or
railways, and tho operation of trucks,
wngons or cars thereon; by steam, elec
tricity or other power, and tho trans
portation of tho products of this or any
othor corporation or individual over nnd
upon said ronds, tramways or railways
from any point upon or along the same
to any public highway, nnvjgnblo
stream, common carrier, or treatment or
reduction works, for hire or otherwise;
tho promotion of corporations of any
and all kinds within tho Territory of
Arizonn or olaowhore, and the acquiring,
owning, disposing of, dealing in and
holding tho stocks and other securities
of this or any other corporation, foreign
or domestic, the acquiring and holding
Interest iu tho stock and other hccun
tics of other corporations and partici
pating in the control and management
thereof, tho dealing in property, stocks
and securities as broker or agent on
commission, or otherwise, and the do
ing of any and all acts and things nec
essary and proper In rclntion thereto
or in connection therewith as tho Board
of Directors may determine and which
might be dono by a private individual
or which may bo included in the general
powors of a corporation as defined by
law.
ARTICLE III.
Tho amount of the capital stock of
this corporation shall bo Ono Million
Dollnrs, divided into ono hundred thou
Sand shares of tho par valuo of Ten
Dollars per share, which, when issued,
shall be fully paid and non-assessable.
Said capital stock shall bo issued
upon such terms and conditions and at
such times as the Board of Directors
may dotormine, and tho snmo may bo
issued in exchnngo for property, con
tracts, services or other benefits of any
kind or character accrueing to tho cor
poration, as tho Board of Directors may,
in tho exercise of their judgment deem
proper, and the judgment of tho Board
of Directors as to tho valuo of any prop
erty, contract, service or benefit, shall
bo binding and conclusive, except in
caso of actual fraud.
Said stock may be divided into qom
mon and preferred stock in such propor
tion as tho Board of Directors may de
termine, and the Board shall have au
thority to give such preference to said
preferred stock, either in tho earnings
or property, and to fix by resolution any
dofinito or ascertainable proportion of
return, dividend or interest on such pre
ferred stock, and to mnko the same, as
between tho stockholders of tho corpora
tion, a lien upon tho assets of tho com
pany. ARTICLE IV.
Tho nffairs of this Corporation shall
bo conducted by a Board of not less
than threo nor more than nine Directors,
who shall bo selected from among the
stockholders at tho annunl meeting
thereof, which meeting shall bo hold at
tho Company's ofilccs in Globe. Giln
County, Arizonn, on tho Second Tues
day in January of each year. Said
Directors, when elected and qualified,
shall hold office until their successors
aro chosen and qualify, and tho Board
shall have power to fill vacancies in its
own membership; to mnko and estab
lish by-laws, rules nnd regulations for
tlio government of tho company and tho
conduct of its business, nnd shnll hnvo
full mnnngemont of tho property of the
company and of its business nnd opera
tions. Should the Board at any time con
sist of ftvo or more member?, it shall
bo lawful for said Board to designate
or appoint an Executive Committco con
sisting of threo of its members, nnd
such Exccutivo Conunitteo shnll, when
tho Board is not in session, and, to the
oxtcnt provided by tho by-laws, or by
tho resolution designating such commit
tco, havo and exorcise all tho powers of
tho Board of Directors, and hnvo power
to do any nnd all acts in and about
tho management of tho Corporation,
its business nnd property, which the
Board might do, unless othorwis6 spec
ially directed by tho Board.
Until tho first annual mooting of tho
Stockholders, or until their successors
or nssocintcs aro elected and qualified,
tho Incorporators undersigned shall con
stitute nnd bo tho Board of Directors
of this Corporation and shall oxorciso
all tho powers above enumerated.
Tho ofllcors of tho Corporation shall
bo a President, a Vico President, a Sec
retary and a Treasurer, who shall bo
elected by tho Board from among its
members, provided tho Bonrd may des
ignate any officer of a Bank, Trust
Company or othor financial institution,
os Treasurer of tho Corporation, whether
such officer be a mombcr of said Board
or not, and tho Board may designate,
elect or employ any officer or agont
of tho Corporation other than thoso
abovo enumerated without referenco to
his being a member of said Board, but
tho powors and authority of such last
named officers or agents shall bo limit
ed by tho Board as to them may seem
proper, and may bo prcsonted by reso
lution of tho Board, or fixed by con
tract. Tho duties of all ofllcors shall bo
proscribed by tho Board of Directors.
ARTICLE V.
Tho timo of tho commencement of tho
existonco of this Corporation shnll bo
tho day upon which a duly certified
copy of these Articles aro filed for rec
ord with tho Auditor of tho Territory,
as provided by law, nnd such corporate
existonco shall terminato twenty-flvo
years thereafter, but same may bo ro
nowod from timo to time as provided by
law.
ARTICLE VJ.
Tho highest amount of indebtedness
to which this corporation shall at any
time subject itself is Five Hundred
Thousand Dollars, which indebtedness
may bo ovidenccd and secured as the
Board of Directors mny determine.
, ARTICLE VII.
Tho privato property of tho Incor
porators, Stockholders and Officers of
this Corporation shall bo forever ex
empt from any and all liability for its
corporate dobts.

Tho name of this company shall be

DEVELOPEMENT COMPANY.
ARTICLE II.
Tho objects for which this corporation
is formed arc, to acquire by purchase,
location, leases, options, bonds and other
instruments of writing, mines ana min
erni lands and all products pertaining
thereto. To operate, mine and extract ore
therefrom. To erect and maintain all
necessary machinery and equipment for

of all company products for salo and
profit; To erect and maintain buildings,
stores, and boarding-houses, and to do
a general merchandising business. To
acquire by purchase or other lawful
means, real estate, land, and personal
property, and to acquire and locate
town-sites. To use an4 enjoy, hold, and
operate franchises from tho Countyof
Gila, tho Territory of Arizona, or any
other State or Territory of the United
States, or from any municipal or private
corporation. To acquire stock, bonds,
ronds, mills, factories and real or per
sonal property incident to such fran
chises, corporations, or townsitcs.
To acquire, maintain and operate all
and every property which tho Board of
Directors may consider necessary for
tho economical conduct of tho general
business of mining heretofore enumer
ated and described. ,
To sell, alienate, lease, demise, and
dispose of any and all property real
nnd personal belonging to this com
pany. To borrow money and to con
tract to repay the same at such timo
or times as the Board of Directors may
deem necessary or expedient,; and to
hypothecate, mortgage or pledge the
property of tho company in wholo or
in part to securo the payment of tho
same; provided, however tnat, tno
Highest or total amount of indebtedness
to which this corporation shall, at any
time, subject itself shall not exceed the
sum of Five Hundred Thousand Dollars.
ARTICLE III.
Tho amount of tho capital stock of
this corporation shall be Ono Million
Dollars, divided into ono million shares
of tho par value of ono dollar each; and
tho timo whan'and tho conditions under
which tho said capital stock shall be
issued nnd paid in, in cash, property, or
other valuablo consideration, shall bo
determined and regulated by the Board
of Directors.

Tho principal placo of business of
this corporation shall be in the City of
Globe, County of Gila, Territory of Ari
zona; and such other or branch offices
