ARTICLE V. The amount of capital stock of this corporation shall bo Fi,vo Hundred Thousand- ($.100,000.00) Dollars, divided into Fivo Thousand Shares of the par vahio of Ono Hundred ($100.00) Dol lars each, and when issued shall bo fully paid in cash, or jjroperty of an equiva lent casli value, and shall thereafter be non-assessable. ARTICLE VI. Tho corporate oxistenco of this cor poration shall commenco on tho day of tho filing of thcae Articles of Incorpora tion in tho offico of tho County Recor der of Gila County, Arizona, and a cer tified copy thoroof with tho Auditor of this Territory, and shall continue for a period of Twenty-fivo years thereaf ter, but its Cltartor rights may bo ro nowed, beforo this charter expires, from timo to time, for periods not exceeding twenty-fivo years at a time. ARTICLE VII. The business of this corporation shall bo conducted by a Board of Directors, consisting of not less than Sovcn, nor more than Twcnty-ono, who shall bo stockholders in this Corporation, to be elected annually at tho annual meotings of tho stockholders, and tho number de cided upon and clocted at any annual olection shall constitute tho number of directors for that year. A meeting of tho stockholders for tho election of a Board of Directors of this corporation shall bo hold immediately after the signing of theso Articles, and at said meeting said Directors so elected shall oloct tho officers of this corporation to servo until the second Tuesday in May, 1903. The first annual meeting of tho Stockholders of this corporation shall bo on tho second Tuesday in May, 1908, nnd annually on tho second Tuesday in May of each and every year thereafter; said meetings shall bo held in tho city of Globe, Gila county, Arizona. Tho officers of this corporation shall bo a Presidont, Vice-President, Secretary and Treasurer, who shall bo stockhold ers of thiff corporation, and shall bo elected by and from tho Board of Di rectors, at their annual meetings, and shall hold their office for tho torm of ono year nnd until their successors nro duly elected nnd qualified. Tho Board of Directors may appoint such othor efficors nnd ngonts as tho business of tho corporation may require. Tho of fico of tho' Sccrotary and Treasurer may bo hold by tho samo porson. ARTICLE VIII. Tho highest amount of indebtedness or liability, direct or contingent, to which this corporation shall at any timo be subject, bIuiII in no caso exceed two thirds of tho amount of its cnpital stock. ARTICLE IX. Tho private property of tho stock holders of this corporation shall bo ex empt from all liability for corporate debts of any kind. The namo of this company shall be and is The VALENCIA 'MINING AND DEVELOPEMENT COMPANY. ARTICLE II. The objects for which this corporation is formed are, to acquire by purchase, location, leases, options, bonds and other instruments or writing, mines ana min eral lands and all products pertaining thereto. To operate, mine and extract ore therefrom. To erect and maintain all necessary machinery and equipment for tho economical dcvelopement of the tame. To acquire by purchase or other lawful means, roads, tracks, tramways, railroads, telegraph and telephone line?; ditches or flumes fpr economical trans portation or transmission, and to erect and construct tho same. To erect, maintain and operate rcduc tion works for concentration, smelting end refining of ores, and tho preparation of all company products for sale and profit. To erect and maintain buildings, stores, and boarding-houses, and to do a general merchandising business. To acquiro by purchase or other lawful means, real estate, land, and personal property, and to acquiro and locate town-sites. To use and cniov. hold, nnd operate franchises from tho County of Gila, tho Territory of Arizona, or any other State or Territory of the United States, or from any municipal or private corporation. To acquiro stock, bonds, roads, mills, factories and real or per sonal property incident' to such fran chises, corporations, or townsitcs. To acquiro, maintain and operate all and every property which the Board of Directors may consider necessary for the economical conduct of the general business of mining heretofore enumer ated and described. To sell, alienate, lease, domise, and dispose of any and all property real and personal belonging to this com pany. To borrow money and to con tract to repay tho samo at such time or times as tho Board of Directors may deem necessary or expedient; 'and to hypothecate, mortgago or pledge tho proporty of tho company in wholo or in part to securo tho payment of tho same; provided, however that, tho highest or total amount of indebtedness to which this corporation shall, at any time, subject itself shall not exceed the gum of Fivo Hundred Thousand Dollars. ARTICLE III. Tho amount of the capital stock of this corporation shall bo dno Million Dollars, divided into ono million shares of tho par value of ono dollar, eaqh; and tho timo when and tho conditions under which thesaid capital stock shall be issued and paid in, in cash, property, or other valuable consideration, Bball bo determined and regulated by th? Board of Directors. ARTICLE IV. Tho principal placo of business of this corporation shall bo in tho City of Globe, County of Gila, Territory of Ari zona; and such other or branch offices as may bo deemed necessary or advis ablq shall bo designated and adopted from time to timo as the Board of Di rectors may dctormine, ARTICLE V. The capital stock of this corporation and cacli nnd every sharo of tho samo shall bo, and is hereby mado for ever non-assessable, and shnll bo paid for in full when subscription is mado therefor. O., Globe bo Conducted by a Board of Directors consisting of three (3) persons vflio shall be stockholders of this company; and a majority of said Board shall con stitute a quorum for the transaction of its corporate business. The numbers of the Directors who shall manage the , business concerns of the company for tho first three (3) months shall bo three ' whoso names and residences are as fol lows: J. D. Houston, of tho City of Globe, County of Gila, Territory of Arizona. R. M. Coffee, of tho City of Globe, County of Gila, Territory of Arizona. F. E. Pcltzel, of tho City of Globe, County of Gila, Territory pt Arizona; and they shall hold their offices until their successors are duly elected and qualified. Thereafter, tho first annual meeting of the shareholders shall be held in the offices of the company in tha City of Globe Arizona on tho first Mon day of February A. D. 1903; and tho Secretary of thov company shall give proper notice of the said annual meet ing to each and every stockholder rec orded on tho books of the company at least thirty (30) days prior to the said, first day of February 1903; and tho Board of Directors shall have power at any intervening time to fill vacancies in their number. ARTICLE' IX. Tho officers of this corporation shall consist of a President, Vice-President, Secretary and Treasurer, and such minor officers as the Board of Directors may deem it expedient to have. The Presi dent, Vice-President, Secretary and Treasurer shall bo elected annually "by tho Board from their number; and at tho first meeting next succeeding the dato of the filing of these Articles; and thereafter at the regular annual meeting of the stockholders as hereinbefore pro- ' yided. The offices of Secretary and Treasurer may, in tho discretion of the Board of Directors, bo held by the same person. The Board of Directors shall adopt By-laws for the government of tho corporate proceedings of the com pany; nnd register them in their rec ord. After being adopted, they may bo altered, amended, or repealed by a ma jority of tho Board of Directors. The Board of Directors aro hereby given the power and authority to do and perform any and all Tluties pertaining and usu ally connected with such offices; and, included in such duties is the adoption of a corporato seal; and tho said seal must bo affixed to all stock certificates and all instruments of. writing, con tracts, or agreements executed or en-t. tercd into by them as officers of this corporation under the powers hereby conferred upon them. ARTICLE X. Tho private property of the stockhold- era of this corporation Bhall be excmptv from any and all liability from-the cor porate debts of tho company.
