The objects and purposes for which this corporation is formed, and the nature of the business to be carried on by it are as fol- a lows: To manufacture, buy, sell, import, export and generally deal in pianos. organs and all kinds of musical Instruments: to sell and lease musical instruments and any and all parts thereof: to manufacture. buy, sell, Import, export and generally deal in all kinds of machinery, supplies, implements, appliances, substances and materials inci dental to or entering Into the manufacture of planos, organs and musical instruments: to purchase or otherwise acquire any inter est in and to patents, concessions and the like, conferring an exclusive or non-exclusive or limited right, or any secret or other in formation as to any invention in relation to musical instruments of any kind: to buy and sell sheet music, to acquire individually or by purchase from others copyrights on mu sical compositions: and to have generally all the power usually incident to carry on such business. ARTICLE IV. The amount of the capital stock of this corporation is hereby flied at the sum of one hundred thousand dollars .($100,000.00), which shal be divided into common and pre ferred stock. * Of the common there shall be one thousand (1,000) shares, of the per value of ifty dollars ($50.00) each: and of the preferred there shall be a thousand (1, 000) shares of the par value of fifty dollars ($50.001 each. The eaid fifty thousand dol lars ($50.000.00) of preferred stock shall be entitled to receite dividends at the rate of seven (7) per cent. per annum, payable semi-annually aon the first Monday or Janu ary and on the first Monday of July of each year, oat of the earnings of said corpora tion before any dividend shall be paid upon the said common stock, and such dividends shall be cumulative so tat any dehiency in the divicreds to be paid on eaid preferred stock In, any year shall be made good out of the earnings of subsequent years before any dividend shall be paid upon the said common stock. And In case the earnings of the cor poration shall permit a dividend in excess of said seven per cent. so to be paid semi annually, the said excess earnings, wholly or in ptrt, as the directors may deem ad viable, shall be paid to the common stock holders. And on the final liquidation and the distribution of its assets, arrears of dvi deads shall be paid to the holders of such preferred stock, and the shares of preferred stock shall be paid ia full before any pay ment shall be made to the holders of the common etock: but whemn such arrears of dividends and the tace value of such pre tferred stock shall have been paid, the hold era thereof shall receive no other or addi tional payments whatever. The capital stock of the said corporation shall be five hundred thousand dollars ($500,000.00), divided into and represented by ave thousand shares (5,000) of one haun dred dollars ($100.00) mnch, which said stock shall be paid for in sash, as called for by the board of directors, the same may be Issued at not less than Rr, in pay ment or exchange for property or rights actually received or purcha by aid cor poration, or the same may be ise full paid, for money advan ed, and for sueh other valuable consideration or servles as the board of directors of the corporation may determine, provided that a stocek shall be issued until the consideration therefor has been received by the said corporation. Any stockholder may sell, assitgn or trans fer hi stock in this rorporation, provided thirty (30) days' notice of such inteation to sell, assign or transfer the same be given the company, and the stockholders thereot shall have the first privilege or purhasing the same, after which thirty days' notice, the stock may be sold in the open market. The stock of said corporation may be transferred under the above conditions, pro vided such transfer ie made on the books of said company, at its oaice in New Or leans, and on surrender of the certlcate therefor. This corporation shall commence doing busines as soon as capital stock to the amount of three thousand dollars ($3,000) shall have been subscribed for. ARTICLE V. The corporate powers of this company shall be rested in agd exercised by a board of five directors, consisting of the president, vice-presidet and three stockholders, three of sald board shall constitute a quorum for the transactlon of bustlness and their de clisons shall be valid corporate acts.
