ARTIil I.E V.-'The ,tterr, o.f this corpotra til, sh;,ll tbnst-t of one ore honorary prtaydents. ian active pieadent, one or more vue-presidents, a recordang secretary, a tfinan cial secretary, a treasurer, a collector, a cap tain, one or more lieutenants and five direc tort ARTICLE VT--The corporate powers of this corporation shall be vested fn and the man agement and control of its business and af tairs shall lie exercised by a board of direc ors cotrposed of the president, recording secre tary, treasurer. captatn and five directors, a majority of whom shall constitute a quorum for the transaction of all business. The direc tors and officers hereinabove provided for shall be elected annually on the tirst Monday of the month of September of each year, by bal lot of all the holders of the capital stock of the corporation. Each holder of said stock shall be entitled in person or by written proxy to one vote, and all elections shall be held under such rules and regulations as may be determined by the board of directors, but after at least ten days' notice of su. y meet ing shall have been given to all holders of said stock, in writing, sent to his last known address or by publication in one one of the daily newspapers published in the English language in the city of New Orleans for at least ten days preceding such meeting. The directors thus elected shall continue in office for one year or until their successors shall have been duly elected and qualified. No failure to hold an election shall be regarded as a forfeiture of this charter. Any vacancy occurring on said board of directors shall be filled by the remaining directors for the unexpired term. ARTICLE VII.-No members of this corpo ration shall ever be held liable or responsible for the contracts, faults or debts of said cor poration, nor shall any mere informality in its organization have the effect of rendering this charter null or of exposing a member to any liability beyond the unpaid balance that may be due on the shares of stock owned by him or for any amounts that may be owing for amounts levied as dues or otherwise. ARTICLE VIII.-This corporation shall not be dissolved as long as the holders of the capital stock of this corporation, in good standing on the books of the corporation, shall remain attached thereto, and object to such dissolution. ARTICLE IX.-This act of incorporation may be changed, modified or altered, with the assent of the holders of three-fourths of the total capital stock of this corporation concur. ring at a meeting called for that purpose after notice shall have been given in the manner and form as prescribed in Article VI of this act of incorporation. ARTICLE XII.-No members of this corpor. ation shall be entitled to more than one vote at any meetings of this corporation, irrespect ive of the number of shares held or owned ARTICLE XIII.-No holder of the capital stock of this corporation shall sell or in an manner dispose of any of the stock thereof, held or owned by him, without having first offered same in writing to this corporation through ts board of directos who shall have the right and privilege of purchasing same within three days from the time said stock shall have been so offered through its board of directors. In the event that the said cor poration shall be unable or refuse to pur chase said stock, then the same shall be of fered to the members thereof, in writing, who shall have the option of purchasing same within forty-eight hours after said ofer.
