United States of America, State of Louisi ana, Parish of Orleans, City of New Orleans. Be It known, That, on this 24th day of the month of Octobter, in the year nineteen nuadred and seventeen, before me, Henry G. Bloch, notary public, duly commissioned and sworn, in and for the Parish of Or teans, City of New Orleans, therein resid ing, personiially came and appeared John B. Levert, and Herman G. von Barries, both of age and residents of the city of New Or leans, chairmnan anid secretary respectively 0i a meeting of the stockholders of the Levert-Morvant Planting Co., held October 11th, 1917, herein acting as a committee ap pointed at said mec:ting of the stockholders, to appear before a notary and put the amendl ment to the charter of the Levert-Morvant Planting Co., adopted at said meeting of the s:ackhouders in the form required by law And the said appearers declared that wnereas, the Levert-M irvant Planting C.., a corporation organized under the laws of ths State, doniciled in the city of New U)reans, State of Louisiana, by act passed i efore Frederick C. Marx, Notary Public, ,n March bth, 1907. held a meeting of the stockholders of said corporation on the 11th day of October 1917, that 1428 12-14ths shares if capital stock were present either in per ,on or by proxy, out of a total of stock issued and outs:anding of 2ti0O shares; that it was resolved to amend Article V of the charter so as to increase the number of members of the Board of Directors from six (6) to seven (7). The said appearers further declared that said amendment of article 5 of said charter was made and adopted by a vote of all stock present, which was 1428 12-14ths, as will ap pear from the annexed certi:ied extracts from the minutes of said corporation, setting forth the proceedings had and the actions taken at said meeting. And the said appearer further declared, as will appear from the annexed certified ex tracts from the minutes of said corporation, Article 5 of the charter of the Levert-Mor vant Planting Company was amended so as to read as follows: "Article V.-All the corporate powers of this corporation shall be vested in and ex ercised by a Board of Directors compo'ed of seven (7) shareholders to be elected an nually on the Second Monday of April, in each year, the first election to be held in the year 1908. All such elections shall be conducted under such rules and regulations as the Board of Directors may prescribe, of which election ten days' prior notice shall have been given in writing by the Secretary unto each shareholder by mailing the same to his last known address or place of busi ness. Each shareholder will be entitled to cast one vote, either in person or by proxy, on each share of stock held and a majority of the votes cast shall elect. The Directors thus elected shall serve and continue in office until their successors shall have been duly elected and qualified. A failure to hold the meeting on the date above specified shall not dissolve the corporation, but the then directors and officers shall con tinue to hold their offices until their suc cessors shall have been elected and quali fled. Vacancies occurring in said Board of Di rectors from any cause shall be filled by the remaining Directors. Three Directors shall constitute a quorum for the transaction of any business. The said Board of Direc tors shall make all by-laws, rules and reg ulations for the proper government of the business and affairs of the corporation, and alter, atmend and change the same at pleas ure. They shall have power to buy, sell, I mortgage, pledge and lease any and all property, real, personal or mixed, corporeal or incorporeal whefoever in their judgment I they may deem such acts necessary and proper, to issue bonds and obligations and to assume the same, to make all contracts, leases and agreements as may be necessary. The officers of this corporation shall be a President, a Vice-President, a Treasurer and a Secretary, all of whom shall be elected by the Board of Directors, at its first meet ing after its own election. The Secretary need not be a shareholder or director. The I Board of Directors shall have the power to elect any one person to fill any two of the above named offices, if it so desires. The following named persons, to-wit: John B. Ievert, Dr. Alfred J. Kearny, John B. Levert, Jr., Emile U. Morvant, Henry C. Morvant and Walter Moryant, with Emile U. Morvant as President. John B. Levert as Vice-President and as Treasurer and John B. Levert, Jr., as Secretary, shall be and are hereby constituted the first Board of Directors, and shall hold their offices until the Second Monday in April, 1905, and until their successors are duly elected and qual ified. The salaries of all officers and em ployees shall be fixed and changed by a vote of four-fifths of the Board of Directors. Thus done and passed in my oice in the City of New Orleans, on the day, month and year herein first above written, and in the presence of Gertrude Cowan and May Loris, competent witnesses, who have signed with said appesrers and me, notary, after reading of the whole.
