Director. a Cheer and gladness were brought to the hearts of the little suffering 7 inmates of the Milliken Memorial on Sunday afternoon when the junior a members of the James Hubert Bleak I Memorial Circle of St. Iargaret's I Daughters visited the institution and presented a pleasing and enter taining program for the amusement I of the children. The Junior Circle was organised a month ago to help along the good work of the Senior Circle, whose aim is to provide a Summer Rest Home for Catholic working girls and women. The Circle is composed of a band of energetic, active girls in Algiers, md from the present outlook they are going to do splendid work. There ire a number of very talented little girls in the Circle and as the St. Margaret's Daughters are ever on the 'alert to do some kind act of charity or to bring happiness to the sad and lonely. Father Larkin. their director. suggested that the members enter tain the children of the Miliken Memorial. and his suggestion was eagerly responded to and beautifully carried out. The program opened with a splen did chorus, "Glad Tlaings," which was followed by a recitation, "The Plaint of the Little Bleque Doll," ex. presslvely given by winsome little Imelda Cunningham. Miss Hyacinth Munts then delighted the audience by her repdition of one of Eugene Plield's most popular poems, "The Duel." ' Rveryone wpa carrnefl back in fancy to the day of long ago when six charming lassies presented "Winning Ways of Grandma's Days." They danced the stately minuet in a very graceful manner and their quaint, old-fashioned costumes took the eyes of the little ones. The fol lowing took part: Mildred McCau ley. Alice Riordan, Eunice Cunning ham, Hyancinth Muntz, Rilma Mc_ Nair and Margaret Heath. "She Didn't Know Her German" was recited by Eunice Cunningham. Miss Mildred McCauley rendered "BHridget's Mission Jug" in an artis tic manner. Miss Alice Riordan displayed rare talent in her rendition of "Sister's tbeau." The program was brought to a lively ending when Master Ned Whit more recited "J.ess 'Fore Xmas" and "Whetn My Pa Was a Boy." This was a very entertaining number and "Ned" stole a place in the hearts of all the children present. A Xmas hymn was sung by the pupils of the Holy Name of Mary . hool. The singing was so beau tiful that threy were requested to sing -era:l patriott,' airs, which pleased n.' ll.'' i'nmcnsely. At the conclusion of the program t:.e members distributed candy and ".,ttle,,s to the little ones. who were i:le so htltppy by their coming and the memory of the pleasant after noon will remain with them many a day and will help to lighten their little hearts bowed down with suf_ faring. Aitidle III.-This corporation is organized .1 principally for the purpose of carrying on i and doing a general live-stock business, and ,hall have the power to conduct its business a in all its branches in all of the States, Ter- n iltories and possessions of the United States, is well as in foreign countries, and may p have one or more offices outside of the State of Louisiana. In the carrying on of f its business and the conducting of its af- a fairs, it is especially empowered and au thorized to do and perform the following acts: FIRST: To acquire by purchase, lease or P otherwise, cattle, sheep and hog farms or ranches, and to operate the same, either in- a dividually or through agents. To buy, sell, f grow, breed, raise, import and export, and generally deal in, cattle, horses, mules, I hogs, sheep, live stock and poultry of all kinds, and to carry on a general cattle raising. live-stock and agricultural business. t SECOND: To erect and build abbattoirs, cold-storage warehouses, sheds and other - buildings necessary or expedient for the pur poses of the Company; and to slaughter cat tle, sheep, hogs and poultry. To pack and a preserve meats. To buy and sell at whole- 1 sale or retail in the United States or else where, all kinds of meat, and generally to I carry on the trade and business of a meat dealer, in all of its branches. To manufac ture and deal in tallow, lard, and kindred a products. To manufacture the offal of ani mnals into merchantable products, and sell the same. To cure and deal in hides, pelts r and skins. To manufacture, buy and sell provisions and other articles of merchandise commonly manufactured, bought or sold by i packing or provision houses, and to slaugh ter cattle, swine, sheep and other, animals for food. THIRD: To carry on a dairy business, and to manufacture, buy and sell, and other wise deal in, and to export and import pro duce of all kinds, butter, oleomargarine and butterine; to establish, construct, maintain and operate refrigerating plants, and plants for the manufacture of ice; to equip, main tain and operate refrigerator cars, and to do any and all things necessary and inci dental to the operation of the Company in the premises. FOURTH: To carry on the business of cold storage and warehousing, and all the business necessary or impliedly incidental f thereto; and to further carry on the business h of general warehousing, in all its several d branches; to construct, hire, purchase, oper te and maintain, all or any conveyances for the transportation,' in cold storage or otherwise, by land or by water of any and all products, goods, or manufactured arti cles; to issue certificates and warrants, ne- t gotiable or otherwise, to persons warehous- q ing goods with the Company, and to make advances or loans upon the security of such t goods or otherwise; to manufacture, sell and a trade in, all goods usually dealt in by ware housemen; to construct, purchase, take on lease, or otherwise acquire any wharf, pier, dock, or works capable of being advanta geously used in connection with the shipping and carrying or other business of the Come pany. FIFTII: To construct, purchase, lease or otherwise acquire, and own, maintain and operate, steamboats, sailing vessels, barges s and other watercraft, piers, docks, wharves or bridges, and such lines of tramway or railway, within the State of Louisiana or elsewhere, as may be convenient, necessary t or incidental to any business or enterprise t of the Company, with all necessary side- I tracks, locomotives, cars, depots, round houses and other equipment necessary ,to the operation of said piers, docks, wharves, bridges, tramways and railways, and the t trafic thereon, provided that this corporation shall not have the power of eminent do- I main. SIXTH: To hold, own, buy, sell, convey, exchange, lease, rent or otherwise encumber, dispose of and deal in real estate or other property, personal or mixed, improved or en impoved, and to mortgage, pledge or alienate and encumber the same; to operate and cal tivate lands, plantations and farms; grow thereon all agricultural products, and carry 1 on a general agricultural busigess; to oeler-I ate sugar refineries, cotton gins, caning factories and rice mills; to operate stores, comunissaries, merchandise establishments, and carry on a general mercantile business. SEVENTH: To drain, reclaim and improve submerged, swampy or other lands, whether belonging to it or to other persons; to dig, 1 construct, work, dredge, straighten, widen, deepen, or otherwise work upon, natural or other water courses, canals, drains, sewers, ditches and dikes, under contract or under the direction of public officers or courts; and to do and carry on a general dredging and drainage business, and for that purpose to . own and operate construction, dredging and draining plants, consisting of machinery, tools, implements, dredge boats, ditching scows, lighters, derricks, vreels, engines, cars, wagons, and property of every class and description, convenient or ncessary thereto; to deal in, buy, sell, acquire, lease t sublet or farm, for its own account or for the account of others, real estate lands and Stenements; and to survey, saIlivide and plan such lands for the purpose of sale, and to improve and develop the same by the - erection of houses and buildings thereon, and to do such other lawful acts as may be needful or desirable in and about the said improvement or development thereof, for any purposes; and generally to purchase, I own, lease, convey, mortgage, pledge, trans Sfer, otherwise acquire or dipose of, lands, water rights, mills, factories, buildings and other structures and all other property, both [real and personal, of every class and descrip tion, or any interest therein necessary or desirable for the carrying on of the afore said businesses, or either of them. EIGHTH: To prospect, bere, drill for, mine, quarry, and prodeuce oil, gas or other minerals or metal; to cut timber and deal in timber and lumber; to operate sawmills, lumberyards, and carry on a general saw mill business. NINTH: To encourage immigration into the State of Louisiana, and to develop gen erally the agricuultural and manufacturing interests of the State, and to assist in the advancement of the material prosperity and progress thereof; to organisae, found, estab Slish and encourage colonies in the State of Louisiana and elsewhere. The said Board of Directors shall elect from among their num:ber a President, one or more Vice lresidents-the number to be determined each year by each Board of Directors-a Treasurer and a Secretary. The said Board of l)rectors shall have the further power to make. alter and annul such by-laws and regulations for the government of this cor pration as they may think proper; and shall have the right to appoint an Executive Com mittee, to be composed of such number of directors as they might determine; and shall have the authority to delegate to and confer on said Executive Conunittee such power and authority as they, the said directors, may in their judgment deem necessary and conducive to the best interest of this cor poration. l he Boa.rd of Directors shall have the further power to appoint a general manager and all agents, clerks or employees, and fix their salaries and compensation, with term of office, with the right to dismiss them at pleasure; and the said Board shall have the further right to fix and determine the sal aries of the several officers herein provided for. Any vacancy occurring in the Board of Directors shall be tilled by the remaini members of said Board for the unexpired term. it any meeting of said Board of Direc tors. Article VI.--On the twenty-sixth day of November, 1917, all persons who shall then he stockholders of this corporation, shall convene in the City of New Orleans, Parish of Orleans. State of Louisiana, at the office of the corporation, if any has been selected, or, if no office has been selected, at some place to be agreed upon by them and hold a stockholders' meeting, at. which meeting they shall elect from among their number a Board of Directors to be composed of such number as they may agree upon, provided such number is not less than five (5) nor more than twenty-five (25), all of whom shall be stockholders of the corporation; and the stockholders thus elected shall constitute the first Board of Directors of this corporation, who shall serve until the regular meeting of the stockholders, to be held on the third Monday of January 1919, or until their suc cessors are elected, qualified and installed. Article VIL.-On the third Monday of Jan uary, 1919, and annually thereafter on the third Monday of January of each and every year, a meeting of the stockholders of this corporation shall be held at its domicile for the purpose of electing directors for the en suing year, and at such meeting the stock holders shall have the right of cumulative voting in the election of directors. The said stockholders shall first, by vote, fix the number of directors for the ensuing year, provided the said number is not less than the minimum nor more than the maximum fixed by this charter, and after such number has been fixed, then said stockholders shall duly elect said directors. The failure, from any cause whatsover, to hold the annual meeting of stockholders, or the failure to elect directors thereat, shall not dissolve this corporation, but the directors and officers then in office shall remain in office until their successors shall have been duly elected, qualified and installed. Special meetings of the stockholders may be called in the manner provided by law and all stockholders' meetings shall be held in accordance with, and in the manner pro vided by the by-laws of the corporation. Article VIII.-This charter may be amend ed, and the capital stock of this corporation may be increased or decreased, or this cor poration may be dissolved, in the method and manner provided by law. Article IX.-No stockholder of this corpo ration shall ever be held liable or respon sible for the contracts or faults of this cor poration, in any further sum than the up balance of stock for which he has sn nor shall any mere informality in ortganisa tion have the effect of renderins this char ter null or of exposing stockholders to any liability other than as above irovided.
