Iberia, State of Louisiana, duly commissioned and qualified and in tne presence of the witnesses hereinafter naüied and undersigned. PERSONALLY CAME AND AP PEARED, Messrs Fred J. Feieht, fc,.. G:*«fmith and H. F. Mundy residents cf the town of Jeanerette, Parish of Ibepia, Louisiana, who declared and said that desiring to avail themselves of the provisions of the laws of the State of Louisiana, with reference to tHe' organization of corporations, they do hereby form themselves and such other persons as may hereafter be come associated with theminto a cor pöfation and a body politic for the ob jects and purposes and under the arti cles following, to-wit: ARTICLE I. The name and title of this corpora ton shall be LAFOURCHE TRANS FER COMPANY INCORPORATED, and under its said corporate name, it shall have the power and authority to contract, to sue and be sued, to make and use a corporate seal and the same to break and alter at pleasure, to ac quire by purchase or otherwise, hold, receive,* purchase, alienate, improve, sell, borrow on, pledge, mortgage and hypothecate, under its corporate name property real, personal and mixed, to name and appoint such officers, direc tors, agents and managers and em ployees as may be desirable, to pre scribe their duties and' to fix their compensation if any, to make by-laws, rules and regulations for the manage ment of its affairs, to conduct busi ness in this state and other states and territories, to hold stock in qjher cor PQrations and to do all necessary, pro per and desirable to carry out the ob jects and purposes of this corporation. Unless sooner dissolved, under the provisions of this charter, the said corporation shall exist and continue for a period of fifty years. ARTICLE II. The domicile of the said corporation shall be in the town of Thibodaux, Pa rish of Lafourche, State of Louisiana. The President, or in his absence, the Vice-President, or in the absence of both of the above officers, the Secreta ry of this corporation shall be the pei son upon whom citation or other le gal process may be served. ARTICLE III. The objects and purposes for which this corporation is formed are hereby Sfeclared to be, to engage in and carry or the business of transporting freight, passengers and express, bv motor car«, motor busses, or any other form of ve hicle operated by steam, gasoline or electricity or any other motive pow er, and to operate same for the trans portation of goods or passengers; to acquire by lease, purchase or other wise, the necessary cars, busses, motor cars, motor busses, vehicles and car riages of any kind or description what soever; to build, construct, repair, lease, buy, sell and convey all the necessary vehicles of any kind and des cription whatsoever, and all the ne cessary machinery, appliance and ap purten'ances incidental and necessary or convenient thereto or in any way connected therewith; to purchase, own. lease, construct, control and operate station houses, garages, ware houses, terminals, terminal facilities, ferries, grounds and other buildings necessary and convenient to the purposes herein above set forth; to conduct a general transportation business by land or by water in all of its branches, with pow er for any and all of the above pur poses; to borrow money, and to issue from time to time and in any extent neoessary in the opinion of the Board of Directors of this corporation, nego tiable notes, coupons or registered bonds of this corporation and to secure the payment of the principal and inte rest on the same by mortgage or pledge of all *r any part of the proper ty. rights of franchise, or rights which this corporation may then own or which may thereafter be acquired by this corporation; also with full power to do all things, proper, necessary and convenient to the powers and purposes abov^ expressed. Which said business is to be carried on in the State of Louisiana arrd in any of the states ad joining, adjaoent to or bordering the said State of Louisiana. ARTICLE IV. The capital stock of this»corporation shall be Twenty Thousand dollars ($20,000.00) divided into and repre seßted by two hundred shares of par value of One hundred dollars each, which said stock shall be paid for in ^ash at the time of issuance, or it may be issued at not less than par in pay ment or exchange for propei'ty or righte actually received or purchased by said corporation, or it may be paid for by promissory notes of fairly sol vent parties equivalent to cash and ac cepted by said board as such equiva lent, and at not less than par value of said stock, or for such other valuable considerations or services actually rendered as the Board of Directors of said corporation may determine, pro vided, that no stock shall be issued un til the consideration therefor has been received by said corporation. Fifty per cent of the sa'id capital stock amount ing to ten thousand ($10,000.00) dol lars has been received by said corpora tion. Fifty per cent of the said capital stock amounting to ten thousand ( 10,000.00) dollars hag been subscrib ed and paid tor. Every sale or transfer of the capital stock c>f the Corporation shall be made on the books of the Com pany, at its office and on the surrender of the certificate therefor. The capital stock of this corporation -may be increased to one hundred thou sand dollars,* in the manner provided by law. This corporation shall commence do ing business as soon as the one hun dred shares of the capital stock thereof shall have been subscribed as required by law and by this charter and one half of the subscription paid in. The names and post office addresses of the subscribers of the Articles of incorporation and the number of shares, aach agreed to take are as fol lows, t«-wit: Fred Feight, Jeanerette, Iberia Pa rish, seventy (70) shares. E. G. Smith, Jeanerette, Iberia Pa rish, twenty (20) shares. H. F.-Mundy. Jeanerette, Iberia Pa rish, ten (10) shares. V ARTICLE V. The corporate powers of this cor poration fhall be exercised by a Board of three directors who shall be stock shall be elected by the stockholders an nually at a general meeting to be held on the fourth Tuesday of January and the said Board shall have and is here by vested with all the corporate powers of this corporation, subject to such re strictions as may be herein mentioned. From said directors there shall be elected annually, a president and a Vice-president and there shall be elec ted a secretary-treasurer of the saia corporation who need not be a stock holder therein..The following persons each of whom are and who each de clare themselves to be bona fide own ers of at least one unpledged share of stock in this corporation shall consti tute the first Board of Directors, to Fred J. Feight, whose post office ad dress is Jeanerette, Iberia Parish, Lou siana; E. G. Smith, whose post office address is Jeanerette, Iberia Parish, .Louisiana; and H. F. Mundy, whose J post office address is Jeanerette, Ibe ria Parish, Louisiana. The said Board of Directors above named, shall continue in office until their successors are elected. Each Board of Directors at the first meet ing after their election, shall elect offl- j cers for the corporation as hereinabove i provided, who shall likewise hold office for one year. ! The president of this corporation is hereby declared to be Fred J. Feight, whose post office address is Jeanerette, Iberia Parish, Louisiana; its vice-pre sident, E. G. Smith, whose post office address is Jeannerette, Iberia Parish, Louisiana; and its secretary -treasurer, H. F. The Board of Directors shall appoint n stockholder to act as commissioner at elections of Board of Directors, and in the event of said commissioner fail ing to be present at the time fixed for a meeting, the president shall appoint another stockholder in his stead. Failure from any cause to elect di directors on the day named for the purpose will not dissolve this corpora ifÄ'er r.f £*«££? shall hold over until their successors are chosen. In such event the presl dent shall cause another election to be held within thirty days and at a date and hour named by him giving the no tice to the stockholders as required by law. The Board of Directors' shall frame and adopt such by-laws and rules and regulations as the affairs and business of the corporation may require, and as it may deem necessary for the con duct and management thereof; provid ed, the same shall not conflict with this charter, or with the laws of this state and of the United States. ARTICLE VIII. This corporation shall have, enjoy ,and exercise all the rights and privi leges and immunities granted in Act 267, enacted by the General Assembly of the State of Louisiana, in the year 1914 and this «harter may be changed, altered or annulled, or the corporation dissolved under the terms and condi tions and in accordance with said Act No. 26-7.
