Berlin,-Because of the large num er of German subjects living in the laltic provinces the German Ambas ador at St. Petersburg is said to have •rotested against the ferocious repres ions of General Orloff in that part of Lussia, which have driven, to take efuge in the woods, hundreds of un ortunate peasants, who are being tunted as human wolves by the local and owners and ruthlessly slain. The Duman wolves retaliate, and a war of xtermination has ensued. The stories published in the local Lerman press recall the savage age f Sobiesky and the Cossack Khmiel dtsky, when mutilation before death ras the greatest mercy shown to aptives. Carolus Viten, chief of the wolves, iasted that he had killed since Janu uy, over forty Russian officials and lerman burghers. He attacked them s they traveled through the dense line fore ts, shot them from behind rees, and divided their horses among is ravenous followers for food. T.-The officers of Woods county are looking for a cov ered wagon with a team of gray horses which was seen camped half a mile south of the Skidmore place and was heard going north at about three a. m. It is supposed the chil4 found in a valise in the front yard of Mr. Skidmore was left from this rig. Packed in with the child were some extra clothing, a bottle of medicine, a large package of baby food and a nursing bottle. The child is a girl about a week old, strong and hearty. When found the baby was covered with little black ants. Mr. Skidmore, who is a widower, has been away for several days, and there was no one about the place. The child was found in the evening by George Skidmore and children, who went over to his father's to look after the live stock. Aged Woman Walks Twenty Miles. Greenwich, Conn.-Worn out by her exertions a woman more than 80 years old walked into this town at midnight, having made her way on foot from Danbury. To the police she showed a letter making an appoint ment with State's Attorney Fessen, and explained that to keep the en gagement she had walked the 20 miles across country. The old woman was weak from her exertion-and explained that she had not stopped since early yesterday morning.. She was unable to remember her name. Greenwich officials placed her upon a train and paid her fare to Stamford. There it was found that the strain of her long walk had deranged the aged woman's mind. Be it further ordained etc., That any person violating the provisions of Section 1 of this ordinance shall, on conviction, be fined in a sum not less then $2.50 nor more than $5, or impris oned for a term not exceeding ten days. STATE OF LOUISIANA, Parish of St. Landry. - B E IT KNOWN, That on this, the fifth day of the month of December, A. D., 190h, ubefore me, William J. San doz, a Notary Public,duly commissioned, qualified and sworn, in and for the above parish and State, and in the presence of the witnesses hereinafter named and undersigned, personally came and appeared the persons whose names are hereunto subscribed, all of lawful age, who severally declared that, availing themselves of the provisions of an act of the-legislature of the above State, known as Act No.36 of the session of 1888, as well as the general laws of the'State relative to the organization of corporations, they have formed and or ganized, and by these presents do form and organize themselves into a corpor poration for the objects and purposes and under the stipulations and agree ments hereinafter set forth, which they adopt as their Charter, to-wit: ARTICLE I. Parish `of Sti' Landry, Louisiana; it shall have continuance uccession under its corporate name apd style for and during a period of ninety nine years, unless sooner dissolved by the action oa its stockholders owning a majority in amount of the capital stock. A I ";arIcLE IL - The objects and' purposes for which this corporation is organized and the nature of the business to be conducted and carried on Ity it, are hereby declared to be to conduct and transact in the town of Opelousas, Parish of St. Landry, La,, a general grocery and merchandise business, to buy and sell groceries, hardware, tinware, crockery, willow ware, glassware, implements of husban dry, tools, paints, liquors, wines, cigars and tobacco, and to buy and sell country produce of all kings, and, generally, all kinds of merchandise usually, bought and sold. ARTICLE 111. The capital stock of this corporation is hereby fixed at fifty-five thousand thousand and no-100 ($55,J00.00) dollars, to be divided into five hundred and fifty (550) shares of one hundred and no-100 ($100.00) dollars each, which said shares shall be paid for in such manner and on such terms as may be prescribed by the Board of Directors; provid ed, however that the corporation may commence business after not less than fifty-five thousand and no-100 ($55,000.00) dollars of said capital stock shall have been bona fide subscribed for. Transfers of stock shall only be made on the books of thecompany by a stock holder in person or by proxy, but none shall be sold or transferred by any stockholder unless the said stock shall. have been first offered for sale to the other stockholders at the same pride offered unto others, through written no tice served on the President of the Com pany, and upon the failure or neglect of the other stockholders to avail them selves, within ten days, of such right of purchase, shall such stock become trans ferable. No certificate shall be issued except for fully paid up stock. ARTICLE IV. The business of this corporation shall managed by, and all its corporate pow ers shall be vested in, a Board of Direc tors composed of three stockholders, to be elected annually on the first Monday of April of each year. At their first meeting in each year said Board shall elect one of their members as President, another as Vice-President, and another as Secretary and Treasurer. At all elections for.Directors, the per sons receiving the votes of the majority in amount of the capital stock of said Company shall be declared-elected, and at all the meetings of the Board of Dir ectors the action or decision of the ma jority in number present shall prevail, and a majority of the Board of Direc tors shall constitute a quorum for the transaction of business. Said Board of Directors shall have authority to fill all vacancies occurring in their own number, or among their officers, by death or resignation, and shall have full power to make and es tablish, as well as change and alter at pleasure, all such by-laws, rules and reg ulations for the support and manage ment of the affairs of said corporation as they may deem necessary; to borrow money, buy and sell real estate when necessary in business and sell the same, execute mortgages, make contracts, and do all things necessary in the transacse tion of the business of the Company, as also to issue and deliver full paid shares of the stocks and bonds and obligations of said Company at not less than par for valne received. All checks, drafts or notes shall be signed by the President and counter signed by the Secretary. Any Directorshall have the right to appoint another Director a proxy to act foi him in case of sickness, absence or inability to attend at all meetings of the Board of Directors, which proxy for the time being shall have and exercise all rights and powers of his principal. All elections for Directors shall be held at the office of the Company on the first Monday of April of each year as aforesaid, under the supervision of two commissioners to be appointed by the Board of Directors. Ten days prior notice of each election shall be given in writing by the Secrer tary to each stockholder. A failure for any cause to hold an elec tion for the directors on the day above specified shall not dissolve said Com~ pany, but those in office shall hold over until their successors shall have been elected, for which an election shall be called or held, after ten days prior no tice in writing by mail or otherwise shall have been given by the Secretary to each stockholaer. The first Board of Directors shall con sist of Adolphe Jacobs, Fritz Dietlein and F. C. Allen, of whom Adolphe Ja cobs shall be President; FritZ D)ietlein, Vice-President; and F. C. Allen, Secre tary and Treasqrer. Said Directors shall continue in office until the first Monday of April, 1907, or until their successors shall have been duly elected and qualified. The Presi dent shall have the right to appoint all necessary agents, elerks and employees and to fix their compensation. ARTICLE V. At all elections for Board of Directors and all general elections, every share of stock duly paid up shall be entitled to one vote. All elections shall be by ballot. ARTICLE VI. No stockhol'er of the corporation shall be held liable or responsible for the contracts or faults therbof in any further sum than the unpaid balance on the shares of its capital stock owned by him, nor shall any mere informality in organization have the effect of render ing this Charter null or exposing a stockholder to any liability beyond such unpaid balance. ARTICE VII,. All citations or other legal process shall be served on the President of .said Company, or in case of his absence upon the Secretary thereof, and all suits for and in behalf of this Company shall be brought in the name of said Cimpany by the President thereof.
