At the general conference held in Oklahoma City in May the changes proposed by the women for the council constitution were passed which makes us a united missionary society. In Africa millions are hungry for the word. Dr. W. M. Mor rison tell of a community which he visited some time ago, where he found a chapel erected by the natives with a boy of 12 years as their teacher and minister. The boy had attended a christian mis sion school for a brief time and, on being taken home by his pa rents, began to teach his little companions how to read by writ ing in the sand. The men of the village gathered around and stated that they could not allow the boys to learn something that they did not know. Finally, they said to him: "You be our teacher and leader and we will erect a chapel for you so that you can do the work as it is done by the christian missionaries." There fore, this young boy was teach ing his whole village the knowl edge of the Gospel as he learned it. There are hundreds of other villages where the people are just as anxious to know the truth. Is This The Truth ? Last Sunday at Opelousas the game broke up' in the seventh inning. With the score stand ing 3 to 2 in savor of Eunice, an Opelousas player was called out at third base by the umpire. Opelousas refused to abide by the decision of the umpire and the manager called the team off thelfield. Tom Casey, the Opelousas pitcher, was knocked out of the box in the fifth inning, and Jim mie Dygert was subtituted. BE IT KNOWN, That on this 28th day of the month of February, in the year of our Lord, One Thousand Nine Hundred and Fourteen, before me, W. R. Lacombe, a Notary Public, in and for the parish of St. Landry, duly com missioned and qualified, and in the presence of the witnesses hereinafter named and undersigned; personally came and appeared the several persons whose names are hereunto subscribed, who severally declared that, availing themselves of the provisions of the constitution and laws of the State of Louisiana, in such cases made and pro vided, and particularly the statutes re lating to the formation of corporations of limited liability, they have covenant ed and agreed and do hereby covenant and agree and bind and obligate them selves as well as all other persons who may hereafter become associated with them in the corporation or body politic which they do hereby form and consti tute, upon the terms and conditions and for the purposes and objects expressed in the following articles of ihcorpora tion which they adopt as their charter, viz: ARTICLE I. The name of this corporation is and shall be the "ST. LANDRY SUGAR COMPANY, LIMITED," and under this name it shall have and enjoy corporate existence and succession for the period of ninety-nine (99) years from this date; it shall have authority and powertosue and be sued; to make and use a corpor ate seal, and to break and alter the same at pleasure; to purchase, rent, lease, hold, sell, mortgage, and other wise receive or dispose of property, real or personal and of every nature and description; to borrow and loan money, to grant and receive pledges and securities of any and every char acter; to issue mortgage bonds, and notes secured and unsecured by mort gage, pledge or otherwise; to make and enter into any and every manner of contract and obligation, with the same force and validity as an individual might; to name and appoint and elect such directors, officers, agents and em ployees and representatives as the in terests or convenience of this corpora tion may require; to make and establish rules and by-laws for the proper gov ernment of this corporation, and to alter or amend the same at pleasure; and generally to do and perform all such acts and things as are permitted by the law and asmay be deemed necessary or proper to carry out the principal ob jects and purposes of this corporation. ARTICLE II. The domicile of this corporation shall be in the parish of St. Landry, State of Louisiana, and its principal office and business establishment shall be in or within five (5) miles of the conporate limits of the City of Opelousas; anrd all the citations and other legal *rocess shall be served upon the President, or in his absence upon the Vice-President, or in the absence of both of these of ficers upon the Secretary; and, in the absence of all these officers, then in +,n mnnnpr n-ovidd by statute. ARTICLE III. The objects and purposes for which this corporation is organized and the nature of the business to be conducted and carried on by it are the following, viz: To purchase or construct a complete sugar-manufacturing establishment, to be erected upon a tract of land to be purchased or otherwise acquired by this corporation, in St. Landry Parish, Louisiana, and to manufacture of and from sugar cane, sugar or syrup, and all other products and by-products thereof, to purchase sugar cane, to ad vance money thereon, and to take pledges thereof; to acquire sugar lands, to develop and cultivate lands, to con struct and operate tramways, railroads, and other means of transportation, with out, however, the right of eminent do main; to buy and sell and generally deal I in sugar cane, sugar and all other pro-I ducts and by-products; and, if deemed advisable by the directors, to establish alcohol distils, paper factories, and any other factories establishments for utiliz ng or disposing of the products or by products of sugar-cane; to manufacture and place upon the open market for sale syrups or molasses reduced or obK tained from sugar cane, or its products or by-products, and to patent, register, own and use trade-marks,trade pictures, wrappers, covers, cans, jars or other recepticles, and to obtain from the gov ernment protection from imitation or infringement thereof, and generally to do and perform any and all acts and transactions as may be directly or in directly, immediately or remotely con nected with the manufacturing of sugar and other products or by-products of sugar cane and the. dealing m said arti cles; provided, that the foregoing enumeration of specific purposes and objects and powers shall not be con strued or held to limit or restrict the general and legal pqwers of this cor poration. ARTICLE IV. The capital stock of this corporation is fixed at Thirty Thousand ($30,000.00) Dol-, to be divided into and reprew se-ted by Three Hundred (300), sbhE te par value of One' j) -c lars )$100.00) per share which stock shall be issued as the Board of Directors may determine, and shall be paid for in cash as called for by said board, or may, be issued at not less than par in pay ment for property purchased by the corporation or for labor or services ac tually done and performed or for money advanced. The said capital stock shall be full paid and non-assessable; and a transfer of stock shall not be recogniz ed by or be binding upon the corpora tion unless the same be entered. upon the books of the corporation, or be made by the surrender andcancellation of the certificates of stock and the is suance of new certificates, or by the is suance of original certificates for stock subscribed and transferred or assigned. All stock certificates shall bear the sig nature of the President and of the Sec retary and the impress of the corporate seal, more than five thousand dollars of the said stock having been subscaibed, this corporation shall commence busi ness and be a going concern from this date. ARTICLE V. All of the powers of this corporation and the management and control of its affairs shall be vested in and exercised by a board of five (5) directors, com posed of stockholders, a majority of whom shall constitute a quorum, and a majority of said quorum shall be suffi cient to transact business, and their decisions shall be valid corporate acts; except that it shall be necessary in or der to mortgage or pledge the property of the corporation, that at least three directors shall vote in favor thereof. Any of the directors shall have the right to appoint another stockholder as his proxy to attend any and all meet ings of said Board of Directors. They shall elect from their number a president, vice-president, a secretary and treasurer. The following named persons shall constitute the first Board of Directors. Dr. J. A. Hans, B. Bennett, J. T. St. Cyr, Louis Hebert and J. G. Lawler, with B. Bennet, as President, Louis Hebert as Vice-President and Superin tendent, J. G. Lawler, as Secretary Treasurer. They shall hold office until the second Monday of January 1915, and until their successors shall have been duly elected. No person shall be eligible as direc tor--officer who is not a stockholder of this Company. The Board of Directors shall elect its officers and shall appoint such agents and managers as may be necessary, and shall fix their compensation. The said Board of Directors shall make all by-laws, rules and regulations for the proper government of the busi ness and affairs of the corporation, and alter, amend and change the same at pleasure. They shall have the power to buy, sell, mortgage, pledge and lease any and all property, real, per sonal and mixed, corporeal or incor poreal, whenever in their judgment they may deem such acs necessary andproper, and to make all contracts and agreements necessary to carry same into effect. All acts of sale purchase, lease or other contract shall be signed by the president and in case of his absence or inability to act by the vice-president. ARTICLE VI. On the second Monday of January of each year, beginning with the year 1915, there shall be a meeting of the stockholders to elect directors for the ensuing year, which meet shall 1be .called after a notice publishedtwice in ten days in one of the newspapers pub lished im Opelousas, Louisiana; and the Board of rectors shall ppot one or the vacancy. : i At every election and meeting eac stockholder shall be entitled to one vot for each share of his stock registeran in his name and may vote by proxy.. ARTICLE VIII. This act of incorporation masbe i ified, changed, abridged or ai d n od r said corporation may be dissolved by , vote of two-thirds of the stock at a g.I eral or special meeting held for Rthb purpose after at least ten days writien notice in the postoffice, prepaid, ad dressed to each stockholder at his .ti;. ai place of residence, and in case of dJ*h solution, three commissioners shall be. elected at said meeting by said stock holders, and said commissioners shall: windup and settle the affairs of this corporation. At the termination of this act of ln.n corporation either by limitation of its: charter or from any cause, the busi. ness affairs of this corporation shall likewise be wound up and settled by three commissioners elected by.the stockholders at a meeting called for that purpose, after ten days notice,| as above stipulated. Said commissioners shall remain in office until the affairs of said corpor ation shall have been fully liquidated, in case of death or disability of any one of said commissioners, the survivor or survivors shall appoint a successor to him. Thus, done, passed and signed, in my notarial office in Opelousas, Louis iana, on the day, month and year afore said in the presence of Jno. W. Lewis and Allen Dezauche, two competent witnesses, residing in said city, who hereunto sign their names with said appearers and me, Notary, after due reading of these presents. B.
