The name and style of this cor poration shall be The Clear Lake Oil Company, and under its name lhall have power and authority to cont reat, sue and be sued; to make anrd use a corporate seal and the s:rarre to alter or break at pleasure; tio hloli, receive, have, purchase, alienate, convey, sell, pledge, mort gage, hypothecate or lease property, real and personal; to name and ap point such oflicers, directors, agents and employes as the interests and convenienlces of the said corpora lion may require; to make and es tailish by-laws, rules and regula lions for the proper management of its affairs as may be deemed requis ite or necessary to properly carry out the objects and purposes of this coiirporat ion. ARTICLE II. The domicile of this corporation is hereby declared to be in the City of Shreveport, La., above Parish and State, wrhere all legal process shall be served. This corporation, runless sooner dissolved as herein after provided, shall exist for a pe riod of fifty years from and after the date hereof. ARTICLE III. The objects and purposes for which this corporation is organized are hereby declared to be to buy and sell, pledge, mortgage and hy pothecate and lease and otherwise dispose of or encumber property, real, personal and mixed; to lease lands for itself or for and as the agent of others, and to drill, mine or bore on same for the develop ment of minerals therein and there under; to erect, construct. and ope rate power plants, pipe lines for the transportation of oil, gas and water upon lands of this corporation and upon lands of others; to build, con struct and operate refineries; and to do any other act and thing requisite or incidental to the carry ing out of the purposes for which this corporat.ion is organized. ARTICLE IV. The capital stock of this corpora tion shall be one hundred thousand $tO.U(1t0o.00) dollars divided into one thbusand shares of one hundred dollars each, which stock shall be paid for in cash, property or ser vices actually received or rendered the corporation; and this corpora tion is authorized to commence bus iness whenever three thousand dol lars of its capital stock is sub scribedl: and no stock shall be is sued and delivered until the said consideration therefor has been re ceived: no transfer of stock shall have any effect upon the corpora tion unless made upon its books, and then only upon proper surren der of the certificate therefor. ARTICLE L5. The corporate powers of this cor poration shall he vested in and ex orcised by a board of five directors elected by the stockholders. The following persons shall constitute the first board of directors: D. C. Richardson, resident of Caddo Par ish, La.; D. C. Richardson Jr., resi dent of Caddo Parish, La.; C.- L. Wheeler, resident of Caddo Parish, La.; Sam M. Richardson, resident of Caddo Parish, La.; and E. C. Aber nethy. Of the board of directors and of this corporation D. C. Rich ardson shall be president; D. C. Richardson Jr., vice lresident, and C. L. Wheeler secret ry-treasurer. The officers and board of directors shall hold office for one year from date hereof or until their successors are duly elected and qualified. The board of directors shall be elected annually by the stockholders, and the officers of this corporation shall, be elected by the board of directors from among its members. The an nual election for directors and of ticers hal- be held onthe first Mon day in September of each succeed ing year; if same be a legal holiday, then on the next succeeding legal day. Three directors shall consti tute a quorum for the transaction of business. Notice of the elections and annual meeting shall be given by letter addressed to the last known address of each stockholder and director at least ten days be fore such meeting, unless said no tice be waived by the directors and stockholders. The, president may call special meetings at any tine upon the above notice to directorsl and stockholders, and he must issue a call upon the request of three ,Ii rectors or upon written r'equest of members representing one-thir d o the capital stock.
