NOTICE IS HEREBY GIVEN that the EL PASO GAS AND ELECTRIC COMPANY will forthwith apply to the Honorable City CouncH of the City of El Paso. Texas, for a franchise to maintain and operate a plant for sup plying gas to the city of El Paso and such of the inhabitants thereof as may desire to take such gas, the terms of the said franchise so to be applied for being in words and figures substan tially as follows, to-wlt: AN ORDINANCE AMENDING AN OR DINANCE OF THE CITY COUNCIL OF THE CITY OF EL PASO. PASSED AND APPROVED THE SIXTH DAY OF OCTOBER, A. D.. 1904. ENTI TLED "AN ORDIAANCE GRANTING TO C H. BOSWOIITH AND HIS ASSIGNS THE RIGHT TO MAIN TAIN GAS WORKS AND LAY AND MAINTAIN GAS MAINS AND SUP PLY' PIPES IN THE CITY OF EL PASO," AND GRANTING SUCH RIGHT AND PRIVILEGES TO THE KL PASO GAS AND ELECTRIC COM PANY. BE IT ORDAINED BY THE CITY COUNCIL OF THE CITT OF EL PASO. TEXAS: WHEREAS, heretofore, to-wlt, on the 6th day or October. 1904. the city council of the city of El Paso duly passed an ordinance granting to C H. Bosworth and his assigns the right to maintain gas works and lay and maintain eras mains and supply gas in 'the city of El Paso. Texas- and. whereas, subsequent thereto, said C. H. Bosworth. as he was permitted to do. did assign, transfer and set over all the rights granted by said ordi nance to the El Paso Gas and Electric company, a corporation, now the own er of same: and. WHEREAS, as part of the considera tion for granting the aforesaid fran chise and as a condition precedent thereto, it was provided that the said C H. Bosworth, or his assigns.- pur chase or acquire the entire property owned or used by the El Paso Gas. Electric Light and Power company In the city of El Paso, and that the fran chise so granted should be received by the grantee in lieu of all franchises and rights and contractual relations held by said last named company with respect to the gas business from er with the city; and, WHEREAS, it is desired to amend the said ordinance in order to more specifically define the privileges granted and the rights to be exercised thereunder and to reduce the term of said franchise: NOW, THEREFORE. BE IT OR DAINED BY THE CITY COUNCIL OF THE CITY OF EL PASO. TEXAS: f ranted unto the El Paso Gas and riectric company. Its successors and assigns, (subject to the restrictions herinafter mentioned), to lav. onernte and maintain in any of the present or I ruture streets, alleys and public grounds of the city or El Paso, and its successors, gas mains, distributing and supply pipes, and all necessary ap purtenances, for the purpose of sup plying gas to said city, the inhabitants thereof and persons beyond the limits thereof, for lights, heat, power and other purposes. However, there shall be no obstacle to traffic except during a reasonable time necessary to estab lish such pipelines and appurtenances. Section 2. Said mains and pipes shall be laid under the supervision and direction of the city council of said city, or person designated by said council. The grantee herein, tor his assigns, shall cause no unnecessary interruption of the use of said streets, alleys or public grounds, and shall, in every case, restore the same to as good condition as they were to before said mains and pipes were laid and with the same kind of material as then exists thereon. Nothing herein contained shall be construed to exempt the grantee or its assigns from kie penalties pre scribed against nuisances or obstruc tions of said streets alleys or public grounds. Section 3. All gas manufactured and furnished by the grantee and its as signs, shall be flrstclass and the best quality of pure and refined gas. Said mams, distributing and supply pipes shall be cf as good and substantial quality as is ordinarily and generally used in gas works throughout the United States. Section 4. The grantee herein shall, within ninety (90) days from the pass age and approval bv the mayor of this franchise, file with the city clerk a writing expressly accepting this fran chise, subject to sll tne limitations and conditions herein contained, and not until such acceDtance shall this fran. J chise be effective section a. aaia grantee and its as signs shall have the right to charge and receive for gasfurnlshed or sup plied by it or them to consumers, other than the city of El Paso, such prices as it or they from time to time fix upon, not to exceed, however, the sum of .one dollar and fifty cents (J 1.50) per thousand ctobic feet of gas of six teen (16) candle power, (with a dis count of twenty cents (20c) per thou sand cubic feet for gas if the account or bill for same is paid on or before the 15th dsy of each month following the use of such gas). The minimum charge for any meter set for any and all consumers shall be not less than twenty-five cents (25c) per month. Section 6. The grantee and Its as signs shall furnish the city of El Paso at such times and places as the city council may from time to time desig nate, as much gas as is desired by the citv council: such gas shall be fur nished free to the extent of thirtv- nine thousand, seven hundred aad fifty I 33.Y50) cudic ieet or gas per month during such time as the population of the city shall not be greater than it now is, admitting for this purpose the population to be forty-five thousand (45,000). For each one thousand (1000) increase of the population, in the opin ion of the said city council, the amount of gas furnished free by the grantee and Its assigns to the city shall be increased six hundred and fifty (650) cubic feet per month. The amount of gas to be furnished to the city free during each month shall be non-cumulative and the failure to use all of the same during any one month shall not entitle the city to a larger amount than desig nated thereafter. The amount of gas use'lby the city in excess of the amount Herein designated during any one month shall be paid for by the city at rates then being charged by the grantee or its assigns to private consumers of gas for heating purposes. Section 7. Tided that -if In any case as many five (5) consumers in any block (said block being within three hundred and fifty (350) feet of a gas 'main) not supplied with gas shall so request 'in sood faith in order that gas may be used by then, said El Paso Gas and Electric company and its assigns shall extend a gas main along said block. Section 8. The city council hereby reserves the right to examine and in spect all gas meters, works and gas of grantee and its assigns, and the grantee and its assigns shall furnish to the city, whenever desired by the said council, suitable and proper in struments for testing the purity and illuminating qualities of the gas. and the said council may designate any one to make such inspections and examina tions for and on behalf of said city. Section 9. Whenever the city coun cil of the city of El Paso shall cause notice to be given to grantee or its assigns of the intention of the said rltv vii!tii1 tn nav nnv nf ttiA streets i or alleys of said city, or any part of the said streets or alleys, the grantee shall thereupon promptly, so as not to delay or interfere with the paving and before paving is begun, run all the mains along the same that it or they propose to run, and run turnouts from all of its or their mains along the same to the curb by each building where the property is fully built up, and one turnout to the curb line of each vacant lot where there is one or more abutting lots sot fully built up. This section shall apply only to such portions of streets, alleys and public grounds along which the grantee and its assigns have a main at that time and shall not preclude the subsequent use by grantee or its assigns of any street, alley or public grounds along which grantee had no mains at the time of such paving. Section 10. The rights, powers and franchises herein contained shall, if the same be not sooner forfeited, exist and be in force and effect for thirty (30) years from and after December 15. 1912. Section 11. The grantee and its as signs shall hold the city of El Paso harmless and indemnified from all ac tions, causes of action, costs, expenses and liabilities of every kind, caused by reason of any negligence or act or omission on the part of the said grantee or its assigns, agents, employes or representatives. In the construction, reconstruction, maintenance and oner- ation of the gas plant or distributing system, and shall pay all such dam ages that may be awarded against said city by reason thereof: and the said grantee or its assigns, will alone, at its or their own expense, defend any such claim or suit that may be brought against said city whenever, and as soon as, any officer of said city mails a notice of such claim or suit to the local agent of said grantee, which, notice shall state the nature of the claim or suit, and the name of the court if it be a suit, where it ex ists, and the number of the same. The said city shall never be held respons ible to the said grantee or its assigns for any injury or damage to its or their property by reason of electrical currents of others. Section 12. Any failure on the part of the said grantee or its assigns to fulfill and carry out any of the pro visions and requirements of any of the foregoing sections of this ordi nance shall work a forfeiture of all the rights and privileges herein contained, and. 1n case of sch failure, the city couneil of the city of El Paso shall have the right to declare the same a nuisance and order and enforce the re moval from all the streets, alleys and public grounds of said city, all pipes, mains, etc and. after such failure upon the part of said grantee or its assigns, and such declaration upon the part of the city council of the city of 1 Paso, the failure of sain grantee or Its assigns to remove said pipes, mains, etc. shall subject said grantee or its assigns to the penalties prescribed against nuisances and obstructions of streets. Upon the termination of the grant of this franchise, the grant. as well as the property, if any. of the grantee in the streets, avenues and other public places within the cor porate limits of the citv of EI Paso, shall thereupon, at the election nf tho city and upon payment by said fclty to the grantee of a fair valuation therefor, be and become the property of the city of El Paso, all as provided in section thirty-five of the charter of the city of El Paso, being chapter five, page twenty-four of the Special Acts of the Regular Session of the Thirtieth Legislature of Texas. 1907. If. at the termination of this franchise, the city elect to take over the property of J.he grantee hereinbefore mentioned, the value of said prooertv shall be deter mined by three disinterested apprais ers, one to be appointed by the ctty within thirty days after such termina tion, one to be appointed by the grantee within thirty davs after the appointment by the city" of an ap praiser, and the third to be appointed within thirty days after the appoint ment by the grantee of an appraiser. In determining the value of said prop erty the appraisers shall take Into consideration all facts making value, except that the grantee shall never be entitled to any payment or valuation because of anv value derived from the franchise or the fact that itMs or may be a going concern, duly installed and operated.
