Know all men by these presents: That we, the un dersigned, in accordance with the provision of chapter twenty-eight (28) of the general laws of 1870, of the State of Minnesota, and of the acts amendatory thereof, do hereby as sociate ourselves together for incorporation under the name hereinafter assumed, and hereby organize by adopting and signing the following articles of incorporation, to-wit: Article The name of this corporation shall be '-The Anna Iron Mining Company." Article ll The general nature of the busi ness to be curried on by said corporation shall be the mining, smelting, reducing, and refining ores and minerals; also the buying, leasing, selling, working, and dealing in min eral and other lands. The said business may be curried on outside of the State of Minne sota, and more particularly in the vicinity of Crystal Falls, Marquette county, and State of Michigan. The place of the principal oilice .and the headquarters of the company shall be at the City of St. Paul, County of Ramsey, and State of Minnesota.- Article III— names and places of res idence of the persons so associating to form the said corporation are as follows: Jacob 11. Gregory, Frederick R. Welz and Louis Haas, all of the City of St. Paul, County of Ramsey, and State of Minnesota. Article IV— The amount of the capital stock of said corporation shall be one million dollars (§1,000,000), divided into forty thousand shares of the par value of twenty five dollars ($25) per share. Article V— The highest amount of indebt edness or liability to which said corporation shall at any time be subject shall be the amount of the capital stock at its par value and no more. Article Vl— The time of commencement of said corporation shall be the tenth day of May, A. D. 1887, and shall continue for a period of twenty (20) years. Article Vll— 'lhe government of said cor poration ajid the management of its affairs shall be vested in a Board of Directors, con sisting of three persons. The said Board of Directors shall be elected by the stockhold ers of said corporation for the term of one year, at their annual meeting to be held in the City of St. Paul, Minnesota, on the sec ond Wednesday of May in each year, and shall continue In office until their successors are elected and qualified. Article VIII— The following named persons shall constitute the first Board of Directors of said corporation, to-wit: Frederick R. Welz, Jacob 11. Gregory, and Louis Haas, who shall hold their office until the annual meeting of the stockholders in May, 1887, and until their successors are elected and qualified. Article IX'— officers of said corporation shall consist of a President, Vice-President, Secretary and Treasurer, to be elected annu ally by the Board of Directors at their first meeting after the annual meeting of the stock holders, nnd who shall hold their office until their successors are elected and qualified, un less previously removed by a majority vote of the stockholders. The office of Secretary and Treasurer may be held by one aud the same person.
