of agreement and under and according to
the provisions of Chapter eleven (11) of
General Laws of Minnesota for 1873, and
the laws amendatory thereof, entitled
"an act relating to manufacturing cor
porations," and in consideration of the
mutual agreements of each other herein,
contained, do hereby agretj to and do
associate ourselves and our successors as
a body corporate, and for that purpose
have adopted and signed the following
Articles of Incorporation:
ARTICLE I.
The corporate name of said corpora
tion shall be "Winona Malting Company,"
and its principal place of business shall
be at the City of Winona in the County
of Winona and State of Minnesota.
ARTICLE 11.
The purpose for which said corporation
is established and the general nature of
its business is the malting of grain.
ARTICLE 111.
The authorized capital stock of said
coloration is the sum of two hundred
thousand dollars, which shall be divided
into two thousand shares of one hundred
dollars each. Such stock may be sub
scribed for, paid in and issued in such
manner and at such times as the Board
of Directors of the corporation may from
time to time require.
ARTICLE IV.
The time of the commencement of said
corporation shall be the 21st day of June,
A. D. 1904, and the period of its existence
thirty years therefrom.
ARTICLE V.
The highest amount of indebtedness or
liability to--which said corporation shall
at any time be subject shall not exceed
the sum of two hundred thousand dol
lars.
ARTICLE VI.
The government of the corporation and
the management of its ordinary affairs
shall be vested in a Board of Directors
consisting of five stockholders. Such
Board shall be elected by the stockholders
at annual meetings thereof to be held in
the office of said company on the first
luesday of the month of September in
each year hereafter at 2 o'clock p m
Until the annual meeting of the stock
holders so to be held in the year 1905 the
said Board shall consist of "the following
persons and their respective successors
who may be elected as provided in and

William C. Krise, as Secretary, of The
Red Wing- Malting Company, a manufac
turing corporation organized under the
laws of the State of Minnesota, do hereby
certify that a meeting of the stockholders
of said corporation was duly ,held at the
office of said corporation in the city of
Red Wing, in Goodhue County, Minne
sota, on the 22d day of September, A. D.
1903, at ten o'clock a. m.. pursuant to a
call for such meeting duly made and
served in the manner and at the time in
and by its by-laws in such cases provided,
and which said call clearly" specified as
the purpose of said meeting Ihe consider
ation and adoption of the proposed amend
ments to the articles- of incorporation of
said corporation set forth in the resolu
tions hereinafter contained, and outlined
the same. That at said meeting more
than two-thirds of all the stockholders,
representing more than two-thirds of all
the shares «f the capital stock of said
corporation, were then and there present
in person.
That at said meeting the following res
olutions were duly adopted by the af
firmative vote of all of said stockholders
and of all of said shares of stock present
and represented at said meeting, to-wit:
Resolved. That the articles of incorpo
ration of The Red Wing Malting Com
pany be and the same hereby are so
amended that subdivisions Third. Fourth
and Eighth thereof shall hereafter be
and read as follows, to-wit •
Third: The amount of the Capital Stock
of paid Corporation is hereby fixed and
limited at the sum of Five- Hundred
Thousand Dollars. Of this amount One
Hundred and Fifty Thousand Dollars Us
now issued and outstanding. The re
maining or additional Three Hundred and
Fifty Thousand Dollars of said Capital
Stock shall be subscribed for. issued and
paid in. in installments at such times and
in such amounts and in such manner as
the Board of Directors of the Corporation
may by resolution provide or require:
Fourth: The highest amount of indebted
ness or liability to which said corpora
tion shall at any time be subject is the
sum of Three Hundred Thousand Dollars
($300,000).
Eighth: The Capital Stock of said Cor
poration shall be divided into and consist
of Five Thousand Shares of the amount of
One Hundred Dollars each.
And we do hereby further certify that
at said meeting the following resolution
was likewise unanimously adopted to
wit:
Resolved. That John H. Rich, as Pres
ident, and W. C. Krise. as Secretary- of
the corporation, are hereby authorized and
directed to make and cause to be pub
lished and recorded, as required by law,
their certificate as such officers of the
said adoption of the aforesaid amend
ments to said articles of incorporation

Articles of Incorporation of Waldorf
Bindery Company
The undersigned, for the purpose of be
coming incorporated under the provisions
of Title 2, Chapter 34, of the 'General
Statutes of 1894." and the acts amenda
tory thereof, do hereby adopt and sign
the following articles of agreement and
incorporation.
ARTICLE I
The name of the corporation shall be
"Waldorf Bindery Company;'' the gen
eral nature of its business shall be the
manufacturing and binding of blank
books, calendars, pamphlets and printed
matter; the principal place of transacting
said business shall h» St. Paul, Minnesota.
ARTICLE II
The time of the commencement of said
corporation shall be the 15th day of July.
1904; the period of its continuance shall
be for thirty years thereafter.
ARTICLE 111
The amount of the capital stock of said
corporation shall be twenty-five thousand
($25,000) dollars, to be paid in as the
board of directors shall direct.
ARTICLE IV
The highest amount of indebtedness or
liability which paid corporation .shall at
any time be subject to shall be twenty
five thousand ($25,000) dollars.
ARTICLE V
The names and places of residence of
the persons forming this corporation are
as follows:
Michael W. Waldorf, residing at St.
Paul. Minn.
Alfred G. Anderson, residing at St. Paul,
Minn.
Harry O. Williams, residing at St. Paul,
Minn.
Aloysius J. Rengel. residing at St. Paul,
Minn.
William J. Reinhart, residing at St.
Paul, Minn.
ARTICLE VI
\ The names of the first board of direc
tors are as follows:
Michael W. Waldorf, Alfred G. Ander
son, Harry O. Williams. Aloysius J. Ren
gel and William J. Reinhart.
The government of the corporation and
the management of its affairs shall be
vested in "the following officers: A pres
ident, a vice president, a. secretary, a
treasurer and a board of five directors.
The offices of secretary and treasurer may
be held by the same person. Said officers
shall be elected at- the meeting of the
corporation to be held on the 15th day
of July, 1904. and upon the third Mon
day of January of each year thereafter.
Said officers shall' hold office until their
successors are elected or Qualified.
ARTICLE VII
The amount of each of the capital
shares of said corporation shall be fifty
<$50.00) dollars; there shall be five hun
dred shares of said capital stock.
