Mrs. Tenney and son Jesse left on the Wednesday evening's train for Salt Lake on a visit to rela tives. Last Tuesday morning a sweet girl baby came to cheer and bless the home ot Mr. and Mrs. Wil liam Morgan. Andy Boyer has been busy the past week making extensive re pairs and additions to his home. Saturday evening the Holbrook boys gave a very pleasant and enjoyable dance to visitors from outside towns. Notice is hereby given that sealed proposals will be received at the office of the Board Aug. 20th, 1908, for building a steel bridge crossing Silver Creek at the town of Taylor. Bids will be opened at 2:30 p. m., the bridge to be constructed of steel and the plans and specifications for same are filed in the office of the Clerk of the Board. Babbitt and David Babbitt do hereby associate ourselves into cor poration under and by virtue of the laws of the Territory of Arizona and do severally agree that the name of said corporation shall be the Manifold Cattle Company. 2. The principal place of the trans action of the business of said corpora tion shall be in Winslow, Navajo Coun ty, Arizona. 3. The general nature of the business proposed to be transacted, shall be to raise ordeal in cattle and sheep, to buy aud sell cattle, sheep, horses and other live stock. To acquire by purchase or otherwise, own, hold, buy, sell, convey, lease, mortgage or encumber real estate and other property, personal or mixed. To acqrire water and water rights by purchase or under the laws of the Uni ted States and the Territory of Arizona and to construct and 1 o maintain dams and reservoirs for impounding and storage of water and do all things le gally required to obtain title to same. 4. The authorized amount of capital stocK of this corporation, shall be $30,000.00, divided into three hundred shares of the par value of $100.00 each. The Board of Directors may cause said capital stock or any part thereof to be subscribed or paid for in cash or in the purchase or exchange or transfer of real or personal property or for servi ces rendered and issue or cause to be issued any part or all of the capital stock as required at any time or from time to time and when issued it shall be fully paid and non-assessable and in the absence of fraud in the transac tion the judgement of the Board of Di rectors as to the value of the property purchased, transferred or exchanged for services rendered shall be conclu 8ide. 5 The time of the commencement of this corporation shall be the date of the tiling of these articles of incorpor ation iu the office ol the County Recor der of Navajo County, Arizona, tnd the termination thereof shall be twenty-five years thereafter, 6. The affairs of this corporation shall be conducted by a Board of Di rectors who shall be elected annually by the stock holders and until other wise ordered by the stock holders at a regular meeting thereof, such Board of Directors shall consist of three mem bers, namely C. J. Babbitt, F. S. Mani fold and David Babbitt. 7. The annual meeting of the stock holders shall he held on the second Monday of November of each year. 8. The highest amount of indebtness, direct or contingent, to which this cor poration may at any time be subject is $10,000.00. 9. The private property of the stock holders of this corporation shall be exempt from corporate debts of any kind whatever.
