ARTICLES OF INCORPORATION Know All Men by These Presents: That we, Frank Wal lace, a resident of Holbrook County of Navajo, State of Ari zona, and Amy Wallace, a resi dent of Holbrook, County of Navajo, State of Arizona, " and Beatrice F. Bly, a resident Of Wmslow, County of Navajo, State of Arizona, do hereby as sociate ourselves together for the purpose of forming a corporation under and by virtue of the laws of the State of Arizona, and we do hereby certify and declare as follows, to-wit: : article i. The names of the corporators are as follows, to-wit: Frank Wallace, Amy Wallace and Beatrice F. Bly: that the name of the corporation shall be; and is CANYON CREEK CAT TLE COMPANY: and that the principal place in which the bus iness of said corporation is to be transacted in Arizona shall be, and is, the Town of Holbrook, County of Navajo, State of An zona. ARTICLE II. The objects tor wnich said corporation is formed and organ ized, and the general nature of the business proposed to be trans acted by this corporation, are as ioiiows, io-wii: To own, sell, raise, trade and deal in, cattle, sheep, horses, mules, goats, hogs, and all classes and kinds of live stock; to ac quire by purchase or otherwise, and to own, sell, buy, convey, hold, lease, mortgage, or encum ber real estate and other prop- irty, personal or mixed; to bor row monev by mortgage or other harge, to issue bonds or other vidences of indebtedness, sub ject to action of the Corporation Commission of the State of An ona, to sell,, dispose of, or en :umber all, or any part of the oroperty of the company, sub iect to the limitation hereinafter prescribed; to make contracts, to purcnase, lease, locate, or otherwise acquire, own, ex change, sell. . pledge, mortgage, hypothecate, and deal in any and all kinds of real estate and per sonal property; to own, buy, sell and handle shares of its own cap- tal stock and that of other cor porations; to make all contracts and agreements necessary or proper in the, premise; and, in general, to do and perform such acts and things and transact such business in connection with the foregoing objects, not inconsist ent with law. in any part of the world, as the Board of Directors may deem to the advantage of the corporation. ARTICLE III. The capital stock of the cor poration shall be Two Hundred and Fifty Thousand and no-100 $250.000.00) Dollars, diyided in to Twenty-five Hundred (2500) hares of the par value of One Hundred and no-100 ($100.00) Dollars each, which shall be paid in. jit such time as the Board of uirectors may designate, in casn, real, or personal property, ser vices, lease, option to purchase, or any other vaiuaoie right or thing, for the uses and purposes of the corporation, and all shares of capital stock when issued in exchange therefor, shall there upon and thereby become and be fully paid the same as if paid for in cash at par, and shall be non-1 assessable forever, and the judg ment of the Board of Directors as to the value of any property, risrht. or thing acquired in ex change for capital stock shall be conclusive. ARTICLE IV. - The commencement of the cor poration shall be the date of the issuance to it of a certificate of incorporation by the Arizona Corporation Commission, and it shall endure, for the full term of twenty-five .years thereafter, with privilege of perpetual suc cession as provided by statute. ARTICLE V. The affairs of the corporation shall be conducted by a Board of Directors and such officers as the said directors may elect or ap point; and the number of direct ors shall be not less than three or more than seven, and shall be elected from among' the stock holders at the annual meeting to be held on the second Monday in January of each year, and until the first annual meeting of the stockholders, and until theirsuc cessors have been elected and have qualified, the following named persons shall be the of ficers and the directors, to-wit: Frank Wallace, President. H. M. Moritz, Secretary and Treasurer. Wm. H. Dagg, Assistant Sec retary. Amy Wallace. Director. Beatrice F. Bly. Director. Wm. H. Dagg. Director. C. H. Jordan, Director. ARTICLE VI. The directors shall have the power to adopt, amend, and re scind by-laws, to nil vacancies occurring in the Board for any cause, and to appoint from their own number an executive com mittee and vest committee with all the powers granted to the di rectors by these articles. ARTICLE VII. The highest amount of indebt edness or liability to which the corporation may at any one time subject itself is One Hundred Sixty-six Thousand ($166.000.00) Dollars, which is not more than two-thirds of the amount of the capital stock. ARTICLR.VIII. The private property of th stockholders of the corporation shall be forever exempt from its debts and obligations. ARTICLE IX. This corporation does hereby appoint Clarence H. Jordan of Holbrook, Navajo County, Ari zona, who has been a bona fide resident of Arizona for . more than three years, its lawful agent in and for the State of Arizona, and in behalf of said company, to accept and acknowl edge service of, and upon whom may be served, all necessary pro cess or processes in any action, suit, or proceeding that may be had or brought against the com pany in any of the courts of the said State of Arizona, such ser vice of process or notice, or the acceptance thereof, by said agent endorsed thereon, to have the same force and effect as if served upon the President and Secretary of said Company.
