ARTICLES OF INCORPORATION OF THE CALIFORNIA GOLD SAVING COMPANY. KNOW ALL MEN BY THESE PRESENTS: That, we, the under signed, have this day voluntarily asso ciated ourselves together for the pur pose of forming a corporation under the laws of the Territory of Arizona, and do hereby make, execute.and adopt the following articles of incorporation: ARTICLE I. The name of said corporation shall be California Gold Saving Company, and its principal place of transacting business shall be at Phoenix, Maricopa County, Arizona, with branch offices at San Francisco, California, where meet ings of Directors and stockholders may be held and business of the corpora tion may be transacted, and at such other places as may be determined by the Board of Directors, where regular and special meetings of the Directors and stockholders may be held and any and all of the business may be trans acted. ARTICLE 11. The general nature of the different kinds of business proposed to be trans acted by this corporation is as follows, to-wit: To purchase, lease, locate, bond or otherwise acquire, own, exchange, sell or otherwise dispose of, pledge, mort gage, hypothecate and deal in, work, mine, explore and develop mining claims, oil, mineral, timber and agri cultural lands, oil, gas, asphaltum, petroleum, water and water rights. To do a general real estate, mercan tile and mining business in all Its branches. To own. handle and control letters patent and inventions. To borrow money and execute mort gages or deeds of trust to secure the same, to issue bonds and other evi dences of indebtedness, and in general do all things necessary to the proper conduct of the business of this corpo ration, not inconsistent with the laws of the United States and the Territory of Arizona. ARTICLE 111. Among the powers of this body cor porate shall be: To have perpetual succession ;to sue and be sued by its corporate name ;to have a common seal and alter the same at pleasure ;to prescribe the mode of making transfer of stock or interests of its stockhdhl ers; to make contracts; to acquire and transfer property of every md and de scription, both real and personal, and to possess the same powers in such re spects as private individuals now en joy; to establish by-laws and make ail rules and regulations deemed ex pedient for the management of its af fairs, not inconsistent with the laws and constitution of the United States and the laws of the Territory of Ari zona. ARTICLE IV. The amount of the capital stock of the corporation shall be Two Hundred and Fifty Thousand dollars ($250,000.00) divided into two hundred and fifty thousand (250,000) shares of the par value of one dollar ($1.00) each, fully paid up and forever non-assessable. ARTICLE V. The time of the commencement of this corporation shall be the date of the filing of these articles of incorpora tion in the office of the Secretary of Arizona, and the termination thereof shall be twenty-five years thereafter. ARTICLE VI. The affairs of this corporation shall be conducted by a Board of five Direct ors, who shall be elected annually by the stockholders of the corporation on the first day of October In each year. Until the first day of October. 1902, the following named persons shall serve as Directors: A. W. Slee, G. M. Hill, D. W. McNeill, A. D. Lemon and I. E. Jarrett. ARTICLE VII. The highest amount of Indebtedness or liability, direct or contingent, to v which this corporation shall subject it self at any time, is one hundred and fifty thousand dollars ($150,000.00). ARTICLE VIII. The private property of the stock holders of this corporation shall be ex empt from all corporate debts. ARTICLE IX. That the name of the corporation shall be “The Cross Oil Company,” and its principal place of transacting busi ness outside of Arizona shall ’be at Cleveland, Ohio, and its principal brace of business in Arizona shall be at Phoe nix, Maricopa County. 2. That the general nature of the business proposed to be transacted is as follows: Buying or leasing lands, ex ploring thereon for oil, gas, and other minerals, and for producing- and selling the same. 3. That the amount of capital stock authorized is five hundred thousand •dollars ($500,000.00) and the number of shares into which it is divided is 50,000 of the par value of Ten ($10.00) dollars each, which amount is to be paid in at the times and upon the conditions fol lowing, namely: ten per cent at the time of organization and the balance at such times as the board of directors shall determine. 4. That the time of the commence ment of said corporation Is the sth day of September, 1901, and the time of its termination shall be the 4th day of September, 1926. 5. ARTICLE I. The names of the incorporators are: C. W. Goodlander, Alfred B.akcr, J. VV. Amerman ana C. B. McDonald. The corporate name of this company shall be "The Goodlander Mining and Mill ing Company,” and the principal piace of transacting the business of saiu cor poration shall be at the City of Phoe nix, in the County of Maacopa, and Territory of Arizona, but may have branch offices at such other p aces as may be designated by the noard of directors. ARTICLE 11. The objects and purposes for which this corporation is formed are : First: To p;ospeet for precious met als and minerals of ail kinds. Second: To lease, buy, own and hold, and to sell, mortgage or otherwise dis pose of mines of all kinds and mineral lands, rights and concessions, and to open up and. develop minqs and min eral lands, ii ail or any of the States and Territories of the United States and in the Republic of Mexico, and any and all other foreign countries. And to lease, buy, own and hold, and to sell, mortgage or otherwise dispose of any and all machinery and other property and appliances that may be necessary or convenient for the purpose of open ing up and working and developing any such mines. Tnit-d: To engage in a general min ing, smelting and refining of gold, sli ver, iron, copper, lead and otuer pre cious metals and minerals of whatever nature, and to lease, buy, erect, own, hold and operate and to mortgage, sell or otherwise dispose of smelters, con centrators, crushers and other appur tenances and appliances for ‘the car rying on of a general mining, smelt ing and refining business; it shall have power to issue, negotiate and seii bonds, notes or other evidences of in debtedness (not in excess, however, of the highest amount of indebtedness to which it may subject itself under Ar tiee VI of these Articles) and for the purpose of securing payment of same, to execute a mortgage or mortgages on any or aiM its property of every nature or kind, wherever situate. Fourth: To carry on a general min ing business in ail .'the States, Terri tories and foreign countries above mentioned, and to do whatsoever busi ness or acts or things that may be nec essary7, convenient or expedient for the carrying into effect of any and ail of the objects and purposes above set forth. ARTICLE 111. The amount of capital stock shall be One Million Dollars ($1,009,000.00) di vided into One Million (1,000,000) shares of the par vaiue of One Dollar ($1.00) per share, fully paid, up and non-as sessable. ARTICLE IV. The said corporation shall commence business on the Ist day of October, 1901, and terminate in Twenty-Five years *from t.'mt date. ARTICLE V. The affairs of said corporation shall be entirely managed by a Board of Di rectors to consist of seven persons to be chosen by and from the stockholders on the First Monday of January in each year on and after the year 1903; the following named stockholders shall serve as Directors until the regular election in 1903, and until their suc cessors are duly elected and qualified: C. The highest amount of indebtedness or liability to which said corporation j shall at any one time subject itself is the sum of One Hundred Thousand Dollars ($100,000). ARTICLE VII. No officer or stockholder of this cor poration shall be personally liable for the debts or obligations of this corpora tion and the private property of each officer and stockholder of this corpora tion shall be exempt from liability for the debts of this corporation. ARTICLE VIII. The Board of Directors of this corpo ration shall have power to establish by-laws and make all needful rules and regulations deemed expedient for the management of the affairs of this cor poration and the officers thereof, not inconsistent with the laws of the Unit ed Skates and with the laws of the Ter ritory of Arizona, and may provide in said by-laws for the holding of any or all meetings of its Directors and stock holders at any place it may designate outside of the Territory of Arizona.
