mines, mining claims, mineral lamrs,
water and water rights, and to work,
mine, explore and develop the same.
To do a general mining business.
To borrow money and execute mor "
gages or deeds of trust to secure the
same, and in general to do all the
things necessary to the proper conduct
of the business of this n

of incorporation in the office ofthe
County Recorder of Maricopa County,
Arizona, and the termination thereof
shall be twenty-five years thereafter.
Article VI. The affairs of this cor
poration shall be conducted by a board
of ninedirectors, who shall be elec ec
annually by the stockholders of the
corporation. -
Artie’e VII. The highest amount of
indebtedness or liability, direct or con
tingent, to which this corporation snail
subject itself at any time, is one-third
of the capital stock.
Article VIII. The private property

ARTICLES OF INCORPORATION
OF THE
CALIFORNIA GOLD SAVING
COMPANY.
KNOW ALL MEN BY THESE
PRESENTS: That, we, the under
signed, have this day voluntarily asso
ciated ourselves together for the pur
pose of forming a corporation under
the laws of the Territory of Arizona,
and do hereby make, execute.and adopt
the following articles of Incorporation:
ARTICLE I.
The name of said corporation shall
be California Gold Saving Company,
and its principal place of transacting
business shall be at Phoenix, Maricopa
County, Arizona, with branch offices at
San Francisco, California, where meet
ings of Directors and stockholders may
be held and business of the corpora
tion may be transacted, and at such
other places as may be determined by
the Board of Directors, where regular
and special meetings of the Directors
and stockholders may be held and any
and all of the business may be trans
acted.
ARTICLE 11.
The general nature of the different
kinds of business proposed to be trans
acted by this corporation is as follows,
to-wit:
To purchase, lease, locate, bond or
otherwise acquire, own, exchange, sell
or otherwise dispose of, pledge, mort
gage, hypothecate and deal in, work,
mine, explore and develop mining
claims, oil, mineral, timber and agri
cultural lands, oil, gas, asphaltum,
petroleum, water and water rights.
To do a general real estate, mercan
tile and mining business in all its
branches.
To own, handle and control letters
patent and inventions.
To borrow money and execute mort
gages or deeds of trust to secure the
same, to issue bonds and other evi
dences of and in general
do all things necessary to the proper
conduct of the business of this corpo
ration, not inconsistent with the laws
of the United States and the Territory
of Arizona.
ARTICLE 111.
Among the powers of this body cor
porate shall be: To have perpetual
succession ;to sue and be sued by its
corporate name ;to have a common
seal and alter the same at pleasure :to
prescribe the mode of making transfer
of stock or interests of its stockhold
ers; to make contracts; to acquire and
transfer property of every kind and de
scription, both real and personal, and
to possess the same powers in such re
spects as private individuals now en
joy; to establish by-laws and make
all rules and regulations deemed ex
pedient for the management of its af
fairs, not inconsistent with the laws
and constitution of the United States
and the laws of the Territory of Ari
zona.
ARTICLE IV.
The amount of the capital stock of
the corporation shall be Two Hundred
and Fifty Thousand dollars ($250,000.00)
divided into two hundred and fifty
thousand (250,000) shares of the par
value of one dollar ($1.00) each, fully
paid up and forever non-assessable.
ARTICLE V.
The time of the commencement, of
this corporation shall be the date of
the filing of these articles of incorpora
tion in the office of the Secretary of
Arizona, and the termination thereof
shall be twenty-five years thereafter.
ARTICLE VI.
The affairs of this corporation shall
be conducted by a Board of five Direct
ors, who shall be elected annually by
the stockholders of the corporation on
the first day of October in each year.
Until the first day of October, 1902, the
following named persons shall serve as
Directors: A. W, Slee, G. M. Hill, D.
W. McNeill, A. D. Lemon and I. E.
Jarrett.
ARTICLE VII.
The highest amount of Indebtedness
or liability, direct or contingent, to
which this corporation shall subject it
self at any time, is one hundred and
fifty thousand dollars ($150,000.00).
ARTICLE VIII.
The private property of the stock
holders of this corporation shall be ex
empt from all corporate debts.
ARTICLE IX.
At all elections of Directors every
stockholder shall have the right to vote
the number of shares owned by him
and standing in his name on the books
of the company, for as many persons
as there are directors to be or
to cumulate said shares and give one
candidate as many votes as the num
ber of Directors multiplied by the num
ber of his shares of stock shall equal,
or to distribute them on. the same prin
ciple among as many candidates as
he shall think fit.

Articles of Incorporation

KNOW ALL MEN BY THESE PRESENTS:
That we, C. F. Chapman, J. E. Boyd, Mary A.
Boyd, Mary E. Chapman, have this day asso
ciated ourselves together for the purpose of
forming an incorporation under the provis
ions of the laws of the Territory of Arizona,
and especially an Act of the Legislative As
sembly thereof, en;itled “An Act Concerning
Corporations,” which took effect September
Ist, 1901, for the purpose of engaging in and
carrying on the lawful business pursuits here
inafter specified. And we do hereby make,
subscribe and acknowledge, according to law,
these Articles of Incorporation and certify and
declare:
FIRST.
That the name adopted and assumed by this
corporation, and by which it shall be known,
is Wickenburg Mercantile and Investment Co.,
and shall consist of one President, one Vice
President, one*Secretarv, oneYTreasurer, and
until the first general election the said parties
are hereby declared to be tlie officers, viz:
C. F. Chapman, President; J. E. Boyd, Vice
President; Mary A. Boyd, Secretary; and Mary
E. Chapman, Treasurer.
That the place where its principal business
is to be transacted in the town of Wickenburg,
County of Maricopa, Territory of Arizona, and
tiie time of the commencement of this corpora
tion shall be tfce day of the filing of these ar
ticles in the office of the County Recorder of
the County of Maricopa, in the Territory of
Arizona, and the termination thereof shall be
twenty-five years thereafter.
SECOND.
The purpose for which this Corporation is
formed and the business it proposes to do and
engage in, is that of buying and selling goods,
wares and merchandise of any and ali descrip
tions, mining and milling, also to own and ac
quire in the course of business real estate and
personal property of any kind whatsoever,
which it may be necessary to acquire for the
profit of this Corporation, to borrow money,
with or without giving security therefor, in
the manner authorized by the by-laws of this
Corporation, to give, receive and take notes
and mortgages, bonds, options and convey
ances to do all things usual and necessary in
the business of a Mercantile, Mining and Mill
ing company, to act as agent for other persons
and corporations; to acquire, bold and dispose
of stock in other corporations and in any and
all things that may be for the profit of this
Corporation lawfully.
THIRD.
That the amount of capital stock authorized
is One Hundred Thousand ($100,000.00) Dollars,
to be divided into One Thousand (1,000) shares
of a par value of One Hundred ($100.00) Dollars
each; and to be paid up as called for from time
to time by the Directors of the Corporation, or
by being issued and delivered from time to time
by the Directors in payment of property, labor
or services rendered to or purchased of this
Corporation, or paid for in cash at par value,
and when so paid shall he non-assessable.
FOURTH.
The highest amount of indebtedness which
shall be contracted by this Corporation at any
time shall be Ten Thousand ($10,000.00) Dollars.
FIFTH.
The stockholders in this Corporation and
their private property shall be exempt from
the corporate debts of this company.
SIXTH.
The affairs of this Corporation are to he and
shall be conducted by a Board of Directors,
consisting of four (4) persons who shall be
elected annually by tlie stockholders at such
time and manner as snail he prescribed by the
by-laws of this Corporation,all of whom shall
be actual owners of stock in this Corporation.
And hereafter no person shall be eligible to
the office of Director unless he is a stockhold
er in this Corporation. /
SEVENTH.
The following persons, who are subscribers
to the Capital Stock of this Corporation, shall
constitute the Board of Directors of this Cor
poration until November 10th 1902, and until
their successors are duly elected and qualified,
towit: C. F. Chapman, J. E. Boyd, Mary A.
Boyd, Mary E. Chapman, and any Director
ceasing to be as tockholder shall cease to he a
I Director.
EIGHTH.
Vacancies in the Board of Directors shall be
filled bv the remaining member* of the board.
Immediately, or as soon as practicable, after
the filing of these articles in the office of the
County Recorder of the County of Maricopa,
Territory of Arizona, the persons named here
in as Directors to serve until the 10th
day of November, 1902, and until their success
ors are duly elected and qualified, shall meet,
organize and adopt by-laws.
A majority of said Board of Directors shall
be a quorum and any meeting of said board
at which a quorum is present shall he deemed
a regular meeting and have the same author
ity as a full board.
Each share of stock has one vote at the
stockholders meeting.
NINTH.
Tjip Board of Directors of this Corporation
shall liaye power to establish by-laws and
make any rules and regulations deemed expe
dient for the management of this Corporation
and officers thereof, not conflicting with the
constitution and by-laws of the United States
and laws of the Territory of Arizona. This
Corporation shall have the benefit of all the
laws of Arizona Territory upon the subject of
corporations.
TENTH.
In Witness Whereof, We have hereunto affix
ed our hands and seals and acknowledged this
instrument as the Articles of Incorporation of
the Wickenburg Mercantile and Investment
Co., this First day of October, A. 1). 1901.
