Interesting To Miners. A. J. McConnel, a British purchaser of raw metals, is said to have put in a large reservation for molybdenum. He regards it as indispensible to the steel industry, and reports that Jno. Oliver Arnold, professor of metallurgy at Shef field University, is the inventor of a new steel process in which molybdenum is used instead of tungsten to better advantage. Eight Tombstone mining men have taken a lease on the Humboldt silver mine near Dos Cabasas. It has a big ledge and good ore values. A story from Prescott says the Swas tika Mines company, embracing the ancient Black Warrior and Silver Prince mines are about to install a big mill with evaniding plant. Resources are said to consist of huge tonnage of low grade ore. Columbia Divide mining company of Tonopah have bought the Esteleah-Cer bat claims in the upper end of Cerbat range. The Johnson mine in the Dragoons is shipping copper ore to the Douglas Smelter, by means of three trucks re cently bought at a government sale in El Paso. Chas. F. Willis for some time connec ted with Phelps Dodge interests is to assume editorial charge of the Arizona Mining Journal. Mr. Willis is a mining engineer of Bisbee, who has been for many months a regular contributor to the Journal and we wish him abundant success. If his influence is powerful] enough to keep the Journal out of the political maelstrom around Phoenix and confine it to mineral development of re sources of this state he will be success ful and a welcome addition to the great field he has entered. ARTICLES OF INCORPOR ATION Know all men by these presents; That we, the undersigned, have this day associated ourselves together for the purpose of forming a corporation under the Laws of Arizona and for that purpose do adopt, certify and acknowl edge the following articles of incorpor ation: ARTICLE I The name of this corporation shall be UNITED ARIZONA EXTENSION MINING COMPANY; the names of the corporators, their residences and post office addresses are as follows; H. A. Wardenbukg, Phoenix, Ari zona. J. E. Morrison, Phoenix, Arizona. The principal place of business and office of this company shall be Phoenix. Arizona, but the Board of Directors may establish such other offices in the State of Arizona and elsewhere, as they may deem, in their discretion, to be appropriate or necessary, ARTICLE 11. The GENERAL NATURE OF THE BUSI NESS in which this corporation shall en gage is as follows, to-wit: To carry on the business of mining, milling, leaching and reducing and treat ing by any and all methods all kinds of metals, ores and minerals and to pur chase, sell, exchange, lease, acquire, explore, prospect, develop, manage ai»d operate mines, mining claims, mining rights, options, mining bonds, leases and mining agreements and land of any kind, or any interest therein, in the State of Arizona or elsewhere; to lo cate mining claims and other real prop erty and acquire title thereto under the laws of the United States and other countries; to purchase, acquire, sell, dispose of, hold, handle, hypothecate and deal in any and all kinds of real and personal property, including its own stock or the stock of other corporations, and mines, mining claims and lands of all kinds; to construct, maintain, oper ate, hypothecate, pledge, deal in and control any and all kinds of reduction plants, machinery, devices and improve ments and any and all necessary, proper or appropriate appurtenances thereto to construct, maintain, operate, hypothe cate, mortgage, pledge, and control, steam or electric or other kinds of rail roads for the purpose of developing any properties owned by it, gas, electric light, telephone, telegraph and hydro electric plants to be used in connection with the operation of any of its proper ties; to buy, sell, and generally trade in, store, carry and transport, any and all kinds of goods, wares and merchan dise, provisions and supplies; to enter into, make, perform and carr. out con tracts of every kind and for any law ful purpose incidental to its operations and business; to issue, protect, secure, redeem and pay bonds, securities and other evidences of indebtedness of this corporation when deemed necessary, appropriate or expedient by the Direc tors or stockholders of this corporation and, in general, to carry on any other lawful business in connection with the foregoing which may tie necessary or incidental thereto, or calculated, direc tly or indirectly, to enhance the value of the company’s properties, rights or stock and to do any and all things that a natural person might or could law fully do in a general mining business. ARTICLE 111. The AMOUNT OF THE CAPITAL STOCK of this corporation shall be One Million Five Hundred Thousand Dollars, divided into One Million Five Hundred Thou sand shares of the par value of One Dollar each, and said capital stock shall be fully paid up, at the date < f issu ance, in money, property, services, labor or any other valuable right or thing, in the discretion of the Board of Directors and the judgment of said Board, as to the value thereof, shall be conclusive on this corporation and its stockholders. Said capital stock is hereby made and shall forever remain non-assessable. Said stock shall be dis posed of in the discretion of the Board of Directors, as said Board may deem proper and its discretion shall be final and binding. ARTICLE IV. The life of this corporation shall com mence on the day when a certificate of its incorporation is issued by the Ari zona Corporation Commission and shall terminate twenty-five years thereafter ARTICLE v. The affairs of this corporation shall be conducted b.v a Board of Directors of not less than three or more than fif teen members and such other offi cers and agents as they may ap point or elect and all directors shall be stockholders; the following named persons shall constitute the directors and officers of this Corporation until their successors shall be elected and qualified. Hereafter the Board of Directors shall he elected unnualiy by the stock holders, from their number at the annual meeting of the stockholders, to be held on the second Mon day in January, 1921 and at each annual meeting thereafter, which shall be held on the second Monday in January in each and every year thereafter, and shall hold office until their successors are elected and qualified. Tne Board of Directors shall have the power to in crease or decrease the number of its membership within the limits herein provided and shall have the power to fill any vacancies occurring in the offices or in the Board, thru any cause, for the unexpired term. ARTICLE VI. The highest amount of indebtedness direct or contingent, to which the cor poration shall ever be subjected, shall be two thirdz of the total par value of the capital stock. ARTICLE VII. The private property of the stock holders and officers of this corporation shall be exempt from all corporate debts and liabilities of any kind whatso ever. ARTICLE VIII. This corporation shall have power, at any time, to sell, transfer and dispose of all of its assets, upon the vote or the written consent of the owners of two thirds of the capital stock then out j standing.
