LEGAL NOTICE ARTICLES OF INCORPORATION OF THE SWANSEA ARIZONA MINES COMPANY KNOW ALL MEN BY THESE PRES ENTS: That we, whose hands are hereto affixed, do hereby associate ourselves together for the purpose of forming a corporation under the laws of the State of Arizona, and to that end make the following statement: FIRST The names and residences of the in corporators are, W. J. Thomas, Swansea, Arizona, L. M. Thomas, Swansea, Arizona, and Alex Morphy, Los Angeles, Califor nia, and the name of the corporation shall be SWANSEA ARIZONA MINES COMPANY. The principal place within the State -of Arizona in which the business of said corporation is to be transacted is, Swansea, Yuma County, Arizona, and the corporation may establish branch offices either within or without the State of Arizona where meetings of the Board of Directors may be held. SECOND The general nature of the business proposed to be transacted by Ihis cor poration is as follows, to wit: Lo cating, developing, leasing, buying, selling and otherwise dealing in mines, mining locations mining claims, min ing rights, mineral deposits, mill-sites, water, water rights, water power, power sites, power plants, and machin ery or works connected therewith; also to engage in and carry on the business of crushing, sampling, mill ing or smelting, concentrating, refin ing, or otherwise manipulating and treating base or precious metals and minerals, and preparing them for the market; Also to engage in and carry on the business of buying, selling, and dealing in ores, tailings, slag, metals, mining plants, machinery, implements, conveniences, provisions, and things used in connection with the business of this corporation, or required by the workmen and others employed by this corporation. Also entering into part nerships, or into any arrangement for sharing profits, union of interests, co operation, joint-adventure or otnerwise, with any person, firm, or corporation carrying on or engaged in, or about to carry on or engage in any business or transaction which this corporation is authorized to carry on so as to di rectly or indirectly benefit this cor poration; to buy, sell, purchase, lease, rent or otherwise acquire wagons, au tos, auto-trucks, traction engines or other vehicles and instruments of transportation for the purpose of facili tating the sale of its products In the open market and transporting the same and other material to and from its mines and place of business; also to (take and acquire, by purchase or ex change, or. other lawful modes, and to hold, own, deal in, sell and otherwise dispose of the capital stock or bonds of other corporations. And in general to do and perform any and every other act or acts, or things of whatsoever name or nature, incident to, growing out of, or con nected with the purposes, objects, and business for which this corporation is formed. THIRD The authorized amount of capital stock of this corporation shall be One Million Five Hundred Thousand Dol lars ($1,500,000) divided into One Mil lion Five Hundred Thousand Shares of the par value of One Dollar ($1.00) each. At such times as the Board of Directors may by resolution direct, said capital stock shall be paid into this corporation either .in cash or by the sale and transfer to it of real and personal property for the uses and purposes of said corporation, in pay ment for which shares of capital stock of said corporation may be issued, and the capital stock so issued shall there upon and thereby become and be fully paid up and non-assessable, and in the absence of actual fraud in the trans action, the judgment of the Directors as to the value of the property pur chased shall be conclusive. FOURTH The time of the commencement of this corporation shall be the date of the filing of a certified copy of these Articles of Incorporation according to law, and the termination thereof shall be twenty-five years thereafter, with privilege of renewal as provided by law. FIFTH The affairs of this corporation shall be conducted by a Board of Five Di rectors and the following named shall constitute the Board of Directors until their successors are elected: W. J. Thomas, Alex Morphy, L. M. Thomas, L. H. Morphy, E. C. Lane. There after the Board of Directors shall be .elected from among the stockholders on the 12th day of May in each year. The officers of said corporation until their successors are elected shall be: W. J. Thomas, President; Alex Mor phy, Vice-President; L. M. Thomas, Secretary. SIXTH The highest amount of indebtedness or liability, direct or contingent to 'which this corporation is at any time subject shall be One Million Dollars ($1,000,000), which amount does not exceed two-thirds the amount of capi tal stock. SEVENTH The private property of the stock holders of this corporation shall be exempt from corporate debts of any kind whatsoever. TOOK SUBSGRIPTIOHS FOR II "DEAD" PAPER In view of the fact that Yuma's Spanish newspaper has not been pub lished since June 19th, the following Somerton news item of today is inter esting, indeed: "Luis Reyes, proprietor of the 'Yumense,' the Spanish news paper which made its debut some time ago was in town yesterday evening and remained over night. He was kept busy attending to his subscription col lections, his paper having quite a large circulation here." LET HIM 60 IF PROMISES TO BE 6000 WASHINGTON, D. C. July 8 There were indications tonight that the case against Huerta might be dropped. Mr. Huerta is due to appear for a hearing next week.
