PERSONAL MENTION Superintendent J. D. Matthews of the Arizona-McGinnis Copper com pany, left for the coast Thursday night for the purpose of purchasing supplies for the company. A. B. Harrison left for Los An geles Tuesday night to be absent about ten days. Joseph P. Downey of Miami, vice president of the Western Arizona Copper company, was a visitor here this week. He was highly elated over the recent rich strike of copper ore on the property of his company. Granville Fuqua, manager of the Parker Commercial company’s store at Wenden, spent Sunday in town. He stated that Wenden is fast coming to the front as an im portant mining district, many rich strikes of copper ore being made in that vicinity. Gus Holmes, Jr., of Wickenburg was a business visitor here Wednes day and Thursday. R. W. Waterman, city engineer of Blythe, was in town this week on business. Tom Carrigan, the well-known Blythe merchant, arrived in Parker Thursday to look after his mining interests. L. V. A. Brown, who is clearing 1,000 acres of land in the valley pre paratory to planting long staple cot ton, came in from Riverside Monday. Mineral Valley Mining News. (Salome Bonanza.) Another ore shoot, even richer than that opened last week, was struck Wednesday night at the Wen den Copper company’s property just north of Cunningham pass. The new shoot, like the one which startled the district a few days ago. was opened at a depth of 125 feet. It is a streak of solid glance from eighteen to twenty-two inches wide and averages close to fifty per cent copper. Its gold content can only be estimated. Assays of samples from the first strike, a shoot of glance four feet wide, averaged $22.70 a ton gold and thirty-six per cent copper. Twenty per cent copper ore has been struck at a depth of between 500 and 600 feet at'the property of the Jerome Wenden Copper com-' pany, south of Wenden in the Har cuvars. This is the group formerly known as the Nuevo Mundo. The face of the crosscut ‘tunnel which has been driven 400 feet into the side of the mountain is all in ore. It is to be continued pcross the formation, and it is quite possible that a big body will be opened. The Cobrita Pay Streak country comes to the front this week with another big strike of high grade cop per sulphide ore, this time almost on the surface of the ground. Usselman taking the position, and the pressure has been somewhat relieved. ARTICLES OF INCORPORATION OF PRIDE GOLD AND COP PER COMPANY. KNOW ALL MEN BY THESE PRES ENTS: That we, the undersigned, do here by associate ourselves together for the purpose of forming a corporation under the law's of the State of Ari zone, and in the furtherance of that purpose, and to that end, w r e do hereby adopt, execute, acknowledge and publish the following Articles of Incorporation: ARTICLE I. The name of this corporation shall be, and is, PRIDE GOLD AND COP PER COMPANY. ARTICLE 11. The names, residences and post office addresses of the incorporators are as foliows: Name Residence Postoffice E. S. Osborne. Parker, Ariz' Parker. Ariz. E. F. Johnson. * Frederick M. Hall. ARTICLE 111. The principal place of business of this corporation shall he at its of fice in the town of Parker, Yuma County, State of Arizona; but other offices may be established and main tained, either within or without the State of Arizona, as the Board of Directors of the corporation may, from, time to time, determine and desiginate, at any of which said offices meetings of the stockholders, or meetings of the Board of Direc tors, may be held and any and all corporate business transacted. ARTICLE IV. The purpose of this corporation, and the general nature of the busi ness proposed to be transacted and carried on by it, shall be: First: To carry on the business of mining, milling, smelting, ore re duction and treating in all of its re lated branches, and to do any and all of the things hereinafter men tioned as fully and to the same ex tent as natural persons might or could do, within or without the state of Arizona, and to do any and every thing, and to engage in any and every business which may (>e by its Board of Directors deemed necessary, requisite, essential, convenient or auxiliary to the carrying out of the objects and purposes for which the corporation is formed., . In furtherance, and not in limita tion, of its general powers and pur poses, it is expressly provided that the corporation shall have the fol lowing powers, to-wit; 1. To acquire, own, handle, sell, encumber and otherwise deal in or with any and all classes of property; to buy, or otherwise acquire, own. hold, sell, and in any manner deal in or with shares of the capital stock of this, or other, corporations; to pay for property purchased or other wise acquired in cash, stock of the corporation, bonds, or otherwise; to carry on the business of mining, milling, smelting, concentrating, con verting, treating, preparing for mar ket, manufacturing, buying, selling, exchanging, or otherwise producing or dealing in, gold, silver, copper, and in any and all kinds of ores, min erals and metals, and the products and by-products thereof, of every kind and description, and by what ever process the same can or rpay he produced, and generally without limitations as to amount. 2. To acquire hv purchase, ex change, location, appropriation, or in any other manner whatsoever, or in any manner matsoever, to receive, own, hold, use, operate, lease, mort gage, sell, or otherwise dispose of, mines, mining properly, ores, min erals, water, water-rights, reservoirs, canals, flumes, ditches, mills, smelt ers, saw-mills, stores, hotels, board ing houses', easements, or any other kind of property. 3. To construct, lease, or other wise acquire, and to own, hold and operate, roads, tramways and rail ways necessary and convenient to the carrying on of any business un dertaken by it; to acquire, own, hold, sell, lease, or otherwise dispose of. any and all kinds of inventions, rights, licenses, patent rights and letters patent. 4. To borrow money, and to is sue its bonds, payable in cash or con vertible into stock of this corpora tion; debentures, mart gages, prom issory notes, and other evidences of indebtedness therefor, and to pledge, sell or otherwise dispose of the whole or any part of the property owned or acquired by it for the security or payment of any indebtedness or ob ligation incurred or Undertaken; to use its stock, debentures or bonds in payment for any property or com modity which it may purchase or acquire. 5. To make contracts, and to do as fully and to the same extent as natural persons might or could do. any and all of the things herein set forth, either as principals, agents, contractors, trustees, or otherwise, and either alone or in company with other persons, associations or cor porations. 6. In general in have and exer cise with respect to all things, pow ers, privileges and immunities con ferred upon corporations of this class by the laws of the State of Arizona, and to carry on any business in con nection therewith, not inconsistent with the laws of the United States and the State of Arizona. ARTICLE V. The amount of the capital stock of this corporation shall he one mil lion Dollars ($1,000,000.00). divid ed into one million (1,000,000 shares of the par value of One dollar* $1 00 > each, and the same when issued shall be forevef fully-paid and non-assess able. Said shares shall be issued at such time or '’ nes, and upon suer, terms and conditions as may be provided by the Board of Directors of the cor poration, and such stock may he ex changed for mines, or for any other property, either real or personal, or for benefits accruing to the corpora tion, or for services rendered to the corporation, in any manner or form whatever, as said Board of Directors may determine, and in the absence of actual fraud in the transaction, such determination of the Board of Directors shall be final. ARTICLE VI. The time of the commencement of this corporation shall be the day upon whit h a rtvtified copy of t lose Aritcles of Incorporation from the Arizona Corporation Commission shall be recorded with the Recorder of Yuma County, State of Arizona, and the termination thereof shall be twenty-five (25) years thereafter, with privilege of renewal, as provid ed bv law. ARTICLE VII. The management and control of the business, property and affairs of this corporation shall be vesled in a Board of Directors consisting of not less than five (5) nor more nine (9) members, who shall be elected from the stockholders of record at the regular annual meeting of the stockholders, which said meeting shall be held on the second Wednes day of October in each year, and said directors shall hold office for one year, or until their successors are elected and shall nave qualified. Any vacancy which may occur in said Board of Directors, whether caused by death, resignation or oth erwise, shall be filled by election by the remaining members of said hoard from among the stockholders of rec ord. Said Board of Directors shall have power to establish by-laws, and make any and all rules and regula tions necessary for the conduct and management of the affairs of the corporation, not inconsistent with taw or with these Articles of Incor poration. Until the first annual meeting of the stockholders, the following nam ed persons shall constitute the Board of Directors of this corpora tion, to-wit: E. S. Osborne, O. M. Spence, Fred erick M. Hall, E. F. Johnson, F. M. Imboden. ARTICLE VIIT. The officers of this corporation shall be President, Vice-President. Secretary and Treasurer, and the of fices of Secretary and Treasurer may he held by the same person; togeth er With such other or additional of ficers as the Board of Directors may deem necessary or essentia! All of ficers are to be elected by the Board of Directors from among the stock holders at the annual meeting of said Board of Directors, which said meeting shall be held as soon as practicable after the annual meeting ofstockholders, and shall hold office for one (1) year, or until their suc cessors are elected and shall have qualified, except such officers as may be provided for and appointed by said Board of Directors, whose terms of office, qualifications and duties shall be prescribed by said Board. The following named persons shall serve as the officers of the corpora tion until the first annual meeting of the Board of Directors, uutil their successors are elected and shall have qualified: President —E. S. Osborne. Vice-President—E. F. Johnson. Secretary - Treasurer Frederick M. Hall. ARTICLE IX. The highest amount of indebted ness or liabilitv. direct or contin gent, to which this corporation may at any time subject itself, is the sum of Twenty-five Thousand Dollars ( $25,000.00 ). The general nature of the busi ness proposed to be transacted is to make contracts; to purchase, lease, option, locate, or otherwise acquire, own, exchange, sell, or otherwise dispose of, pledge, mortgage, hypoth ecate and deal in mines, mining claims, mineral lands, coal oil lands, timber lands, clay lands, water and water rights ajjd other property, both real and personal and to work, explore, operate and develop the same, and,to deal in the products and by-products thereof; to purchase, lease or otherwise ac quire, erect, own, operate and sell milling, smelting and other ore re duction works, oil refineries, saw mills, clay works, power plants, rail roads and tramways to lead from the company’s principal works; to do a general manufacturing and mer cantile business; to own. handle, and control letters patent and inven tions; to own, cancel and re-issue shares of its own capital stock and to own and vote shares of other cor porations, to issue bonds, notes and other evidences of indebtedness and to secure the payment of the same by mortgage or deed of trust, or otherwise; to act as agent, trustee or broker, and to borrow and loan money; and in general to do and perform such acts and things and transact such business, not incon sistent with law, in any part of the world, as the board of directors may deem to the advantage of the corpor ation. ARTICLE 111. The amount of the authorized cap ital stock of the corporation is One Million Dollars ($1,000,000), di vided into one million (1,000,000) shares of the par value of One Dol lar ($1.00) each, which shall be paid in, at such time, as the board of directors may designate, in cash, real or personal property, services, lease, option to purchase, or any other valuable right or thing, for the uses and purposes of the corpor ation, and all shares of capital stock, when issued in exchange therefor, shall thereupon and thereby be come and be full-paid the same as though paid for in cash at par, and shall be non-assessable forever, and the judgment of the directors as to the value of any property, right or thing acquired in exchange for cap ital stock shall be conclusive. ARTICLE IV. The time of the commencement of the corporation shall be the day these articles are filed in accordance with law. and the termination there of shall be twenty-five years there after, with privilege of renewal and right of perpetual succession as now provided bv law. ARTICLE V. The affairs of this corporation shall be conducted by a board of di rectors of such number as shall be fixed by the by-laws, but not les.'t than three or more than seven Di rectors. by whom a president and vice-president shall be elected and a secretary and treasurer appointed. The directors shall be elected by and from among the stockholders on the first Monday in February of each year. Until their successors are elec ted and qualified, the following named persons shall he the directors and officers as stated: M. E. Priest, director and president; H. G. Nat ter, director, secretary and treasur er; C. C. Spicer, director. ARTICLE VI. The directors shall adopt by-laws tor the government of ihe corpora tion and may amend the same. They shall have power to fill vacancies oc curring in the board of directors from any cause, and to appoint from among their number an executive committee which, to the extent pro vided by resolution or by the said by-laws, shall have and exercise the powers granted the directors by these Articles. ARTICLE VII. The highest amount of indebted ness or liability to which the cor poration is at any time to subject itself is Six Hundred Fifty Thousand Dollars ($650,000.) ARTICLE VIII. The private property of the stock holders of the corporation shall be iorever exempt from corporate debts of any kin i whatsoever. ARTICLE IX.. This corporation hereby appoints, authorizes and empowers 0. M. Spence, of Parker, Arizona, its resi dent agent for the acceptance of service of all necessary process in any action, suit or proceeding that may be had or brought against this company in any of the courts of the State of Arizona.
