Stelzer, Secretary. - ARTICLES OF INCORPORATION KNOW ALL MEN BY THESE PRE SENTB: That we the undersigned hereby mutually agree to unite and associate ourselves as a corporation under the laws of the State of Ari zona and for such purpose we here-! by make, execute and adopt the fol lowing Articles of Incoropration: ARTICLE I. The name of this corporation shn»l be the Winslow Union Bank & Trust Company. ARTICLE 11. The period of existence and dura tion of the life of this corporation shall be twenty-five years, beginning on the date of recording of a certified copy of these Articles of Incorporation with the County Recorder of Navajo County, State of Arizona. ARTICLE 111. The principal office and place ot business of this corporation shall be at Winslow, County of Navaajo, State of Arizona, and it may establish offices or branches at such other points with* in the State of Arizona as may from time to time be designated by the Board of Directors. ARTICLE IV. To administer, ful fill and discharge the duties of such trust or trusts for such renumeration as may be agreed upon, to act gen erally as agents or attorneys for the transaction of business, the manage nent of estates, the collection of rents, interest, dividends, mortgages bonds, bills, notes and securities for money; to act as agents for the pur pose of issuing, negotiating, register :ig, transferring or countersigning the certificates of stock, bonds, or other obligations of any corporation, association or municipality and to manage any sinking fund therefor on •uch terms as may be agreed upon; to act as agent for (ire insurance, life insurance, surety and other companies and generally to act as agent for any person or corporation in the trans action of any lawful business. To do any and all acts and things pertaining to or that may be connected with the purpose and objects above specified, or that may be necessary or conven ient or useful to the main purpose of the corporation in carrying on a gen eral banking business. ARTICLE V. The amount of authorized capital stock of thiß corporation is Fifty Thousand Dollars divided into Five Hundred shares of One Hundred Dol ars each, of which Two Hundred Fifty shares shall be paid in in cash, real estate fixtures or liquid securi ties approved by the Board of Direc tors, at not less than par value. The remaining Two Hundred Fifty shares shall remain as treasury stock and be issued only by the consent of twb thirds of the stockholders of record, and when so issued shall be paid for >n cash at not les than one hundred ten dollars per share, and when so Is sued the stock of the corporation shall be fully paid and non-assessable. ARTICLE VI. ARTICLE VII. Th names and residence of the per sons who have been selected as offi cers and Board of Directors to manage the business and affairs of the Cor poration until the first annual stock holders meeting are as follows: J. The greatest amount of Indebtedness to which the corporation may subject itself shall not exceed, an amount equal to two thirds of the capital stock actually issued and paid in. ARTICLE EX. The private property of the stock holders of this corporation shall not be subject to the payment of the cor porate debts in any amount or to any extent whatever. ARTICLE X. These articles may be changed, al tered or amended at any authorised meeting of the stockholders by a vote of the stockholders representing a majority of the stock. ARTICLE XI. The name and place of residence f the Statutory Agent of this cor tx>ration shall be R. C. Kaufman, Win slow, Navajo County, State of Arizona, who has been a bona fide resident of •aid state for more than three years, md who,' for and in behalf of said orporation, shall accept and ac knowledge service of and upon whom nay be served all necessary processes o any action, suit or proceedings that uay be had or brought againßt the orporation in any of the courts of he State of Arizona, such service or processes or notice of the acceptance hereof by said agent endorsed there n to have the same force and effect s if served upon the President or lecretary of said Corporation. B. & Meridian, has filed no tice of his intention to make Three Year Proof, to establish claim to the land above described, before Thor wald Larson, U. S. The trails are tortuous and in many places grades exceed 40 per cent. In designing the bridge it was nec essary to secure a structure which would be light and at tho same time have sufficient strength to accommo date the travel and to have the units of such size or weight that they could be packed by mules down the trail. The main cables are to be of special tramway plow steel, each weighing between 700 and 800 pounds, requir ing four mules to transport it. It is planned to divide the cable into four pairs of coils, one pair being placed on each mule with an intervening length of cable of .about 20 or 30 feet. Each mule will be in charge of a packer, and the intermediate men will, in addition to leading the mules, control the slack of 20 or 30 feet of cable so that they can successfully negotiate the switchbacks. The floor system of the bridge will be suspended from the main cables by special 3-8 inch steel wire ropes, placed every six feet apart, which at attached to the floor beams by 3-8 inch steel stirrup rods every three feet apart. The hanger cables will be packed in small coils and the stirrup rods will bo folded on them selves so that they will be of suffi cient length to permit packing. The floor system will be cut into pieces not more than 9 feet long in order that they can be readily packed, but even timber of this length will make it difficult and interesting work for the men in charge of the pack mules to successfully guide them down the trails. The bridge will be five feet wide with guard rails of heavy mesh wire and because of the wind play and vi bration which may be expected in a bridge of this length impounding gates will be placed at each end so that only one mule or horse will be permitted to cross at a time. It may be necessary at first to blindfold the animals, but after they have made the trip once or twice they will be come accustomed and will not hesi tate to cross. The bridge will cost in the neighborhood of $13,000 and cantracts have already been entered into for its construction and it is expected that tourists may be per mitted to cross before the close of the 1921 summer season. Two addi tional bridges are planned at different points on the Colorado within the national park area, which are com ponent parts in the ultimate develop ment of north rim travel.
