in a crowded state, especially in lower

the east for an additional teacher and
made arrangements to accommodate a
part of the primary department in the
Sunday school room of the Congrega
tional church.
Mits Margaret Hughes, of Wier,
JCaokas, will arrive Sunday next and
Monday will organize the first grade of
the primary school in the above men
tioned room MUs Hughes is a rad-

taught several terms already in Ari

employed in our public school.

sociate ourselves for the purpofce of forming a
corporation under the provisions of Chapter
II, Title XIII, of the Kevimxl Btatntes of Ari
zona 11)01. and acta amendatory thereto, and
-we heroby make, adopt, decdare and publish
the following Articles of Incorporation, to

The purpose for which tins corporation is

proposed to be transacted by It are as follows,

mines, mining properties, mining claim, mills

plants, railroads, franchises, rights, interests,
and securities, and on any security approved

may be determined by the Hoard of Directors
of the corporation.
To buy, sell, own, bold, acquire and deal in
bonds, bills, notes, mortgages, securities, evid
ences of indebtedness, concessions, franchises,
privileges, real and personal property, mixed
property, obligations stocks, certificates, of
stock, capital stock, options, and all and every
description of property whatsoever; to act as
trustee for ottier persons and corporations,
and to hold and control in its own name or
otherwise, the property of other persons and
corporations of whatsoever kind, character,
name or nature, and to exercise in respect of
- any such property any and 'all the rights,
powers and privileges of individuals owners
, or holders there.if, including the right to vote
upon any shares of the capital Rtock of any
company or corporation hela in trust or owned
by this corporation.
To buy. sell, own, locate and otherwise ac
quire and deal in mines, mining claims, min
ing properties, lodes and placer ; to work,
develop and operate the same and mine the ores
therefrom, and mill, smelt ant reduce the
tame; to locate, acquire, buy sell and deal in,
tunnels, tunnel sites, waters, water rights, and
to buy. build, construct, own, operate ami
maintain, mining, milling, smelting and re
daction plants; to construct own, operate,
maintain and dispose of, such railways, tran
sportation litres and facilities as may be ne
cessary, proper and incident in carrying on the
business for which this corporation is organ
ized ; to do and carry on a general mining busi
ness in all of its branched; to do and carry on
j general merchandising business, ami own,
-operate and dispose of, warehouses, boarding
bouses, and such other lines of business as
ray be necessary for, incident or in any way
connected with purposes for which this cor
poration is organized.
, To acquire, buy, purchase, or otherwise hold
own and dispose, of. the capital stock, secur
ities, privileges and franchises of other cor
porations, and bny, own. hold, hell a no deal in.

of indebtedness; to purchase or otherwise ac
quire from other persons or corporations, the

poration, or any part thereof, and to hold, own

gage and operate railroads, rail ways, tram ways,
power plants, public service plants, and light
ing plants, to purchane, lease, bond, or other
wise acquire, own, sell and dispose of, pledge,
mortgage, hypothecate, and ueal in letters
patent, patents, patent rights, real estate, and
any and all kinds of personal property, ma
chinery, mineral lands, water, water rights,
machinery, tunnel, tunnel ites, stores aud
merchandise, cattle and livestock.
To enter into contracts, bonds, leases, op
tions, and agreements with other persous.,
firms, individuals and corporations, for build
ing, constructing, operating aud maintaining
railroads, tramways, power and lighting plants,
reduction works, smelting und milling works
or for any other lawful purpose whatsoever;
and to buy, sell or otherwise oinpose or, any
and all such contracts, bonds, options, leases
and agreements as may have been entered into
between other individuals firms, persons or
corporations.
To operate, sell, hypothecate, or otherwise
dispose of, any property, real or personal
which may come into possession of thi-t co-operation
by foreclosure of its mortgages npon
any and all such property.
To enter into contracts fof removal, opera
tion and construction of mills, smelting and
reduction works, hoisting lxAchinery, mining
machinery, and railroad, -and buy, own,
handle. Bell aud dispose of the same.
To engage in any and all business herein
mentioned, or in any business which may be
incident to any of such businesses, at any p'ace
within the United Htates, or in any Stare, Ter
ritory cr Country of the world, and generally
to do and perform every other at and thing.

The caoital stock of this corporation shall be
One Million Dollars (1 .OOti.OUO) divided into
One Million 1.000.000 shares of par valne of
one dollar I $1.00 each, which stock shall be
issued at nnch times and upon snch conditions,
as may be per scribed by the Board of Directors
of the corporation, and the Hoard of Directors
is hereby authorized to issue any and all of
said stock f ally paid np and non-assessable,
in consideration of the payment thereof in
cash, or The transfer to this corporation of
property, rights or interests of any description,
or services rendered or to be rendered for the
corporation, and the valuation or appraisal by
the Board of Directors of any p-operty, rights
or interests so acquired, or of services ren
dered or to be rendered to the corporation,
shall be binding and conclusive npon the stock
holders of this corp oration, and all others
dealing wun trie corporat.on.
ARTICLE V
The capital stock of this corporation, when
issued, shall be forever non-assessible.
ARTICLE VI
The highest amount of indebtedness or liab
ility, direct or contingent, to which this cor
poration is at auy time to be subject, is and
shall be, a sum less than two-thirds- of the
capital stock.
ARTICLE VII
The time for which this corporation shall
enduie shall be twenty-five V& years from and
after the date of filinK of tnese articles of in
corporation for record in the office of the
County Recorder of Phoenix, Maricopa, Ari
zona. ARTICLE VIII
The business and affairs of this corporation
shall be managed, controlled and administered
by a Hoard ot Directors consisting of not less
than thre f stockholders, provided, however,
that he Board of Directors is hereby granted
the power to increase its members to a number
not exceeding nine f) at any tegular meeting
of snch board: Aud the additional members
of the board so selected by the then existing
board shall hold office until the next encceedi og
annual election of Directors by the Stockhold
ers of the corporation.
A majority of the Board of Directors shall
constitute a qnornm for the transaction of
husinfHR. Directors shall hold office for one
year (1) and. until their successors are elected
and qualified, except as herein otherwise pro
vided. The Rt-ard of Directors shall be elected an
nually at a regular meeting of the et-clcholders,
which meeting shall be held on the 15 day of
October.
Any vacancy occurring in the Board of Di
rectors, or in any office, shall be filled by the
remaining members of the board.
The Board of Directors is hereby authorized
and empowered to make and establish By-Laws
for the government of the corporation, and to
alter aud amend the same, and to make all
rules in J regulations, which, in their judgment,
are needfol or nefmary for their management
of affairs of the corporation, and for the gnid
ence and. control of the officers thereof. Pro
vided, that, such By-Laws or regulations shall
not conflict or be inconsistent with these Ar
ticles f Incorporation, the laws ol the Terri
tory f Arizona, or the constitution and laws
of the United States.
ARTICLE IX
The private property of every stockholders in
thi corporation shall be forever exempt from
liability for the corporate debts of the corpor
ation. ARTICLE X
The officers of this corporation shall be a
President. Vice-President, Secretary, and a
Treasurer, and such other officers and agents as
the Board f Directors may, from time to time,
provide or appoint. The President. Vice-President,
Secretary nnd Treasurer shall be elected
by the Board of Directors immediately after
their own election, from among their own
number, and all officers so elected shall hold
office for the term of one 11 year, and until
their successors are ejected and qualified, ex
cept as herein otherwise provided. 1 he of
fices of President and Treasurer may be united
in one and the same person.
ARTICLE XI
The Board of Directors shall have the power
to sell and otherwise dispose of any property
of this corporation, less than the whole there
of. In the regular course of ousinss. whenever,
in their judgment, it may be deemed best to
do so; to encumber, lease, and otherwise handle
any of the property of the corporation ; to ao
quire property for this corporation; to borrow
money np to toe amount herein limited, and to
execute corporate notts, and other evidences of
indebted ness of tb is corpor ttion thereof, and
to secure the payment of the same-by mortgage,
deed of trust, or in any manner designated by
law, or by the By-Laws of Incorporation, as to
them shall sem advisable, on all, or any por
tion of the property, interests or assets of
