BF IT KNOWN that we, the under signed resident* of Phoenix, Maricopa County, State of Arizona, do hereby associate ourselves together to form a corporation under the laws of the State of Arizona, and adopt the following Articles of Incorporation. ARTICLE I The name of the corporation Is The Wells Fargo Company of Arizona,and its principal place of transacting busi ness in Arizona is Nogales. Offices may be established, business transacted and meetings of stockholders and di rectors held at such places within or outside of Arizona a3 the Company shall provide. ARTICLE II The general nature of the business proposed to be transacted by this cor poration, and in which it Is to engage is: to carry on a general shipping and forwarding business, including the re ceiving, handling, shipping, forward ing and transporting nf goods, wares, merchandise and all classes of freight by land or water; to carry on the busi ness of exporters and importers as principal, factors, agents or commission merchants in respect to baying, selling, trading,or dealing in any kind or kinds of goods, wareß and merchandise; and to do a general brokerage, commission, import, forwarding and export busi ness; to engage in the importation of fruit, vegetables and other prod note, raw and manufactured, from South American, Central American, Mexican, West. Indian and other fore’gn ports or places; to trade generally in all manner of foreign and domestic products raw nnd manufactured. Without in any partloulur limiting or restricting any of the other objfcts and powers of the corporation, it is hereby expressly de clared and provided that the corpora tion shall blbo have power to issue bonds and other obligations in pay ment for property, including shares of stock and other securities, which may be purchased or acquired by It, or for money borrowed, or for any other law ful object in and about its business; to mortgage or pledge any property which may be owned or acquired by it, or lu which it may b 3 interested, to secure any bonds, guarantees or other obliga tions by it issued or incurred, to guar antee any dividends, bonds, contracts, or other obligatipns of anj person, co partnership or corporation; to make and perform contracts of every kind and description: to declare dividends payable in cash or otherwise as may be permitted by law; and in carrying on its ‘ business, or for the purpose of at taining or furthering any of its objects or purposes, to do any and all other things and exercise any and a ! l other powers which now or hereafter may be permitted by law. ARTICLE 111 The amount of the authorised stock of the corporation is One Hundred (100) shares of no par value, all of which stock when issued shall be full paid and non-assessible. ARTICLE IV The time of the commencement of the corporation shall be the day these articles are filed in accordance with the law. and the termination thereof shall be 25 vears thereafter, with privilege of renewal and right of perpetual suc cession, as now provided by law, ARTICLE V The number of directors of the cor poration shall be fixed from time to time by the by-laws. The number of directors may be increased as may be provided in the by-laws. The directors gball be elected by and from among the stock holders on the first Tuesday of January of each year. Until their suc cessors are elected and qualified, the following named persons, who are the incorporators hereof, shall be directors: Mark B Thompson, 22$ Security Building, Phoenix, Arizona. Sam H. Kyle, 228 Security Build ing, Phoenix, Arizona. M. M. Thompson, 228 Security Building Phoenix, Arizona. In case of any vacancy on the Board of Directors by death, resignation, dis qualification, or any cause, the remain ing directors by a vote of a mnjo it.y thereof may elect a director to hold office for the unexpired portion of the term of the diroctor whoso place shall be vacant, and until the election of a successor The Board of Directors shall have power to hold their meetings outside of the State of Arizona, at such places as from time may be designattd by the by-laws, or by resolution of the Board Any officer elected or appointed by the Board of Directors may be removed at any time by the affirm ttive vote of a majority of the whole board of Direc tors. Notice Is Hereby Given that under and by virtue of a writ of execution issued out of the Superior Court of the State of Arizona, in and for the county of Pima, on the 22nd day of April, 1933, upon judgment ren dered and docketed in said court on the said 22ud day of April, 1933, in an action then pending in said court, wherein J. W. Huey is Plaintiff and Dos Amigo 9 Gold Mining Company, a corpor ation, is Defendant and in and by which judgment, it was ad judged and decreed that the Plaintiff, J. W. Huey do have and recover of and from De* fendant Dos Amigo 9 Gold Mining Company, a corporation, the sum of Four Thousand Forty Six and 58/100 Dollars ($4046 58) with interest as follows: $3829.53 thereof, at the rate of 6% per annum from February 18, 1933 and sll7 05 thereof, at the rate of 6% per annum from April 220 d, 1933.
